Second-highest 500-plus share is the Kentucky fact

Census CBP 2023 put Kentucky at 3,669 shops, a 70.1 average, 59.4% under 20, and 2.62% at 500-plus. The under-20 share sits thinner than the national 68.4%. That mix is the underwrite. Some files are mid-size floors. Some are campus remnants. Confirm headcount. Do not assume Owensboro looks like Lexington.

Published SBA 7(a) still caps at $5 million with a 10% change-of-ownership injection under SOP 50 10 8. Kentucky’s heavier average does not enlarge the box. Enterprise value plus fees plus the peg either fit or they do not. SBA 7(a) for manufacturing acquisitions is the long form.

Lexington paper helps the 10% only when it is full standby for the 7(a) life and only for half the injection. A note that pays the seller in month one is bank debt by another name. 504 is the building product when you will occupy — $5 million standard, $5.5 million if the project qualifies as a small manufacturer. Stacking both programs does not turn a thin check into a cash-out.

Buy a manufacturing business is the nationwide pillar. This page is the Kentucky overlay. Alabama is a neighboring batch page with a different average. Do not copy that cell here.

Auto, appliances, aluminum, and bourbon-adjacent books

Research allows qualitative clusters only: auto assembly and suppliers, appliances, bourbon-adjacent, food, aluminum. Confirm any NAICS count before you put it in a teaser. Sub-sectors keep those packets apart. An IATF supplier and a food plant do not share diligence because they share a commonwealth.

Buy a manufacturing business in Louisville is the metro overlay. Lexington, Bowling Green, Northern Kentucky, and Owensboro stay sourcing labels. Do not treat a river city as a valuation theory. If you will not live there, say so. Most operators will not. If you will, name who runs second shift when an OEM schedule moves.

How a 70.1-person shop still uses 7(a)

A 70.1-person average can still sit inside the published 7(a) product if the check is honest. It can also sit above it. Ask for enterprise value, fees, and the working-capital peg in the same week you name the process. Freeze classes: raw, WIP, finished, consigned, barrels or customer-owned tools if the file is bourbon-adjacent, and unbilled launch hours if it is auto. Physical count at close.

How it works still puts tax returns before a tour. The sell page explains the owner’s side. HedgeStone will not invent listings against the 3,669-shop file. We will not send a letter the 7(a) box cannot carry because the Bowling Green teaser photographed a full lot.

Statute cells that stay N, F, and MfgEx

Kentucky’s 2026 briefing table marks environmental transfer N, sales tax on M&E MfgEx / Occ, bulk / successor tax F, mini-WARN N, and no dedicated broker-license rule widely cited. Counsel confirms each cell. Business-broker licensing is still a hygiene question on the engagement. The deed still needs a licensed real-estate broker. Jason Taken is a business broker.

All Appropriate Inquiries still apply (Source: EPA / 40 C.F.R. Part 312). Phase I and Phase II ESA follows ASTM E1527-21. Transfer-act N is not a skip on an aluminum finishing line or a food plant. Recognized environmental conditions are a Phase II budget. Studies stale. Lease Northern Kentucky dirt and you still want process history.

If you later cut or move work, federal WARN tests 100 or more full-time employees. Mini-WARN N does not invent a free pass. A 70.1-person shop often sits under the federal test. A file on the 2.62% 500-plus share may not. Do not invent a headcount.

The research file does not publish Kentucky manufacturing wages. Use national May 2025 medians — machinist $58,750, welder $53,750 — then open the plant’s burdened payroll (Source: BLS OEWS). Do not invent a Louisville machinist print.

When does a Kentucky buyer treat Louisville as a commute, not a multiple?

When the buybox already named process, size band, certificates, concentration ceiling, real-estate stance, and capital path. Louisville is a drive-time preference. It is not a reason to pay a sponsor print on a 9% fabricator. Valuation stays on national size bands. BizBuySell’s manufacturing median 2.75x SDE is Main Street (Source: BizBuySell). Rank 26 is not a multiple.

Buyer types will not share your earnings base. An auto add-on will not pay a launch multiple for an owner-quoted appliance remnant. A searcher who borrowed a services-heavy study median will mis-price a 70.1-person food plant. Anyone who needs 7(a) will stop when the published cap is missed.

BizBuySell’s 2025 manufacturing median close was 223 days (Source: BizBuySell). Staff QoE and a Phase I against that clock. It is not a promise. IBBA Pulse Q1 2026 said 83% of deals over $5 million drew three or more offers. Most 3,669-shop files never enter that room. Leave ISM August 2026 PMI 54.6 and Fed G.17 July 2026 utilization 76.0% in the year file. They do not price an Owensboro whale.

Pull serials and liens before a Lexington walk. Appraise fair market, orderly liquidation, and forced liquidation separately. When asking enterprise value is basically iron plus a cleaned peg, you are buying a 70.1-person payroll, not a platform. Concentration above about 25–30% of sales is still structure.

Jason Taken will write auto, appliances, aluminum, food, or bourbon-adjacent work — then cut “any Kentucky manufacturer.” We will not hide a lapsed IATF card or a current-pay note called equity. After close, keep the Louisville or Bowling Green people who still quote. Lock the OEM or appliance accounts you underwrote. Recount. Transfer the card. That is the quarter, not a second price fight.

Kentucky counsel picks asset or stock. Neither form answers the 2.62% large-plant share. Confirm cells locally. No outcome is guaranteed.

Bourbon-adjacent inventory is not a joke line. If the file includes barrels, consigned packaging, or customer-owned tanks, write those classes before anyone counts. An appliance launch file hides unbilled hours. An aluminum finishing line hides tank heels. Those are three different pegs on one 3,669-shop map.

Northern Kentucky labor is a Cincinnati-adjacent bench. Owensboro is not that bench. Say which one you can staff. A 70.1-person average shop will not run itself from a hotel on I-64.

If you later fold two auto-supplier cells, federal WARN can still attach even though Kentucky mini-WARN is N. Put counsel on that calendar the week you say it. Do not wait for week ten of exclusivity.

Ask how MfgEx / Occ treats this machinery move, then ask whether any hold sits on the wire. Successor tax is F — fact-dependent. Jason Taken will not invent a clearance certificate because a neighbor state prints one.

The 2.62% 500-plus share is why some teasers photograph like campuses. Demand peak and off-peak headcount in week one. A Bowling Green remnant that is actually 80 people is a different letter than a 500-person complex.

QoE on a Kentucky appliance book should rebuild job-cost against the return and a replacement wage on the four names that hold the floor. If the rebuild kills the number, the price moves or you leave. A CIM that leads with river-city square footage is still a brochure.

Form 8594 still allocates iron and intangibles. You want depreciable cells. The seller wants goodwill. Do not invent an exemption because the plant sits in Lexington. Counsel picks asset or stock after the cells are named, not before.

Book a confidential intro call after you can name the process and whether Louisville is a commute.

Kentucky’s CBP 2023 file counted 3,669 shops, 257,247 employees, a 70.1 average, 59.4% under 20, and 2.62% at 500-plus. Mini-WARN is N. Successor tax is F. Those cells are counsel lines, not teaser adjectives.
