A 65.7-person Alabama floor is a staffing file
Census CBP 2023 printed 4,145 Alabama manufacturing establishments, 272,338 employees, a 65.7 average, 62.4% under 20, and 2.44% at 500-plus. Those cells describe a heavier map than a typical Main Street job-shop state. They do not describe your letter. A Tuscaloosa teaser that photographs like a campus still has to name actual headcount, certificates, and who quotes when the owner is out.
The research file has no Alabama wage table. National May 2025 OEWS medians remain $58,750 for machinists and $53,750 for welders (Source: BLS OEWS). Recast the burdened payroll in Birmingham, Mobile, or Montgomery. Four names still decide whether the 65.7-person average is operable: programmer, estimator, second-shift lead, and the person who holds the OEM or Gulf account.
Buy a manufacturing business is the national pillar. This page is the Alabama overlay. Sub-sectors exist so auto-corridor work, northern aerospace, Birmingham steel, and Gulf ship or chemical files do not share one packet because they share a flag.
Corridor first: auto, steel, aerospace, or Gulf
Write the process you can run on Monday. Research allows qualitative clusters only: auto assembly corridor, aerospace in the north, steel and metalworking around Birmingham, ship and chemical work on the Gulf. Do not invent a NAICS count. Do not treat Huntsville, Mobile, Montgomery, Tuscaloosa, or Birmingham as a multiple. Buy a manufacturing business in Birmingham and Huntsville are the metro overlays.
If you will not relocate, say so on the first call. Most operators will not. If you will, say who is on the floor when a Huntsville program slips or a Mobile ship schedule moves. A 2.44% 500-plus share means some files are campus animals. Confirm the plant’s actual headcount before you borrow a search-fund median.
| Corridor named in the buybox | Monday operability test | Alabama statute overlay |
|---|---|---|
| Auto-corridor supplier | Live IATF or OEM scorecard | Mini-WARN N; federal WARN still a calendar |
| Northern aerospace | AS9100 and program access | Env. transfer N; Phase I still budgets |
| Birmingham steel or metal | Serials, rebuilds, and UCC search | MfgEx / Occ on the conveyance |
| Gulf ship or chemical | Permits and customer holder | Successor tax F — fact-dependent |
HedgeStone will not spend seller goodwill on “any Alabama manufacturer.” The sell page is the owner’s voice. How it works still puts returns before a walk.
Capital that still has to fit published 7(a)
SBA 7(a) for manufacturing acquisitions is the product page. Alabama’s 4,145 shops do not invent extra capacity. Published 7(a) still shows a $5 million maximum and SOP 50 10 8’s 10% change-of-ownership injection (Source: SBA). A Mobile seller note counts toward that injection only on full standby — no current principal, no current interest — for the life of the 7(a), and only up to half the injection.
504 remains the building path: $5 million standard debenture, $5.5 million for a qualifying small-manufacturer project, occupancy required. Combined programs are not a $15 million cash-out on a thin check against a Tuscaloosa supplier. Rates are lender-specific. This page will not invent a prime-plus quote.
| Money source | What it can carry on 4,145 shops | What breaks an Alabama close |
|---|---|---|
| 7(a) | Operating company inside the published box | Current-pay note labeled as equity |
| 504 | Occupied Birmingham or Mobile plant | A bay you will not use after the wire |
| ABL | Eligible AR and haircut inventory | Gulf WIP the field exam kicks |
| Equipment paper | Serialized cells with clean UCC | Crashed spindles treated as “included” |
| Seller paper | Honest stretch past the box | Standby theater the lender will not count |
Above the cap you need more equity, a larger bank, ABL, or a seller who will hold paper that is not pretending to be SBA equity. Kentucky and South Carolina sit in the same writing batch. They do not share this 65.7-person cell.
Paper that belongs before a Huntsville walk
Tour last. Valuation on this site is labeled by size band. BizBuySell’s 2025 manufacturing median close was 223 days (Source: BizBuySell). Use that as a staffing clock for QoE, a Phase I, and exclusivity. It is not an employee announcement and not a Huntsville premium.
Environmental transfer is N in the 2026 briefing table. That is not a holiday on a coating bay or a Gulf chemical file. Phase I supports All Appropriate Inquiries (Source: EPA / 40 C.F.R. Part 312). Phase I and Phase II ESA is the ASTM E1527-21 work. Components generally stale after 180 days. Lease the plant and you still want process history. Buy the dirt and you want a current study.
Sales tax on M&E is MfgEx / Occ. Bulk / successor tax is F. An Alabama CPA owns both. Do not invent a clearance certificate because a neighbor state prints one. Mini-WARN is N. If you plan a consolidation after close, put WARN on counsel’s calendar the week you say it. Federal WARN tests 100 or more full-time employees. A 65.7-person average shop can sit under that test. A 500-plus remnant on the 2.44% share may not.
Business-broker licensing shows no dedicated real-estate-for-business rule widely cited for Alabama. Confirm the engagement anyway. Conveying the plant still needs a licensed real-estate broker for the deed. Jason Taken is a business broker.
Write the peg before anyone counts. Raw, WIP, finished, consigned, and customer-owned tools do not share a class. Unbilled first-article hours on an auto file are not finished goods. Physical count at close. Cycle-count theater is how buyers overpay for rust in a Birmingham cage.
Who pays for a 2.44 percent large-plant map
Buyer types will not share your earnings base. An OEM add-on will not pay a certified-supplier multiple for an owner-estimator metal shop. A searcher who imported a high-margin study print will mis-price a 9% fabricator. Anyone who needs the 7(a) box will walk when enterprise value plus fees plus the peg miss the published $5 million cap.
BizBuySell’s manufacturing median 2.75x SDE is a Main Street print (Source: BizBuySell). It is not a sponsor print and not a Huntsville theory. IBBA’s Q1 2026 print that 83% of deals over $5 million drew three or more offers describes a different room. Most 4,145-shop files never enter it. Fed G.17 July 2026 capacity utilization of 76.0% and ISM’s August 2026 PMI of 54.6 describe the year. They do not underwrite a whale.
Certificates are access. IATF on an auto supplier, AS9100 on northern aerospace, and a chemical permit on the Gulf are different Monday tests. Do not invent listings. HedgeStone will take a written buybox, say which parts of it are fantasy, and source quietly. We will not hide a lapsed card because the teaser photographed well.
The intro call tests whether you can run a 65.7-person floor if the owner is the only estimator. If you cannot, the model needs a hiring plan, not a synergy slide. A CIM that leads with bay square footage in Montgomery is a brochure. A backlog that is one platform’s blanket is the book.
Why should an Alabama buyer open OSHA logs before asking price?
Repeat citations are a priced item, not culture. I-9 files and OSHA 300 logs tell you whether the 65.7-person average is a compliance file or a labor file. Ask for make, model, year, control, serial, and the UCC search before you tour. If orderly liquidation value plus cleaned net working capital is close to asking enterprise value, you are buying iron with a payroll attached. Deferred capex — crashed spindles, unreplaced lasers — is a price chip, not the buyer’s problem after the wire.
The first 90 days after the wire are operations. Keep the estimators. Lock the top accounts. Count inventory again. Put maintenance on a calendar. If you bought with 7(a), the $5 million cap and the 10% injection are already behind you (Source: SBA). In front of you is the certificate transfer and whether tribal quoting rules vanish on Tuesday.
Concentration above about 25–30% of sales is structure on an Alabama file the same way it is everywhere. The 2.44% large-plant share does not erase a whale. Alabama counsel picks APA or SPA. Assets can leave unknown liabilities on the seller and can also force new certificates. Stock can keep the customer contracts and every liability that rides with them.
Treat this as briefing copy. Alabama counsel, a CPA, a lender, and qualified environmental and M&E professionals own the cells. No outcome is guaranteed.
A Mobile ship-adjacent file and a Huntsville aerospace remnant do not share a 90-day calendar. On the Gulf, ask what the bay looks like when a ship schedule slips. In the north, ask which program can walk on a change of control. In Birmingham, ask which press is one crash from a price chip. Those questions are Alabama-specific. They are not a radius search.
If you later consolidate two auto-corridor cells, federal WARN can still attach even though mini-WARN is N. Write that before exclusivity. If you will keep every head on a 65.7-person floor, say so in the letter so counsel does not staff a notice file you do not need.
Ask the Alabama CPA how MfgEx / Occ treats a bulk machinery move on this conveyance, then ask a different question: whether any sales-tax hold will sit on the wire. Successor tax is F. That is not a clearance certificate. It is a fact-dependent cell.
Jason Taken will not tour a Tuscaloosa bay to “get a feel.” Returns, serials, and the corridor name come first.
Book a confidential intro call with the corridor and the capital path already named.
Alabama’s CBP 2023 file counted 4,145 shops, 272,338 employees, a 65.7 average, 62.4% under 20, and 2.44% at 500-plus. Huntsville and Mobile are sourcing labels. Mini-WARN is N. Neither fact replaces a written process.
