A 695-shop sourcing map
Census CBP 2023 put North Dakota at rank 47 with 695 establishments, a 69.8% under-20 share, and a 1.01% 500+ share. The national file counted 284,452 establishments and 68.4% under 20. North Dakota’s 42.1-person average is not a tiny-shop story. Relocation honesty belongs here. Most operators will not move to Fargo, Bismarck, Grand Forks, Minot, or West Fargo. If you will, say who runs the floor on Monday.
Logistics are Plains, not island. Winter roads, distance to customers, and oilfield cycle risk still belong in the model. A buyer who prices a Minot fabricator like a suburban job shop will miss backlog quality when the patch slows. Buy a manufacturing business is the nationwide pillar. This page is the North Dakota overlay.
Thin Plains bases also show up on Wyoming — 600 shops and an 83.2% under-20 share. Do not blend the two files. North Dakota’s 1.01% 500+ cell and 42.1-person average describe a different mix.
What buybox fits North Dakota manufacturing?
Machinery, food, or oilfield fabrication — write whether you will live there. Name the process — machinery, food, oilfield fabrication, fabricated metal — not “manufacturing.” Name SDE or EBITDA and the number. Name certificates you must have on day one. Name the highest top-customer share you will live with. Name whether you will lease the Fargo or Bismarck plant, buy it, or accept either. Name the capital path. Name whether oilfield cycle risk is acceptable.
HedgeStone will not send you every employer establishment in the 695-count file. Sub-sector hubs keep the search from becoming a radius dump. A food plant and a Bakken-adjacent fabricator do not share a diligence packet because they share a flag.
Fargo, Bismarck, Grand Forks, Minot, and West Fargo are outreach words. City slugs do not exist on this site. A Fargo food plant is not a Bakken-adjacent fab multiple. Write whether you will live there. Most out-of-state operators will not, and the file notices.
What tax cell is absent from the table?
The 2026 briefing table does not list a MfgEx cell for North Dakota. Sales tax on M&E is F. Bulk / successor tax is F. Environmental transfer is N. Mini-WARN is N. Broker license posture is no dedicated rule widely cited. The absent manufacturing-exemption briefing cell is the buyer question. A CPA in North Dakota owns the conveyance. Do not model “equipment always transfers tax-free” because a different state table showed MfgEx.
| Cell | North Dakota posture | Buyer question |
|---|---|---|
| Sales tax on M&E | F — no MfgEx cell | What does the CPA say on this iron transfer? |
| Bulk / successor | F | Fact-dependent; do not assume a Succ certificate |
| Env. transfer | N | Phase I / AAI still required if dirt or wet process |
| Mini-WARN | N | Federal WARN if facts fit; no listed state clock |
| Broker license | No dedicated rule widely cited | Who is being paid, and is the dirt separately licensed? |
If you plan a consolidation after close, put WARN on counsel’s calendar the week you say it. Federal WARN tests 100 or more full-time employees. The North Dakota mini-WARN cell is N. Do not invent a headcount. Do not copy a Hawaii or Delaware state clock onto Fargo.
Financing a North Dakota acquisition
SBA 7(a) for manufacturing acquisitions is the product page. The box on this page is short.
A 695-shop map still uses national 7(a): $5 million and 10% in (SBA). Fargo seller paper is the injection only on full standby for the loan’s life, and only half of it. A note that pays the Fargo seller every month is credit, not equity.
504 can buy Bakken-adjacent or Fargo iron when you occupy. Not a $15 million cash-out on a thin check inside a 695-shop base.
| Stack | Fits a 695-shop file | Dies when |
|---|---|---|
| 7(a) | Operating company in the published box | Oilfield seasonality treated as equity |
| 504 | Occupied Fargo or Bakken-adjacent plant | A building you will not use |
| ABL | Eligible AR | Fabrication WIP the exam rejects |
| Equipment | Owned serialized iron | Hidden UCC |
| Seller paper | Real stretch | Monthly pay during the 7(a) |
Diligence when the MfgEx row is missing
Paper still precedes a Fargo tour. How it works does not change because the bench is 695 shops. What changes is the absent manufacturing-exemption cell. Machinery, food, oilfield fabrication, and fabricated metal do not share a packet because they share a flag. Bakken-adjacent books hide cycle. Food books hide certificates. Machinery books hide job-cost versus quote.
Cleanup liability does not wait for a transfer act. All Appropriate Inquiries still apply (Source: EPA / 40 C.F.R. Part 312). Read Phase I and Phase II ESA before you treat a Bismarck or West Fargo pad as clean because the table marks env. transfer N. ASTM E1527-21 reports age out. Food wastewater and finishing still get a study.
| Plains check | What fails first | North Dakota fact |
|---|---|---|
| Iron transfer | A modeled tax-free move | Sales tax on M&E F — no MfgEx briefing cell |
| Oilfield backlog | Patch slowdown | Minot and Bakken-adjacent mix |
| Job-cost versus tax | Owner still quotes | 69.8% under-20 |
| Serials and UCCs | OLV versus asking EV | Rank 47; 42.1-person average |
| Dirt or wet process | Phase I / AAI | Env. transfer N |
| Headcount cut | Federal clock if facts fit | Mini-WARN N |
| One customer | Structure | Concentration ceiling you wrote |
Write the peg in the letter, not in week ten. Oilfield WIP is not grocery inventory. A 695-shop map does not turn fabrication lots into retail. QoE should rebuild job-cost against the return and a replacement wage on a 42.1-person shop — larger than an island average, still owner-heavy when the patch is the book.
Section 1060 and Form 8594 still allocate iron and goodwill. The buyer wants Class V machinery. The seller wants capital-gain intangibles. Because the briefing table has no MfgEx cell, a North Dakota CPA owns the conveyance sentence. Do not assume equipment always moves tax-free because a different state’s table showed MfgEx.
Counsel picks stock or assets. Neither choice invents an exemption row. Neither choice imports a Hawaii or Delaware notice clock. Mini-WARN is N. Federal WARN still tests 100 full-time employees. Employment in the file is 29,264. The 1.01% 500+ share is small, not zero. If a Fargo teaser implies a campus, ask for the headcount before you model a cut.
See the floor after the binder. Do not show up in branded fleece in Grand Forks. Rank 47 is not cover for a cold walk-in. A 42.1-person average means someone on that floor knows who you are.
Who else bids on a 42.1-person Fargo file
Buyer types price different earnings. An add-on that wants a machinery platform will not pay that multiple for a shop whose backlog is one producer. A searcher who imported a 25% study margin will break a fabricator that lives closer to 9%. Anyone boxed by 7(a) will stop when enterprise value plus fees plus the peg exceed the published cap.
Size-band valuation is the site rule. BizBuySell’s 2.75x SDE median is a Main Street print (Source: BizBuySell). It is not a Fargo premium and not a Bakken premium. IBBA Pulse Q1 2026: 83% of deals over $5 million drew three or more offers (Source: IBBA). Most 695-shop files never enter that room. Do not stretch past the 7(a) box because you like I-94.
Certificates are access. A lapsed food card or a missing customer approval on oilfield iron is a hole in Monday’s book.
Jason Taken will write the process buybox, cut “any North Dakota manufacturer,” and source quietly. We will not invent listings. We will not hide the missing MfgEx cell because the CIM photographed a clean Fargo bay.
How should a North Dakota buyer write cycle risk into the peg?
Name raw, WIP, finished, consigned, and customer-owned tools. Unbilled fabrication hours are not finished goods. Write what happens to the peg if the patch slows. Physical count at close. Cycle-count theater is how buyers overpay for rust in a Minot cage.
After the wire, the work is operations. Keep the estimator who knows the oilfield accounts. Lock the food or machinery customers that are not seasonal theater. Count again. Say whether you will live in Fargo, Bismarck, Grand Forks, Minot, or West Fargo. Most operators will not. If you will not, say who runs the floor on Monday.
No North Dakota manufacturing wage table sits in the research file. Use the national BLS OEWS May 2025 medians — machinist $58,750, welder $53,750 (Source: BLS) — as backdrop only. Burdened payroll is the underwrite. Machinery hides people in programming. Food hides them in QA. Oilfield fab hides them in estimating. Ask for the names that actually hold the customer.
A Minot top account is not priced by a national PMI print. ISM August 2026 at 54.6 and Fed G.17 July 2026 utilization at 76.0% are year-level series. Stanford medians assume a margin most Plains fabricators do not print. Plan exclusivity and the CPA pass on the missing MfgEx cell against the BizBuySell 2025 manufacturing median close of 223 days (Source: BizBuySell). That is a planning number, not a funded close.
Counsel confirms the cells. No outcome is guaranteed.
