Tiny-shop math

Census CBP 2023 put Wyoming at rank 49 with 600 establishments and a 0% 500+ share. The national file counted 284,452 establishments and 68.4% under 20. Wyoming’s 83.2% under-20 share is thinner than the national print. Relocation honesty belongs here. Most operators will not move to Cheyenne, Casper, Laramie, Gillette, or Rock Springs. If you will, say who runs the floor on Monday.

Logistics are high-plains distance and energy-cycle risk, not a suburban truck court. A 17.0-person shop usually means the owner quotes, programs, and holds the customer. If you cannot replace that person in Gillette, the teaser is a brochure. Buy a manufacturing business is the nationwide pillar. This page is the Wyoming overlay.

Alaska is the next-smaller CBP base — 576 shops and an 86.5% under-20 share — with its own license listing. Do not blend the two files. A Casper fabricator and an Anchorage seafood shop do not share a diligence packet.

What buybox fits Wyoming manufacturing?

Energy-adjacent fab, food, or wood — write that you will live in the plant. Name the process — energy-adjacent fabrication, food, wood, small metal — not “manufacturing.” Name SDE or EBITDA and the number. Name certificates you must have on day one. Name the highest top-customer share you will live with. Name whether you will lease the Cheyenne or Casper plant, buy it, or accept either. Name the capital path. Name whether you will live in the county.

HedgeStone will not send you every employer establishment in the 600-count file. Sub-sector hubs keep the search from becoming a radius dump. A food plant and a Gillette fabricator do not share a diligence packet because they share a flag.

Cheyenne, Casper, Laramie, Gillette, and Rock Springs tell you where a 600-shop file can sit. City pages are unpublished. Gillette fab is not a Cheyenne food turn. Write whether you will live at the plant. Remote ownership of a thin Wyoming file usually fails the first winter.

Does the license listing change the engagement?

The 2026 briefing table lists Wyoming as a license state. If the person being paid to market the 600-shop file required a license and did not have it, counsel should say so before you rely on the CIM. Do not invent a statute name. Do not treat the listing as a free pass because the shop is tiny.

Business-broker licensing is not only the seller’s problem. Conveying the plant still needs a licensed real-estate broker for the deed. Jason Taken is a business broker.

If you plan a consolidation after close, put WARN on counsel’s calendar the week you say it. Federal WARN tests 100 or more full-time employees. On a 17.0-person average Wyoming shop the federal test often will not attach. The state mini-WARN cell is N. Do not invent a headcount.

Financing a Wyoming acquisition

SBA 7(a) for manufacturing acquisitions is the product page. The box on this page is short.

Six hundred shops do not get a homemade 7(a). The box is $5 million and 10% (SBA). Casper or Cheyenne seller paper is equity only on full standby, and only up to half the injection. A note that pays the Casper seller every month is credit, not equity.

504 can carry energy-adjacent dirt if you live in the building. Not a $15 million cash-out on a 17.0-person check inside a 600-shop base.

Wyoming’s 600 shops and 83.2% under-20 share describe owner-run files. The buyer who will not relocate should say so on the first call.

Diligence on a 17.0-person Casper file

A Casper tour still waits on returns. How it works does not shrink because the bench is 600 shops. Energy-adjacent fabrication, food, wood, and small metal hide different books. A Gillette fabricator and a Cheyenne food room do not share a packet. The 83.2% under-20 share and the 0% 500+ cell mean the owner is usually the shop.

Business-broker licensing already sits above. The diligence pass is whether the person paid to market the 600-shop file needed a license and had it. Jason Taken is a business broker. Conveying the plant still needs a licensed real-estate broker for the deed.

All Appropriate Inquiries still attach to dirt or a wet process (Source: EPA / 40 C.F.R. Part 312). Phase I and Phase II ESA is the ASTM E1527-21 work. Food wastewater and finishing tanks still get a study. Laramie is not a reason to skip it. The transfer-act cell is N. Do not invent one.

Write the peg into the letter. A 600-shop count does not turn wood or fabrication lots into retail. QoE should rebuild job-cost against the return and a replacement wage on a 17.0-person shop. If that rebuild kills earnings, the price moves or you leave. Mixed personal trucks are not collateral until a UCC search says so.

Allocation still uses Form 8594. The buyer wants depreciable iron. The seller wants intangibles. Sales tax on M&E is F. A Wyoming CPA owns the conveyance. Do not invent an exemption row because the shop sits in Cheyenne.

Stock or assets is counsel’s fork. Neither structure answers the license listing. Neither structure invents a mini-WARN threshold — the cell is N. Federal WARN still tests 100 full-time employees. On a 17.0-person average that test often will not attach. Employment in the file is 10,171. If a Casper teaser implies a campus, the 0% 500+ cell already answered.

See the floor after the binder. Leave the branded fleece in the truck. Rank 49 does not quiet a drop-in. An 83.2% under-20 share means the owner is the shop you just walked into.

Who else bids when 83.2% of shops sit under 20

Buyer types will not share your letter language. A strategic who wants energy-adjacent capacity will not pay a platform multiple for a 17.0-person owner shop. A searcher who borrowed a services median will break a thin fab book. Anyone who needs the 7(a) box will stop when enterprise value plus fees plus the peg will not fit.

Valuation stays on national bands. BizBuySell’s 2.75x SDE median is Main Street (Source: BizBuySell). It is not a Cheyenne premium and not a mountain premium. IBBA Pulse Q1 2026: 83% of deals over $5 million drew three or more offers (Source: IBBA). Most 600-shop files never enter that room. Do not stretch past the published box because you like the drive from Denver.

Certificates are access. A lapsed food card or a missing energy-customer approval is Monday’s hole.

Jason Taken will write the buybox, cut “any Wyoming manufacturer,” and source quietly. We will not invent listings. We will not hide the license listing because the CIM photographed a clean Casper bay.

How should a Wyoming buyer write occupancy into the peg?

Name raw, WIP, finished, consigned, and owner-used iron you will not keep. 504 occupancy is a fact, not a story — if you will not live in the Cheyenne or Casper building, say so before you model the debenture. Physical count at close. Cycle-count theater is how rust in a Gillette cage becomes price.

After the wire, run the shop. Keep the person who quotes. Lock the accounts that are not energy theater. Count again. Say whether you will live in Cheyenne, Casper, Laramie, Gillette, or Rock Springs. Most operators will not. A 17.0-person average does not run itself from another time zone.

The research file has no Wyoming manufacturing wage table. National BLS OEWS May 2025 medians — machinist $58,750, welder $53,750 (Source: BLS) — are backdrop. Burdened payroll is the underwrite. Energy fab hides people in estimating. Food hides them in QA. Wood hides them in the mill. Ask for four names. There may only be four.

Gillette demand is not a capacity-utilization trade. Park ISM August 2026 PMI 54.6 and Fed G.17 July 2026 utilization 76.0% in a year memo. Stanford medians assume a margin most 17.0-person shops do not print. Staff QoE and the license file against the BizBuySell 2025 manufacturing median close of 223 days (Source: BizBuySell). Treat that as a workplan, not a funded date.
