Express-coverage as a counsel question
The 2026 table marks South Dakota broker license as Y — express-coverage compilation. Env. transfer is N. Tax on M&E is F. Bulk / successor is F. Mini-WARN is N. Counsel confirms. Compilations, including the Midwest Brokers 2026 guide, are not opinions of counsel.
Express-coverage on a 1,034-shop map changes who should be on the engagement. It does not change Form 8594. Licensing is the briefing. Jason Taken is a business broker. If counsel says a real-estate card attaches, write that in week one so the LOI does not lie about who marketed the file.
Buy a manufacturing business is the nationwide pillar. This page is the South Dakota overlay. HedgeStone will not send you a random slice of 1,034 locations. Montana has 1,393 shops and a 15.7-person average. West Virginia has 1,060 shops and a 45.6-person average. Those are different benches. Do not treat “small-count Plains or mountain state” as a buybox.
What buybox fits South Dakota manufacturing?
Name machinery, food, fabricated metal, or electronics — the clusters research allows — or name another process you can operate. Sub-sectors exist so you do not type “any manufacturer in South Dakota.” Name size band. Name certificates. Name a concentration ceiling. Name lease versus buy. Name capital. Name East River versus West River if you will not relocate across the Missouri.
A 45.8-person average shop is the largest in this small-base batch. That changes how many named people you must keep. It does not change Form 8594. If you cannot staff a Brookings machinery cell without the seller, write that in the letter. The under-20 share is 67.4%. The 500+ share is 1.06%.
Sioux Falls, Rapid City, Aberdeen, Brookings, and Watertown are sourcing words. A metro line is not a premium. Buyer types will not pay a sponsor print for an owner-estimator food shop just because the plant sits in Sioux Falls. The sibling sell page is the owner’s voice. This is the buyer kill sheet.
Does the license compilation change the engagement?
Yes, as a counsel question. Express-coverage is the cell this page owns. It can change who must be licensed to market the file. It does not invent a South Dakota multiple. It does not raise the 7(a) cap. Assets-only commentary dies when a deed appears — and may die earlier if counsel reads the compilation onto a business-opportunity definition. Write the fork before anyone tours.
If the thesis includes a cut or a move after close, open WARN the week you say it. Federal WARN is the 100-full-time-employee statute (29 U.S.C. § 2101). A 45.8-person average and a 1.06% 500+ share make that more plausible here than on a 15-person shop. Do not paste New York’s 90 days onto an Aberdeen letter. Mini-WARN is N. An N is not a speech that no notice law exists.
A speech in the management meeting that you will fold a shift is a notice fact. Write it before anyone counts inventory.
Financing a South Dakota acquisition
Sioux Falls scale does not rewrite SBA 7(a). Change-of-ownership still uses a $5 million cap and a 10% injection; a seller note counts toward that injection only if it is on full standby and only for half of it (Source: SBA). A 504 on a plant you will occupy stays $5 million, or $5.5 million if the project qualifies as a small manufacturer.
| South Dakota stack | What a 1,034-shop file can carry | What kills the letter |
|---|---|---|
| 7(a) | A Brookings or Watertown operator inside the published cap | An asking price that only works if the box is ignored |
| 504 | Dirt on East River or West River you will occupy | A warehouse you will lease to someone else |
| ABL | Collectible AR after a field exam | WIP a lender will treat as scrap |
| Equipment | Owned serials with clean UCC searches | Customer fixtures sitting on your floor |
| Seller paper | A stretch after real cash | Current-pay paper dressed up as equity |
If asking EV sits above the published cap, bring cash, a conventional bank, an ABL line, or a note that is actually a note. A 1.06% 500+ cell is not a $15 million cash-out on a thin check. Machinery teasers often list customer-owned fixtures as if they were collateral. They are not.
Valuation still uses national size bands. BizBuySell’s manufacturing sold set printed a 2.75x SDE median for 2021–2025 (Source: BizBuySell). IBBA Pulse Q1 2026 said 83% of deals over $5 million drew three or more offers (Source: IBBA). That is a competition print on a clean EBITDA file. It is not a reason to ignore the 7(a) cap because Sioux Falls is convenient.
Diligence on a South Dakota plant
How it works still says tax returns before a tour. South Dakota adds an express-coverage license cell, a 45.8-person average, and process books that hide machinery, food, fab, and electronics. Machinery hides job-cost versus quote. Food hides certificates and lot coding. Electronics hide customer-owned designs.
| Pass | National habit | South Dakota cell |
|---|---|---|
| Job-cost | Won vs actual | Same; 45.8 average is not a free second chair |
| Concentration | Ceiling you wrote | One account is structure |
| Machine list | Serials and liens | OLV vs asking EV |
| Environmental | Phase I on dirt or wet process | Transfer-act N; AAI still applies |
| Tax on M&E | CPA | F — no MfgEx briefing cell |
| Notice | Federal WARN if facts fit | Mini-WARN N; 1.06% 500+ makes federal more plausible |
| License | Who marketed; who deeds | Y — express-coverage compilation |
Phase I and Phase II follow ASTM E1527-21 and All Appropriate Inquiries (Source: EPA). Food wastewater, finishing, and long industrial use still get a study. Components generally stale after 180 days. South Dakota is not an ISRA clone.
Freeze the peg in the letter. A 1,034-shop count does not turn WIP into retail inventory. QoE rebuilds job-cost versus tax. If the report kills earnings, the price moves or you leave.
Form 8594 and IRC § 1060 still split iron and intangibles on a 1,034-shop file. Buyers want depreciable Class V machinery. Sellers often want capital-gain intangibles. Tax on M&E is F, not MfgEx. A CPA still checks occasional-sale treatment. Express-coverage does not change the allocation fight. It changes who should be on the engagement.
Asset versus stock is a counsel fork. Neither structure answers the compilation question. Neither structure invents a mini-WARN threshold. The table marks South Dakota as N. A 45.8-person average and a 1.06% 500+ share make federal WARN more plausible here than on a 15-person mountain shop. Write the headcount in week one.
Should you prefer a Brookings machinery shop or a Watertown food room? Write the process before you write East River versus West River. Rank 44 does not make those files interchangeable. Employment of 47,333 on 1,034 shops is close to West Virginia’s 48,350 on 1,060 — similar scale math, different license cell. Montana has more shops (1,393) and a 15.7-person average. Do not blend them.
Plant visits come after paper. No branded fleece in a Sioux Falls bay. No photographing a fixture. Confirm the cell exists and the inventory cage matches the report. Rank 44 does not make a Tuesday walk-in quieter. A 67.4% under-20 share still means many owners are on the floor.
National wages
South Dakota research does not publish a state manufacturing wage.
Use the national May 2025 OEWS medians — machinist $58,750, welder $53,750 (Source: BLS) — then recast the actual Sioux Falls or Brookings burden. The question is whether the scarce job starts without the seller. On a 45.8-person average that seat is often a named superintendent. Machinery files hide that person in estimating. Food files hide QA. Electronics files hide process engineering. Get the four names before you tour.
I-9 and OSHA 300 logs are diligence. Repeat citations are priced. If you plan to cut or move work, federal WARN may still apply. Do not import a mini-WARN threshold. The table marks South Dakota as N.
ISM and Fed series describe the year. They do not underwrite your target’s top account. Capacity utilization is not a reason to stretch a multiple because the plant sits in South Dakota. Put climate in a memo. Put job-cost, concentration, and the machine list in the model.
Name the superintendent, the estimator, and the person the customer actually calls. Count inventory again. Schedule the certificate transfer. Decide whether you will live East River or West River. BizBuySell’s 2025 manufacturing median close was 223 days (Source: BizBuySell). Use it to staff QoE and the counsel pass on express-coverage. It is not a promise. Stanford medians assume a margin profile most job shops do not have.
Jason Taken will write the buybox down, cut “anywhere in South Dakota,” and source quietly. We will not invent listings. We will not hide a compilation cell. We will not send a letter the 7(a) box cannot carry.
Counsel confirms the cells. No outcome is guaranteed.
