Thin establishment count, real processes

One thousand employer locations is not a deep local operator pool. The under-20 share is 64.6%, below the national 68.4%. Average headcount is 45.6. The 500+ share is 1.60%. That mix — few shops, larger-than-tiny plants, a real 500+ cell — is the West Virginia overlay. If you need a buyer already living between Huntington and Parkersburg, say so. If you will relocate, write who holds the customer when you are in another city.

Buy a manufacturing business is the nationwide pillar. This page is the West Virginia overlay. HedgeStone will not send you a random slice of 1,060 locations. South Dakota has 1,034 shops and a 45.8-person average — similar scale math, different process list. New Mexico has 1,266 shops and a 22.2-person average. Those are different benches. Do not treat “small-count state” as a buybox.

Charleston, Huntington, Morgantown, Parkersburg, and Wheeling are sourcing words. A metro line is not a premium. Chemicals and metals are process-safety and specification books, not a river-premium page.

What buybox fits West Virginia manufacturing?

Name chemicals, metals, wood, or fabricated metal — the clusters research allows — or name another process you can operate. Sub-sectors exist so you do not type “any manufacturer in West Virginia.” Name size band. Name certificates. Name a concentration ceiling. Name lease versus buy. Name capital.

A 45.6-person average shop is larger than most small-base files in this batch. That changes how many named people you must keep and whether federal WARN is even in the conversation. It does not change Form 8594. If you cannot staff a Parkersburg chemical cell without the seller, write that in the letter.

Buyer types will not pay a sponsor print for an owner-estimator wood shop just because the plant sits on a river. The sibling sell page is the owner’s voice. This is the buyer kill sheet.

Which West Virginia cells still need a CPA?

Tax on M&E and bulk / successor. Both are F in the 2026 table. There is no MfgEx briefing cell. Env. transfer is N. Mini-WARN is N. Broker license: no dedicated rule widely cited. Counsel confirms. A CPA still checks equipment, occasional-sale treatment, and successor facts. A missing exemption row is not a free pass.

If the thesis includes a cut or a move after close, open WARN the week you say it. Federal WARN is the 100-full-time-employee statute (29 U.S.C. § 2101). A 45.6-person average and a 1.60% 500+ share make that more plausible here than on a 15-person shop. Do not paste New York’s 90 days onto a Wheeling letter. An N is not a speech that no notice law exists.

A speech in the management meeting that you will fold a shift is a notice fact. Write it before anyone counts drums.

Financing a West Virginia acquisition

A Kanawha or Ohio River plant does not get a bigger SBA 7(a) box because the state file is thin. The cap is $5 million. The injection is 10%. Seller paper is equity only when it is fully standby and only for half that injection (Source: SBA). Occupied 504 is $5 million, $5.5 million on a qualifying small-manufacturer project.

504Occupied plant and qualifying ironA building you will not occupy
ABLEligible ARDrum inventory a field exam will not advance
EquipmentSerialized owned cellsUndisclosed UCCs; leased process units
Seller paperStretchMonthly pay labeled as injection

Above the cap you need equity, a larger bank, ABL, or honest seller paper. A 1.60% 500+ cell is not a $15 million cash-out on a thin check. Combined 7(a) and 504 capacity is still occupancy-and-box math. Chemical files often hide leased process units. Those are not collateral.

Valuation stays on national bands. BizBuySell’s 2.75x SDE median is Main Street (Source: BizBuySell). IBBA Pulse Q1 2026: 83% of >$5 million deals drew three or more offers (Source: IBBA). Expect company on a clean EBITDA file. Do not stretch past the 7(a) box because the plant sits on the Ohio River.

Diligence on a West Virginia plant

How it works still says tax returns before a tour. West Virginia adds a missing MfgEx cell, a 45.6-person average, and process books that hide chemicals and metals. Chemical files hide formula IP versus tolling and process-safety history. Metal files hide job-cost versus quote. Wood files hide mill concentration.

Phase I and Phase II follow ASTM E1527-21 and All Appropriate Inquiries (Source: EPA). Chemicals, metals, tanks, and long industrial use still get a study. Components generally stale after 180 days. West Virginia is not an ISRA clone.

Licensing briefs the missing dedicated rule. Assets-only commentary dies when a deed appears. Jason Taken is a business broker.

Freeze the peg in the letter. A 1,060-shop count does not turn drum inventory into retail. QoE rebuilds job-cost versus tax. Chemical inventory gets aged. If the report kills earnings, the price moves or you leave.

Form 8594 and IRC § 1060 still split iron and intangibles on a 1,060-shop file. Buyers want depreciable Class V machinery. Sellers often want capital-gain intangibles. Tax on M&E and bulk/successor are both F. There is no MfgEx briefing cell. A CPA still checks both cells. Do not copy another state’s exemption sentence onto a Parkersburg allocation.

Asset versus stock is a counsel fork. A stock sale on a chemical file can keep registrations and can keep unknown liabilities. An asset sale often needs new listings. Neither structure invents a mini-WARN threshold. The table marks West Virginia as N. A 1.60% 500+ share and a 45.6-person average make federal WARN more plausible here than on a 15-person mountain shop. Write the headcount in week one.

Should you prefer a Parkersburg chemical house or a Wheeling metal shop? Write the process-safety file before you write the radius. Rank 43 does not make those files interchangeable. Employment of 48,350 on 1,060 shops is denser than Montana’s 21,825 on 1,393. That is a labor-bench fact, not a river premium. The under-20 share is 64.6% — below the national 68.4%. Some files have a second chair. Prove it.

Plant visits come after paper. No branded fleece in a Huntington bay. No photographing a process unit. Confirm the cell exists, the crane covers the span, and the inventory cage matches the report. Rank 43 does not make a Tuesday walk-in quieter.

Labor backdrop

The research file has no West Virginia manufacturing wage table.

BLS OEWS May 2025 national medians — machinist $58,750, welder $53,750 (Source: BLS) — sit in the model as backdrop. The underwrite is burdened payroll and whether the owner is the only person who can start the scarce job. On a 45.6-person average that person may be a named superintendent rather than the seller. Chemicals hide key people in process engineering. Metals hide them in estimating. Wood hides them in the mill. Ask for the four names.

I-9 and OSHA 300 logs are diligence. Repeat citations are priced. Process-safety history is priced. If you plan to cut or move work, federal WARN may still apply. Do not import a mini-WARN threshold. The table marks West Virginia as N.

ISM and Fed series describe the year. They do not underwrite your target’s top mill. Capacity utilization is not a reason to stretch a multiple because the plant sits in West Virginia. Put climate in a memo. Put job-cost, concentration, and the machine list in the model.

Name the superintendent, the process engineer, and the person the customer actually calls. Count inventory again. Schedule the certificate transfer. BizBuySell’s 2025 manufacturing median close was 223 days (Source: BizBuySell). Use it to staff QoE, Phase I on a chemical history, and the CPA pass on the F cells. It is not a promise. Stanford medians assume a margin profile most job shops do not have.

Jason Taken will write the buybox down, cut “anywhere in West Virginia,” and source quietly. We will not invent listings. We will not invent an exemption row. We will not send a letter the 7(a) box cannot carry.

Counsel confirms the cells. No outcome is guaranteed.
