What does a strategic acquirer actually pay for in a plant?

A strategic acquirer already lives in the customer's inbox or on the adjacent process. They buy a manufacturer to skip a hiring year, a validation year, or a certificate year. They also bring consent clauses, sharper non-competes, and an integration plan that may retire your brand. HedgeStone runs them next to financial buyers so their bid has to clear a market, not a friendship.

What they are paying for

Make-versus-buy. A process they cannot staff. A customer they cannot call without you. A NADCAP scope, an ISO 13485 listing, a food-contact pouch line, a specified architectural finish. The building is secondary unless the crane coverage or the clean room is the scarce asset.

They are not paying for your owner's story about working eighty hours. They will replace that owner. They are paying for what remains.

How they price

Revenue synergy is their private math. You will not see all of it. Your job is to force a priced process: size band, sub-sector, and at least one other bidder class. How each buyer type prices a manufacturer is the comparison. A strategic who offers 4x on a $5 million-EBITDA certified plant because "we already know you" is making a statement about your alternatives, not about value.

Main Street files still live near BizBuySell's manufacturing SDE band — median 2.75x on the 2021–2025 set (Source: BizBuySell / Iconic recap). A strategic can appear there when a capability is scarce. They can also appear and lowball. Parallel process is the answer.

Consents, novation, and the book that walks

If the top customer is also a friend of the buyer, assume a conversation will happen. Stage it. Customer names stay last in the sale process. Government contracts do not assign because someone shook hands — FAR 42.12 novation is how the government recognizes a successor (Source: FAR). ITAR-registered plants add DDTC clocks when a foreign person will own or control a registrant (ITAR § 122.4(b)). See foreign buyers and CFIUS.

Set-aside status (8(a), SDVOSB, WOSB, HUBZone) generally dies on a change of control unless counsel says the vehicle survives. Do not model it as the buyer's revenue.

Integration and people

Strategics consolidate. They may keep the cell and lose the name. They may move the work in twenty-four months. Federal WARN generally covers employers with 100 or more full-time employees and 60 days' notice (29 U.S.C. § 2101). State mini-WARN rules differ — see WARN and workforce changes and ask counsel. Deloitte / Manufacturing Institute's 3.8 million worker need through 2033 (Source: Deloitte/MI, 2024) is the backdrop: the programmers you promised would stay may get a better offer from the buyer or from the competitor who heard a rumor.

Diligence they do differently

Commercial overlap first. Quality-system second. Financial engineering third. They will still want tax returns. They will still want a machine list. They may care less about a beautiful CIM and more about whether their VP of operations believes the process window. Plant visits still happen after numbers, not instead of numbers.

Phase I (ASTM E1527-21) still applies when they take the dirt or the process history includes tanks, solvents, or plating. A strategic's EHS team can be stricter than a searcher's.

When a strategic is the wrong exclusive

When they are the only call you made. When they already buy 30% of the book and want the rest at a discount. When their legal team wants ninety days of exclusivity to "study synergy" with no deposit and no reverse breakup. When the file would also clear with an add-on or an SBA operator at a number you can live with, and you have not called them yet.

How we run the file

Blind teaser at process and region. NDA. CIM without the customer list. A short list that includes at least one non-strategic if the size band supports it. LOI with a working-capital definition written for a plant. Counsel on non-competes and consents. Jason Taken is a business broker, not the attorney who drafts those pages.

ISM's August 2026 PMI at 54.6 and Prices at 71.1 (Source: ISM) describe cost pressure. Strategics feel it too. It is not a reason to accept the first offer because "the climate is uncertain."

Educational information only. Confirm consents, novation, and non-competes with M&A counsel.

Commercial diligence versus financial engineering

Strategics will map overlap: customers you share, processes they lack, plants they would rather consolidate. That mapping is why customer names stay last. A strategic who already buys from you can be the high bid and the leak in the same month. Stage the book. Hold back the rest of the customer list until the LOI is real.

Non-competes and house accounts are counsel's paper. Enforceability is state-specific. This site will not draft a covenant.

Allocation and the building

Strategics often want the process more than the dirt. A sale-leaseback or a 504 path for a different buyer can still sit in the process. Do not mix a real-estate cap rate into the business multiple. Phase I still applies when they take the dirt or the tanks.

Parallel process, again

If the only call you made is the competitor, you gave them the market. Keep an add-on or an SBA operator in the file when the size band supports it. IBBA Q1 2026 is about alternatives (Source: IBBA). BizBuySell's 223-day 2025 manufacturing median close (Source: BizBuySell) is about patience. Neither is a promise.

Scarcity is their private math; alternatives are yours

A strategic pays to skip a hiring year or a validation year. They also bring consents and integration risk. FAR 42.12 novation applies when government contracts sit in the book (Source: FAR). A parallel process keeps their bid from defining the market.

What scarcity buys, and what a single strategic will try to define

They pay to skip a hiring year or a validation year. They also bring consents, sharper non-competes, and an integration plan that may retire the name. FAR 42.12 novation applies when government contracts sit in the book. A parallel process keeps their bid from becoming the market.

Customer names stay last even when they already buy from you. That friendship is leverage and leakage in the same sentence.

How integration risk should show up in the letter

Name consents. Name the non-compete as counsel's draft. Name whether the plant stays. Name WARN if a line will move. A strategic who offers a low multiple because they already know you is making a statement about your alternatives. Keep another class live until the letter is real.

What a strategic is actually buying on a manufacturing file

A strategic pays for capacity, a certificate, a region, or a customer they cannot hire fast enough. They do not pay a search-fund median because Stanford printed one (Source: Stanford GSB). They will rationalize a plant if two lines make the same part. They will ask for customer consents and, on government work, FAR 42.12 novation. They will walk if the book is one unsigned release.

Commercial diligence is their private math. They already know the spec. They want the last CB audit, the PPAP or first-article file, on-time delivery, and whether the estimator is the owner. Financial engineering is secondary. That is why a strategic exclusive in week one is dangerous: you never learn what a financial buyer would have paid for the same cash flow.

HSR filings are rare at Main Street sizes. Do not invent a clearance calendar to look sophisticated. Do put novation, lease assignment, and certificate transfer on the letter. IBBA Q1 2026’s competition statistic still argues for a parallel process on larger files (Source: IBBA). A single strategic who “needs a week to socialize internally” is how a 223-day manufacturing median becomes an 18-month rumor (Source: BizBuySell).

Keep an SBA operator or an add-on in the mix when the file can support them. Scarcity is their math. Alternatives are yours.

How plant rationalization should show up before you exclusive

Ask whether the buyer’s thesis is keep-the-plant or fold-the-plant. Fold-the-plant files still need WARN analysis if headcount thresholds are met (29 U.S.C. § 2101). They still need a lease assignment or a sale of the building. A strategic who will not answer that question is asking you to grant exclusivity to a rumor. Write the answer into the letter or keep the process open.
