What does an SBA buyer need before they can close a manufacturer?
An individual SBA buyer is often the clearing buyer for an owner-operated manufacturer whose enterprise value fits inside the 7(a) box. They are a person who will personally guarantee a loan, live inside SBA equity rules, and usually stand on the floor after close. They are not a platform. HedgeStone still runs them in a process, because "the only SBA buyer I met" is not a market.
The box, sourced
SBA 7(a) maximum loan is $5 million. Guaranty is generally 85% on the first $1 million and 75% above that, with $3.75 million of standard exposure (Source: SBA terms). SOP 50 10 8 put a 10% equity injection on change-of-ownership files. A seller note counts toward that injection only if it is on full standby — no principal and no interest — for the life of the 7(a), and only up to 50% of the injection (Source: SOP 50 10 8 summaries; confirm with the lender). SOP 50 10 8.1 applies to loan numbers issued on or after 2026-10-01. Use the live SOP. Do not freeze a blog.
SBA 504 remains the product for the plant and much of the heavy iron: $5 million standard debenture, $5.5 million per qualifying small-manufacturer project (Source: SBA / 13 CFR 120.931). Combined 7(a) and 504 from the same borrower can reach $10 million for loans approved on or after 2026-07-04 (Source: SBA). Occupancy and eligible-project rules still apply. This is not a lending commitment.
How they price
They live on SDE or on EBITDA that a lender will treat as cash flow after a replacement wage. Main Street manufacturing in BizBuySell's 2021–2025 set cleared at a 2.75x median SDE multiple (2.04x–3.59x interquartile) on about $268k SDE and $1.13M revenue (Source: BizBuySell / Iconic recap). That is the band many of these buyers inhabit. GF Data 7x EBITDA averages are a different planet (Source: Iconic GF Data recap).
If OLV of the iron plus clean NWC exceeds earnings value, the lender will notice. You may be in an asset-aware deal even if the CIM told a growth story. See manufacturing valuation.
What they open first
Three years of tax returns. The recast, with documents under every add-back. A machine list with serials and liens. AR/AP aging. Inventory by class. Concentration. The building lease or a 504 path. Phase I if the dirt is in the deal or the process history is wet. They will not skip a personal-credit conversation. They should not get a customer list in week one.
Structure collisions
Sellers like notes that pay. SOP 50 10 8 likes notes that wait. If you need current interest to sleep, you may be outside the equity-injection helper and inside a different stack. Do not sign an LOI that assumes the note is cash. Affiliation rules can block sponsor-flavored "individuals." Eligibility is the lender's and counsel's lane.
Working-capital pegs still need a manufacturing definition. SBA does not rescue a bad peg.
When this buyer is the right exclusive — and when not
Right: SDE shop, local operator, building that 504 can take, no scarce certificate a strategic would pay up for. Wrong exclusive: AS9100 / ISO 13485 / specified packaging file that a strategic or add-on will pay for; or a $12 million EV that cannot be shoehorned into $5 million of 7(a) without fiction.
Run PE add-ons and strategics in the same process when the file can support them. IBBA Q1 2026: 83% of deals over $5 million had three or more offers (Source: IBBA). Under $5 million, competition still helps. It is not a guarantee.
Timeline honesty
BizBuySell's 2025 year-in-review put manufacturing at a 223-day median time to close — the slowest major sector in that set (Source: BizBuySell). SBA packaging is one reason files linger. None of those figures is a promise.
ISM PMI 54.6 and Prices 71.1 in August 2026 (Source: ISM) describe cost pressure a lender will also read. They do not change the cap.

What the lender will appraise
The machine or process list, often on OLV. The building if it is in the deal. The recast after a replacement wage they believe. A Phase I if the dirt is wet. They will not take "the shop could run without me" as cash flow. They will not treat a whiteboard job-cost as a borrowing base.
ABL is a different product: a borrowing base, not a vibe. Mezzanine is a cost of stretch. Neither saves a file that cannot produce concentration.
Seller fatigue and the 223-day fact
BizBuySell's 2025 manufacturing median time to close was 223 days (Source: BizBuySell). SBA packaging is one reason. If you need a thirty-day close, this buyer class is probably wrong as an exclusive. A cash strategic or an asset sale to a buyer who does not need 7(a) may be the faster path — at a different number.
Related-party and affiliation
Children, managers, and "individual" sponsors all hit extra questions. Affiliation can block a sponsor wearing an SBA hat. Related-party change-of-ownership gets extra lender attention. Confirm with the lender. This page will not diagnose eligibility from a blog.
SOP 50 10 8.1 applies to loan numbers on or after 2026-10-01. Use the live SOP.
The cap is a box, not a personality type
SOP 50 10 8 requires a 10% injection; a seller note counts as equity only on full standby for the life of the loan and only up to half the injection (Source: SBA). An SBA buyer can be the right clearing buyer for an SDE shop and the wrong exclusive if a strategic will pay for a certificate.
What the published box still refuses to stretch
$5 million is a cap, not a personality type. SOP 50 10 8 wants a 10% injection. A seller note counts as equity only on full standby for the life of the loan and only up to half the injection. Current-pay paper is a different instrument. Affiliation can block a sponsor wearing an SBA hat.
An SBA buyer can be the right clearing buyer for an SDE shop and the wrong exclusive if a strategic will pay for a certificate.
What a change-of-ownership 7(a) file looks like on a manufacturer
The published 7(a) maximum remains $5 million, with a standard guaranty of 85% on the first $1 million and 75% above that (Source: SBA). SOP 50 10 8 still wants a 10% equity injection on change-of-ownership loans. A seller note can count toward that injection only if it is on full standby — no principal and no interest — for the life of the 7(a), and only up to 50% of the injection (Source: SBA / SOP 50 10 8). Current-pay paper is a different instrument. Write which one you mean in the letter.
504 is the product when the plant and much of the heavy iron are in the deal: $5 million standard, $5.5 million on a qualifying small-manufacturer project (Source: SBA). Occupancy rules still apply. Combined 7(a) and 504 capacity is not a $12 million cash-out on a thin equity check.
| SBA plant document | Why the lender opens it | What a CIM often skips |
|---|---|---|
| Three years of tax returns | Cash flow after a replacement wage | Owner perks without backup |
| Serialized machine list | OLV and liens | Photos of a clean aisle |
| Nameless concentration | Credit and structure | “Diversified book” |
| Lease or 504 path | Occupancy and remaining term | “The landlord likes us” |
BizBuySell’s 2021–2025 manufacturing set cleared at a 2.75x median SDE on about $268k of earnings (Source: BizBuySell / Iconic). That is the band many individual 7(a) buyers inhabit. It is not a PE add-on cell. If a strategic will pay for a live AS9100 or ISO 13485 scope, do not exclusive with the first operator who can spell 7(a).
Affiliation and related-party rules can block a sponsor wearing an individual hat. Eligibility is the lender’s call. HedgeStone will not diagnose a loan number from a blog.
Why personal guaranty and occupancy still decide the SBA path
The individual signs. Their credit, their liquidity after the 10% injection, and their ability to stand on the floor are the underwrite (Source: SBA). A buyer who will remain in another city while the owner “stays on for a year” is a different risk than a buyer who already programs a similar cell. Occupancy rules on a 504 plant purchase still require the small business to use the building. A leaseback fantasy that leaves the seller in the building as a landlord is a sale-leaseback conversation, not a 7(a) occupancy story.
