The metric brief is earn-outs in manufacturing deals. The seller ledger is seller financing and earn-outs. How lenders treat earn-outs is the credit sibling. This page is the column scorecard.
| Criterion | Earn-out | Lower cash price |
|---|---|---|
| What you hold after close | A claim that must be earned | Cash that already wired |
| Best use | Named whale, backlog, quality gate | Open risk you will not measure |
| Metric | Named-account GP, dated releases | None — the chip is the deal |
| Lender view | Usually ignored for DSCR | Smaller loan, simpler coverage |
| Information rights | Required or it is folklore | Less after-close fighting |
| Seller energy | Packs, audits, arguments | Transition, then done |
| Buyer energy | Keep the account and the books clean | Pay less, own the risk |
| Walk trigger | EBITDA-after-allocations costume | Haircut the seller will not take |
| Tax / allocation | CPA on contingent character | Cleaner 8594 conversation |
| Honesty test | Invoice-level GP already exists | You can live with the smaller wire |
IBBA Pulse Q1 2026 still showed majority cash at close across bands, with notes and earn-outs appearing above SBA capacity and on gated files (Source: IBBA). That pattern is climate. It is not your clause.
When is the open item actually earn-out shaped?
Use an earn-out when a named customer, a backlog conversion, a quality statistic, or a consent is the thing neither side will fully capitalize. How customer concentration affects value is why the whale gets a slice instead of a speech. Measure trailing-twelve gross profit on that account, write a cap, write a horizon, and write the credit rule for warranty and returns.
Refuse an earn-out when the measurement system is a junk drawer. If the seller cannot produce invoice-level GP under NDA, they are not ready to earn-out that account. If the buyer will not agree to packs after close, they are not ready to pay one.
A lower cash number belongs when the whale can leave and the earn-out would be the entire premium. It also belongs when you need a dated wire for a house or a tax year. Pretty headlines that never arrive do not pay closing costs.
How do lenders treat the two columns?
SBA 7(a) still caps at $5 million with a 10% injection (Source: SBA). Most credit committees ignore earn-outs as a repayment source. Model coverage on cash at close after a replacement wage. Do not tell yourself the contingent slice will carry the note.
A seller note is a different instrument. Full standby — no principal and no interest for the life of the 7(a), and only up to half the injection — can count toward equity (Source: SBA). Seller notes and standby is that page. Current-pay paper is not standby. An earn-out is not a note. Write which one you mean in the letter of intent.
A lower cash price can make the loan fit the box. That is sometimes the whole point. Stretching the headline with paper the lender will not count is how week twelve restarts.
What does an honest earn-out look like on a plant?
Illustrative only — not a listing. Top account 34% of T12 sales. Headline inside a size-band cell you already believe. $350,000 earn-out over 18 months on that account’s GP, definition matching the job-cost extract, volume floor at 80% of T12 units, cap at $350,000, quarterly packs. Ordinary. Collectible if the book holds and the consent arrives.
The costume: “EBITDA above $2.1 million after buyer allocations.” Buyer adds a management fee and a new ERP allocation. Seller collects zero. Refuse that shape in the letter.
Backlog conversion of dated releases can work if cancel-for-convenience language is disclosed and the sunset is short. Credits issued after shipment belong in the definition. A new warranty policy the buyer invents in month two should not starve the metric.
How do tax and allocation change the fight?
On an applicable asset acquisition both sides still file Form 8594 under IRC § 1060 (Source: IRS). Contingent payments have tax character a CPA must own. A lower cash number can simplify the form. It does not delete the form. Do not let a broker — including this one — pick your allocation.
Sell my manufacturing business still wants the size band named before anyone argues a tenth of a turn. Main Street manufacturing in BizBuySell’s 2021–2025 set cleared at 2.75x median SDE on about $268k of earnings (Source: BizBuySell / Iconic). An earn-out on a shop in that room should be a slice, not a second company.
Stanford’s 2024–25 search median of about $16 million at ~6.2x EBITDA on a ~25% margin profile is not a job-shop law and not a reason to earn-out a 9% estimator shop into that cell (Source: Stanford GSB).
How does the calendar punish a blank earn-out?
BizBuySell’s 2025 manufacturing median close ran 223 days (Source: BizBuySell). Leaving “earn-out TBD” inside a long exclusive is how you spend week ten arguing about allocations. Write the metric family in the letter: named-account GP, backlog conversion, or a named quality statistic. Write the dollar cap. Write the horizon.
Sellers who already know the whale is the issue should put a proposed metric in the CIM. Buyers who need paper to stretch a multiple should say so. Stretching a multiple with a metric nobody can audit wastes that planning calendar.
Census CBP 2023 counted 284,452 manufacturing establishments, 68.4% under 20 employees (Source: Census CBP). Most of those shops can run a simple named-account GP test. They cannot run a private-equity-style EBITDA bridge. Match the instrument to the book.
Who should choose an earn-out?
Choose the earn-out column if the open item is a named account or a dated backlog, the job-cost file already produces GP, both sides will share packs, and the cap is small enough that a miss does not ruin the seller’s year. Choose it if you can live without the lender counting it.
Refuse the earn-out column if the buyer will not show invoices, if the metric is EBITDA after allocations, or if standby paper and an earn-out would both sit on the same tired seller.
Who should take a lower cash price?
Choose the lower-cash column if you need the wire, the measurement system cannot support a claim, or the whale can leave and the contingent slice would be the entire premium. Choose it if a capitalized buyer will pay a clean number and you are done arguing.
Refuse the lower-cash column only if the haircut is being used to steal a file that already has an auditable metric and a second bidder. IBBA’s 83% three-offer statistic on deals over $5 million is a reminder to keep a process when the file can support one (Source: IBBA). It is not a reason to reject cash you actually need.
