The process brief is selling a manufacturing business with real estate. How real estate affects value keeps the dirt out of the multiple. This page is the keep-versus-sell scorecard.

Fed G.17 manufacturing utilization was 76.0% in July 2026 (Source: Fed G.17). That sentence describes climate. It does not set a cap rate on your bay.

What legal bundle are you actually choosing?

Keep the dirt when the family LLC already owns the plant and the opco pays rent by habit. Write the lease you already live before a buyer invents one. Implied leases become quality-of-earnings problems and 504 problems at the same time. Selling the business and leasing back the plant is the seller companion. Sale-leaseback of a manufacturing facility is the structure page.

Sell the dirt when the buyer is an occupier who needs title to finance the building, or when you do not want to be a landlord to the person who just bought your customers. Two closings can still sit on one date. Silence about the building is a second negotiation in week eleven.

If a mortgage also liens the VMCs, the opco sale must pay that off or obtain a release either column. If a spouse guaranteed the note, they are in the closing whether they run the floor or not.

How do the price instruments differ?

How real estate affects value is blunt: do not hide a cap-rate asset inside seller’s discretionary earnings. Main Street manufacturing in BizBuySell’s 2021–2025 set cleared at 2.75x median SDE on about $268k of earnings (Source: BizBuySell / Iconic). Adding “plus the building” to that sentence is how a marketed range becomes fiction.

Price the operating company on its size-band cell. Price the plant on cap rate, replacement, or a real-estate appraisal. Then decide sale, lease, or stay-landlord. Form 8594 on an applicable asset deal will still need a CPA to park real property in the right class (Source: IRS). The multiple is not the allocation.

Stanford’s 2024–25 search median of about $16 million at ~6.2x EBITDA on a ~25% margin company is not a job-shop print and is not a real-estate quote (Source: Stanford GSB).

How does SBA change the column?

Many individual buyers live inside a $5 million 7(a) box with a 10% injection (Source: SBA). They can buy the company and lease the plant. They can also pair 7(a) on the opco with 504 on the building when occupancy and eligibility fit. SBA 504 for plant purchase and 504 for plants and heavy equipment are the product pages.

SBA 504 remains $5 million on a standard debenture and $5.5 million on a qualifying small-manufacturer project (Source: SBA). Occupancy is a lender confirmation. Empty bays look like unused rent and unused occupancy. A buyer who must occupy a stated share of an existing building may not want to pay for a dark warehouse.

Combined 7(a) and 504 can reach $10 million for fitting borrowers (Source: SBA). Affiliation can still block a casual stack. Confirm before you exclusive on “they’ll just buy both.”

Does environmental work change if you keep title?

No. Soil, tanks, pits, and permit deviations are facts. Phase I and Phase II still start on an ASTM / AAI path when the process or the site history is wet (Source: EPA). Keeping the building does not make a wet process dry. Selling the building does not erase a tank file because the shares or the deed changed hands.

A REC found after the announcement is a restart on either column. Order Phase I when the recast starts, not when the lender asks. A report that will be stale at the table needs a refresh written as a condition.

What special-use and calendar facts belong on the same page?

If the plant is a monument — pits, cranes, and a next tenant who may not exist — keeping title and leasing can be the rational column. Selling a special-use box into a thin buyer stack is how you wait a year for someone who wants your exact bay.

BizBuySell’s 2025 manufacturing median close ran 223 days (Source: BizBuySell). Title, survey, easements, and landlord estoppel sit on that calendar if a third party owns the dirt. Transfer-tax estimates belong next to the cap-rate conversation. Local. A CPA and a real-estate closer. Not a teaser.

If a family member lives in an apartment inside the plant, that occupancy is a diligence fact and a 504 occupancy fact. Move them or disclose the arrangement. Surprise bedrooms are not charming in underwriting.

ISM’s August 2026 PMI of 54.6 and Prices Index of 71.1 are CIM weather (Source: ISM). They do not heat an unused wing.

Who should keep the real estate?

Choose keep-and-lease if you want the rent stream, can write a real lease at a rent a successor will pay, and can live with being landlord to the buyer. Choose it if the building is special-use and a thin occupier stack would stall the opco sale. Choose it if 504 occupancy will not fit the monument.

Refuse keep-and-lease if you will not write the lease, if the mortgage still swallows the machines, or if you want to be done with tanks and tenants on the same day.

Who should sell the real estate?

Choose sell-the-dirt if an occupier-buyer can finance title on a 504 path you have already sketched, if you do not want landlord residual risk, and if Phase I is already in motion. Choose it if the family LLC wants a clean exit from both entities on one close date.

Refuse sell-the-dirt if the only number you have is “about a million” inside an SDE sentence, if empty bays break occupancy, or if cross-collateral on the iron has not been mapped. Unmix the stacks first.
