Why does a leaseback refuse the same math as a 504 purchase?

SBA 504 for a plant purchase wants an occupier who is taking title. A leaseback wants an occupier who is paying rent. Those are opposite deed outcomes. Individual SBA buyers can still use 7(a) on the company — $5 million standard cap, 10% injection under SOP 50 10 8, seller note as equity only on full standby and only up to half the injection (Source: SBA). They cannot pretend the leaseback is a 504.

The seller-cluster leaseback page speaks to owners who want the rent stream. This page speaks to the facility itself: special-use residual, tenant credit, and whether a later investor will underwrite the paper.

If the buyer needs the depreciation and the control of a deed, stop calling the structure a leaseback. Send them to buying the plant.

What makes a manufacturing lease financeable instead of familial?

A financeable industrial lease names the landlord entity, the tenant entity, the premises, the use, the term, the options, the rent and bumps, taxes and insurance, maintenance, restoration, assignment, and environmental. A familial lease says "we will be fair" and attaches a floor-plan from 2009.

Lease termWhy a lender or later investor caresCommon manufacturing fail
Term plus optionsDebt life vs remaining occupancyTwo years left on a 5-axis cell with twelve years of life
Use clauseProcess actually run"Light assembly" on a paint line
NNN vs grossWho pays the roof and the slabSilent HVAC on a food room
Assignment / change of controlNext sale of the companyConsent "in landlord's sole discretion" with no standard
EnvironmentalWho owns a new RECTenant inherits 1978 pits with no cap on indemnity

Lease assignment is the cousin problem when the landlord is already a third party. Here the landlord is the seller, which makes the first draft easier and the conflict-of-interest louder. The seller wants high rent. The buyer wants coverage. Market, not family history, has to win.

How should special-use residual be priced without a fake national cap rate?

A crane bay, a food room, or a pit line has a residual that a generic warehouse does not. That residual is local. This site will not publish a national factory cap-rate series. A real-estate professional who leases or sells that product in that metro quotes the rent and, if asked, the residual. How real estate affects value is the valuation sibling. This page is the lease-structure sibling.

Inflated rent to juice a building residual is how DSCR dies on the company loan. Deflated rent to juice a 2.75x SDE story is how the seller donates the dirt. Pick one honest rent.

What environmental sentence belongs in the lease before anyone markets the company?

Open recognized environmental conditions are not "standard NNN." If a Phase I already found a REC, the lease should say who investigates, who remediates, and whether a deed notice or engineering control already limits use. New Jersey ISRA can attach to an industrial-establishment transfer in that state when a deed actually moves; a leaseback that does not convey the industrial establishment is a different ISRA question for New Jersey counsel. Do not copy ISRA onto Ohio.

The teaser stays blind. The NDA room gets the lease draft and the environmental folder in the same week.

molding floor whose landlord and tenant must be different named parties after a leaseback
name the landlord entity and the tenant entity on page one.

What does a 60,000-square-foot food plant on a twelve-year NNN look like?

The owner sells the co-pack company and keeps the real-estate LLC. Rent is reset to what similar food rooms lease for in that county, not to the number that made last year's SDE pretty. The tenant-buyer needs a 7(a) that still covers after that rent. The landlord-seller wants a lease an investor could buy in year four. Those two wants only meet if the form is complete.

If a different bidder wants to buy the dirt with 504, that is a different process, a different exclusivity, and a different CIM sentence. Do not run both as if they were one.

Jason Taken is a business broker. He does not draft leases as counsel, place investor capital, or appraise residuals. Educational information only. A sale-leaseback is a landlord-tenant project attached to a company sale. Write the rent, the term, and the environmental allocation before anyone calls the structure simple. A leaseback-draft week that stays confidential

Monday. Name the two entities. If they still commingle bank accounts, stop and untangle before anyone drafts rent.

Tuesday. Collect local lease comps from a licensed industrial broker. Refuse a national percentage.

Wednesday. Counsel drafts term, NNN, use, and environmental. The owner does not dictate 'standard' from memory.

Thursday. Run the buyer's coverage on market rent. If 7(a) DSCR fails, the price or the rent must move.

Friday. Decide whether a 504 occupier path is still being offered to anyone. If yes, split the processes.

The NDA room. Lease draft and Phase I sit together. Neither is a hallway promise.

How should options, ROFR, and a later building sale be written so they do not ambush the company sale?

A tenant option to purchase, a landlord right of first refusal, or a planned year-four sale to an investor should be on the lease at signing. Burying a purchase option in an email is how year three becomes litigation. If the seller wants the option to force a sale of the building to the tenant, say so. If the buyer wants a right to purchase if the landlord shops the deed, say so. Silence is not neutrality. Silence is a fight.

IBBA Pulse Q1 2026 found 83% of deals above $5 million drew three or more offers (Source: IBBA / M&A Source). Multiple bidders make a vague leaseback lethal. Each bidder will invent a different rent.

What insurance and restoration clauses do manufacturers actually trip?

Replacement-cost coverage on a special-use shell, business-interruption that names the tenant, and restoration after a fire that does not let the landlord rebuild as a vanilla warehouse. A paint kitchen or a USDA room that comes back as "flex" is a different company. Counsel and the insurance broker read those clauses. The business broker flags that they exist.

Waiver of subrogation and additional-insured language should match the named entities, not the owner's nickname for the shop.

How should working capital and security deposits share a closing statement?

A three-month security deposit is not working capital. It is a lease cash item. Do not let it hide inside the peg. Likewise, prepaid rent and tax escrows belong on the real-estate side. How it works sequences the company close. The lease close can be the same day. The columns should still be labeled.

How should a seller-landlord budget roof, HVAC, and a vacant year if the tenant-buyer fails?

Keeping the building is a residual bet on the tenant you just sold to. If that tenant is a first-time operator on 7(a), you are the landlord of a leveraged start. Require a security deposit, a replacement guarantee if counsel allows, and a use clause that lets you re-lease to another manufacturer if the buyer defaults. Pride about "helping them get started" is not a credit policy.

A vacant special-use food room is slow to re-lease. That is why the rent must be honest and the form must be complete. A national cap-rate speech will not fill the space.

What happens to existing equipment liens and UCC filings when only the company sells?

The machines stay with the company. The building stays with the landlord. Confirm that no UCC-1 accidentally described the HVAC or the dock levelers as fixtures the lender could pull. Fixture filings are a title problem on a later building sale and a fight during the company close. The lease should say who owns the mezzanine, the crane rails, and the dust collector. Ambiguity is how a bankruptcy trustee meets a landlord.

Sellers who personally guaranteed the company's equipment loan and also own the building have two pieces of paper. Release both or admit the entanglement.

How should CPI bumps, percentage bumps, and a coverage covenant share one rent schedule?

Pick a schedule a lender can model. Mystery "we will adjust later" bumps are not financeable. A coverage covenant that lets the landlord raise rent whenever DSCR looks healthy is how a 7(a) file dies in year three. Counsel and the buyer's lender should see the same grid. HedgeStone will not market a leaseback whose rent is a vibe.

ISM's August 2026 PMI printed 54.6 with Prices at 71.1 (Source: ISM). Input inflation is not a reason to write an undefined bump. Write the formula.

A landlord who also holds a seller note on the company has two ways to get paid and two ways to squeeze the tenant. Disclose that overlap to the buyer's lender. A coverage fight plus a note default in the same quarter is how a leaseback becomes a foreclosure story. Separate the documents. Separate the default remedies. Counsel drafts both so they do not accidentally accelerate each other.

Who records the memorandum of lease, and why does a later building sale care?

A memorandum of lease in the land records tells a later buyer of the dirt that a manufacturer occupies the shell. Without it, an investor can claim surprise. With it, the tenant has a recorded flag. Counsel decides whether to record. The business broker flags that a financeable leaseback usually wants the memorandum. Do not leave that choice for year four, when the seller-landlord finally shops the deed.
