What is the 504 dollar box for a plant or a press line?
Published CDC authority is $5,000,000 per small business plus affiliates. Small-manufacturer and energy public-policy projects can use $5,500,000 per project (Source: SBA lenders matrix / 13 CFR 120.931). CDC guides also describe accumulated manufacturer eligibility up to $16,500,000 in stated manufacturer or energy cases — confirm that special aggregate with the CDC rather than treating it as a blog entitlement.
Typical stack language in CDC guides is about 50% bank first lien, 40% CDC, and 10% equity, with 15–20% equity if the project is special-use or a startup. Those percentages are structure, not a rate quote. The bank still underwrites the first lien. The CDC still underwrites the debenture. Buying a manufacturing business that includes the building is a real-estate decision and an operating decision stapled together. Read buying the plant with the business as the sibling.
Heavy equipment can sit in a 504 project when it qualifies. A 5-axis cell, a press line, or an injection-molding battery is not automatically "504 iron" because it is expensive. Useful life, essential-use, and lien position still matter. Equipment financing and leasing remains the product when the building is leased and the iron is the only collateral story.
Who must occupy the building, and at what percentage?
Existing building: the small business must occupy at least 51%. New construction: occupy at least 60%, with staged lease-up rules in the SOP (Source: SOP 50 10 8). A buyer who plans to lease 70% of the plant to third parties is not a 504 occupant because the teaser said "campus." A sale-leaseback in which the operating company will not meet occupancy is a different product conversation.
Landlord-owned buildings that will not be purchased are not 504 real estate. Tenant improvements do not convert a lease into a debenture. If the seller owns the dirt and the buyer wants it, put title, survey, and environmental on the same Gantt chart as the 7(a) goodwill loan. How it works is the sequence. Occupancy is a gate inside that sequence.
How did the 2026-07-04 notice change 7(a) plus 504 stacking?
Policy Notice 5000-879058, effective 2026-07-04, clarified that outstanding 7(a) does not reduce 504 maximums (Source: NAGGL summary). Combined SBA-backed financing can reach $10 million in the Administrator's 2026-05-18 announcement (Source: SBA). Before that clarification, files often treated the two programs as if they ate each other's capacity. They still do not become one loan.
Use SBA 7(a) for manufacturing acquisitions for change-of-ownership cash flow and intangibles. Use 504 for the plant and qualifying heavy equipment. Two credit files. Two sets of fees. One close if the CDC, the bank, and counsel share a calendar. SOP 50 10 8 still sets the 10% injection conversation on the 7(a) side. SOP 50 10 8.1 applies to 7(a) loan numbers issued on or after 2026-10-01. Confirm which text governs that number.
When is a small-manufacturer project the $5.5 million path?
When primary NAICS sits in 31–33 and production facilities sit in the United States, subject to 13 CFR 120.802 and the current SOP definition. A holding company that owns a distributor and a light-assembly cell is not automatically a small manufacturer because someone liked the extra $500,000. Confirm NAICS, affiliates, and production-facility facts with the CDC.
| 504 item | Published rule | What breaks it |
|---|---|---|
| Standard debenture | $5,000,000 | Affiliates already using capacity |
| Small-manufacturer project | $5,500,000 per project | NAICS or U.S. production test fails |
| Occupancy, existing | ≥51% | Third-party lease-up above the limit |
| Occupancy, new | ≥60% with staged rules | Spec building the buyer will not fill |
| Job test (from 2025-10-01) | $95,000 / $150,000 small-mfr or energy | Counting jobs the floor will not hire |
| 7(a)+504 combine | Outstanding 7(a) does not cut 504 (2026-07-04) | Treating $10 million as one 7(a) |
Energy public-policy projects have their own path. Do not relabel a job shop as energy because a solar panel sits on the roof.

What job-creation and eligibility tests still apply?
From 2025-10-01, the job-opportunity test is one job per $95,000 guaranteed, or $150,000 for a small-manufacturer or energy public-policy project (Source: 90 FR 47117 via 2026 504 explainers). Job retention can count in stated cases. Inventing headcount on a CIM to hit the ratio is how a CDC file dies. Count people the plant will actually employ.
Refinance exists in some notices and does not exist as a standing promise. Verify the current notice before a seller is told they can "504-refi the building out of the deal." Special-use buildings can require more equity. Startup occupancy is not the same as an existing going-concern plant. The CDC will say which box you are in.
How should a sale-leaseback or leased plant change the 504 conversation?
If the operating company will remain the occupant under a lease the buyer can honor, 504 may still reach the dirt if the buyer is purchasing it. If the seller keeps the building and becomes the landlord, occupancy still has to be real, and the lease has to be financeable. A handshake "rent later" is not a debenture.
Environmental diligence does not take a holiday because 504 has an occupancy percentage. Phase I and Phase II ESA still sit on the calendar when the building is in the project. A stale report is a missing report. The working-capital peg still has to be written for the operating company; 504 does not fund a WIP fight.
What does a 60,000-square-foot owner-occupied plastics plant look like on 504?
Buyer occupies the whole building. NAICS 326. Project includes the plant and a battery of presses with clean serials. Bank first lien on the dirt, CDC second, equity at the CDC's percentage. 7(a) can still carry goodwill and working capital if the change-of-ownership file fits SOP 50 10 8. If the same buyer wanted to lease half the building to a tenant, occupancy math changes before anyone debates the $5.5 million small-manufacturer cap.
Jason Taken is a business broker. He does not underwrite CDC debentures or certify occupancy. Educational information only. Confirm 13 CFR, SOP, and the live refinance notice with the CDC, bank, and counsel. Data current as of September 2026.
How should a seller prepare title and environmental before a 504 buyer arrives?
Put the deed, survey, leases, and every Phase I or Phase II the company already owns in the NDA room on day one. A 2017 report is a map, not current All Appropriate Inquiries. If tanks, plating, or solvents sit in the history, budget Phase II time inside the 223-day median manufacturing close (Source: BizBuySell). Do not wait for the CDC to ask. The first serious 504 buyer will ask in the same week they ask for the machine list.
Federal Reserve G.17 put manufacturing utilization at 76.0% in July 2026 (Source: Fed G.17). A full book does not waive dirt. A busy cell does not occupy a building the buyer will not own.
How should a buyer split goodwill from dirt so two SBA products do not fight?
Write two columns. Column A is the operating company: cash flow, intangibles, working capital, non-qualifying equipment. Column B is qualifying real estate and heavy equipment that will be occupied. Column A often wants 7(a). Column B wants 504. The 2026-07-04 notice means outstanding 7(a) does not eat 504 capacity (Source: NAGGL). It does not mean you can dump goodwill into the debenture.
Appraise the dirt on a real-estate standard. Appraise the iron on an M&E standard. Do not send one broker opinion to both desks and hope. Fees sit in both columns. Injection math on the 7(a) side still uses total project cost for that loan, not a blended fantasy.
If the buyer will not occupy, stop the 504 column. Lease the plant or buy it conventionally. Occupancy 51/60 is a gate, not a vibe. Special-use buildings can demand more equity. Ask the CDC before the letter claims a 10% check is enough.
What survey, title, and landlord facts stall a 504 more often than the debenture cap?
An easement that blocks expansion the model assumed. A title exception the seller "always knew about." A survey that does not match the fence. A landlord who will not subordinate or who will not sell. A tenant in the back bay who has two years left and wrecks occupancy math. Those facts stall more files than the difference between $5 million and $5.5 million.
Put title commitment, survey, leases, and a simple occupancy sketch in the first NDA dump. The sketch should show who occupies which square feet on day one and at month twelve. CDC analysts can read a sketch. They cannot read a hope.
Environmental remains a parallel stall. A Phase I that will go stale inside exclusivity should be started at LOI, not after the appraisal. Combined SBA-backed capacity up to $10 million (Source: SBA) does not buy a fresh report. It buys two products that both need a current inquiry when dirt is in the project.
How should energy public-policy and small-manufacturer paths stay honest?
Energy public-policy and small-manufacturer projects can use the $5.5 million per-project figure and the $150,000 job-opportunity figure. Relabeling a job shop as energy because of rooftop panels, or as a manufacturer when the NAICS is wholesale, is how a CDC file restarts. Confirm 13 CFR 120.802 and the live SOP definition. Confirm affiliates. Confirm U.S. production facilities.
If the file is a straightforward occupied plant in NAICS 31–33, say that. Do not reach for a special path to impress a seller. Special paths have special documentation. The 223-day median (Source: BizBuySell) does not need extra fiction.
