A criterion-by-criterion asset sale vs stock sale manufacturing comparison sits beside this cluster brief if you need the scorecard. Counsel drafts the wrapper. A broker does not.

Taxes when selling is the seller tax briefing. Form 8594 is the allocation fight that appears once you choose assets. Surviving quality of earnings as a seller still applies either way — the recast has to survive the ledger.

What actually transfers in an asset deal that does not transfer in stock?

In an asset purchase the buyer names the assets: machinery with serials, eligible inventory, assigned contracts, IP, vehicles, and often a leasehold. The seller keeps the entity, the cash the parties excluded, and — unless the agreement says otherwise — historical tax and litigation skins. In a stock purchase the buyer takes the shares and therefore the company's history: contracts in place, registrations in place, and the liabilities that already live in the entity.

That sentence is why buyers of dry CNC cells prefer assets and why sellers of government-contract shops sometimes need stock. FAR 42.12 novation is not a handshake. The government must recognize the successor. Set-aside status — 8(a), SDVOSB, WOSB, HUBZone — is not a freely transferable asset. An asset sale can kill the set-aside overnight. An ITAR-registered file that results in foreign-person control of a registrant still needs 60-day advance notice under ITAR § 122.4(b) (Source: DDTC). A domestic stock sale still needs registration amendments. "The buyer is U.S." is not "no DDTC work."

Quality registrations can follow either path, but the registrar and the customer portals have their own rules. AS9100 or ISO 13485 on the wall is not a deed. Ask the registrar and the hero accounts what a name change does.

BizBuySell 2025 put manufacturing at a 223-day median close (Source: BizBuySell). Novation, DDTC, and registrar work sit on that calendar. They do not sit on a retailer calendar.

How do tax and depreciation change the argument without becoming tax advice?

On an asset sale the buyer wants depreciable Class V iron. The seller often wants Class VI/VII intangibles taxed as capital gain. That fight is real. This page will not pick a winner and will not freeze a bonus-depreciation percentage — those rates are year-specific and belong to a CPA. Do not treat a 2022-era slogan as current law.

A stock sale generally leaves inside-the-company tax basis where it is, unless the parties layer an election that counsel and the CPA design. Jason Taken will not draft that election. He will make sure both sides stop saying "the multiple is the allocation."

SBA 7(a) still caps at $5 million with a 10% injection (Source: SBA). Many individual buyers arrive as asset buyers because the credit memo and the appraisal are built that way. The cap does not forbid stock. It also does not rescue a wrapper that breaks the contracts the cash-flow model assumed.

Main Street manufacturing in the 2021–2025 BizBuySell set cleared at 2.75x median SDE (Source: BizBuySell / Iconic). That multiple is a size-band observation on sde-under-1m files, not a reason to ignore structure. An ebitda-3-10m aerospace supplier talking a synthesized 6.5x–9.0x EBITDA band can still lose the deal if novation is treated as paperwork for later.

How do people, WARN, and benefits follow the wrapper?

Employee transfer, benefits, and PTO is the long form. The short form: an asset buyer often extends new-hire offers and writes a new handbook. Accrued PTO is a priced item, not a vibe. Federal WARN (29 U.S.C. § 2101) can apply to employers with 100 or more full-time employees, generally 60 days before a covered plant closing or mass layoff (Source: federal WARN). Mini-WARN statutes in some states add different headcounts and clocks. Counsel reads the site, not a blog.

A stock buyer more often inherits the employment relationship and the plan documents. Union successorship and multiemployer withdrawal liability are priced items on either path. Do not "assume them away" because the teaser called the shop family.

Deloitte and The Manufacturing Institute's 3.8 million workers needed in 2024–2033, with 1.9 million potentially unfilled (Source: Deloitte/MI), is why buyers care who actually shows up on Monday. Structure does not hire a second-shift welder. BLS OEWS May 2025 median wages — machinist $58,750, welder $53,750 (Source: BLS) — belong in the replacement-cost memo either wrapper uses.

When should a seller refuse a stock deal, and when should a buyer refuse assets?

A seller who wants a clean exit and has no novation problem can prefer assets and a tight indemnity. A seller whose backlog is federal, whose registrar will not retag an asset buyer in time, or whose customers have anti-assignment clauses that will not budge, needs to hear stock as a process option — not as a moral failing.

A buyer who cannot diligence tanks, old tax years, or a messy equity ledger should not take stock to "keep it simple." Simple is the opposite of inherited history. A buyer who needs the contracts in place on Tuesday, and who has counsel that can live with the entity, may pay for stock and still escrow the known skins.

Customer contract assignment and consents is the companion for the anti-assignment pile. Escrow, indemnity, and R&W is how leftover risk is priced once the wrapper is chosen. R&W insurance is more common as enterprise value and diligence cost rise. This page will not invent a premium.

What should the letter of intent say so the wrapper is not a week-of-close surprise?

Write "asset purchase of the operating assets listed on Schedule X" or "purchase of 100% of the equity" in the LOI. Write what happens to real estate — often carved out and leased. Write that allocation is a later CPA exhibit, not a silence. Write that government, export-control, and registrar work start on signing, not after the appraisal.

IBBA's 83% three-offer statistic on >$5 million files (Source: IBBA) is a process fact. It does not mean you can leave structure blank because someone else will "figure it out." Competing LOIs that disagree on wrapper are different deals.

Illustrative only: a 22-person fab with no federal work and a clean lease closes as assets; Class V versus VII is the tax argument; employees get new-hire packets. A 90-person ITAR shop with two prime contracts cannot treat novation as a weekend chore; the parties either plan stock with amendments or they plan a novation calendar that can outlast a 223-day median (Source: BizBuySell). Neither story is a listing.

How should real estate, leases, and sale-leasebacks sit beside the wrapper?

The plant building is often a separate stack. An asset deal can buy the operating company and leave the dirt with the seller on a lease. A stock deal can still carve the real estate out of the company before close so the buyer does not accidentally purchase a building they cannot finance. Occupancy rules for SBA 504 — generally 51% on an existing building and 60% on new construction (Source: SBA) — do not choose asset versus stock. They choose whether the building can sit in a 504 project at all.

Successor-tax clearance and occasional-sale treatment of a bulk machinery transfer are state questions. UCC Article 6 is repealed in most states. Sales-tax successor liability still exists in several, including files that close in California. Treat "we repealed bulk sales" as incomplete. A CPA in the closing state owns that sentence.

If the lease has a change-of-control or assignment clause, stock and assets fire it differently. Read the lease before you fall in love with a wrapper. A landlord who must consent is a critical-path person, the same way a prime contracting officer is.

What diligence looks different once the wrapper is named?

Asset diligence is a schedule fight: which serials, which contracts, which IP, which vehicles, which software seats. Stock diligence is a history fight: old tax years, old equity issuances, forgotten guarantees, an abandoned subsidiary, a multiemployer letter. Both still need a Phase I if the dirt is in play, a machine list, and a peg. Do not skip tanks because you chose assets. Do not skip serials because you chose stock.

Quality of earnings still reconstructs earnings either way. A stock buyer who skips QoE because "the entity is clean" is buying a story. An asset buyer who skips the equity ledger can still be surprised by a personal guaranty the owner signed that the APA does not catch.

IBBA's 83% three-offer fact on deals over $5 million (Source: IBBA) means more than one wrapper may be on the table at once. Score them as different deals. Do not average a stock LOI and an asset LOI and call it a market.
