The seller field guide is surviving quality of earnings as a seller. The buyer underwriting view is quality of earnings for buyers. Add-backs in manufacturing is the recast essay. This page is the deal instrument: what the report is, what it is not, and how it sits beside the peg.
What does a plant QoE actually open that a services-firm review will miss?
Tax versus internal P&L versus the job-cost extract. Revenue cutoff and bill-and-hold. Scrap and rework that never hit the P&L. Customer-level margin rebuilt from invoices. Related-party rent and overflow shops. Owner and family pay versus a replacement operator. Personal expenses. Capitalized repairs versus maintenance. Inventory method and E&O. WIP at cost versus quoted-margin hope. Unbilled change orders. Warranty and returns. Whether "backlog" is firm.
A report that never leaves the trial balance will miss the plant. Scope should say the firm will tie travelers to jobs and will walk a sample of the cage. Inventory count at closing is still the photograph at the wire. QoE is the dress rehearsal for whether the method is religion or math.
| Test | Evidence that survives | Evidence that dies |
|---|---|---|
| Owner pay | W-2, K-1, replacement-wage memo | Hours with no dollar |
| One-time costs | Invoices and a date | "We had a lawyer that year" |
| Personal expenses | Card detail, marked items | A vibe percentage |
| Inventory / WIP | Method, physical, travelers | Write-up to hit a CIM |
| Related-party rent | Lease plus a market comment | Token rent juicing SDE |
| Concentration | T12/T36 from the GL | Teaser % that does not tie |
| Maintenance | Work orders vs capex policy | Deferred work called EBITDA |
| Backlog | Dated releases and prices | Wall dollars |
Deloitte/MI's 3.8 million / 1.9 million workforce figures (Source: Deloitte/MI, 2024) explain why a replacement-manager wage is hard. They do not create an add-back. BLS machinist and welder medians ($58,750 / $53,750, Source: BLS) belong in that wage memo.
When does the report appear, who pays, and how long does the window last?
Buyer-paid QoE is common once adjusted earnings are large enough that a lender or sponsor requires it — often around $2 million-plus EBITDA as a broker rule-of-thumb, sometimes lower if the add-back schedule is loud. Searchers near Stanford's 2024–25 median — about $16 million purchase, ~6.2x EBITDA, ~25% margin (Source: Stanford GSB) — will almost always commission one. That median is never a job-shop multiple.
Main Street SDE shops near BizBuySell's 2.75x median on about $268k earnings (Source: BizBuySell / Iconic) may see a lender recast instead of a branded firm. The survival method is the same: documents. Budget two to four weeks once the PBC list is ready. Fighting the report takes longer than answering it.
IBBA Pulse Q1 2026's 83% three-offer fact on >$5 million deals (Source: IBBA) means more than one party may ask the same questions. Answer them once in a room.
How do QoE, the peg, earn-outs, and Form 8594 have to talk to each other?
QoE may recommend a reserve or a WIP restatement. Those recommendations should flow into the peg exhibit and into any earn-out baseline. They should also match Class III/IV thinking on Form 8594. If the four documents tell four stories, you will argue four times.
SBA 7(a) still caps at $5 million with a 10% injection (Source: SBA). A QoE that kills add-backs can break DSCR even if everyone liked the CIM. Combined 7(a)+504 can reach $10 million (Source: SBA). Neither product reprints earnings the report removed.
Valuation still needs a size band × process row after the report. A clean QoE on a 9% fabricator does not mint a search-fund median.

What should the LOI freeze so QoE is not an ambush?
Write who pays, which firm or a selection process, how long exclusivity lasts if the report slips, and what happens to price if earnings move by a stated formula. Write that the seller will staff a PBC coordinator. Write that the peg method will not change mid-report. Leaving "QoE TBD" inside a long exclusive is how week six becomes week twelve.
Sellers should read the survival companion and bind every add-back to a check, a W-2, or a contract before the firm is hired. Buyers should read the buyer companion and refuse a generic memo that never leaves the P&L.
What does an illustrative QoE week look like when the binder is real?
Illustrative only. CIM recast $1.1 million EBITDA including $120,000 owner marketing, $40,000 "shop runs without me," and a $55,000 inventory write-up. Binder has invoices for $25,000 of personal travel, a replacement-wage memo, and a physical that contradicts the write-up. QoE keeps the travel, kills the rest. New earnings $925,000. On an ebitda-1-3m precision conversation inside a synthesized 5.0x–6.5x band, the price talk moves. The exclusive lives because the seller answered.
A second file: empty binder, hostility, a five-page complaint about "hostile accountants." Parties leave. BizBuySell's 223-day 2025 manufacturing median (Source: BizBuySell) is a planning number; a fight can spend it.
Census CBP 2023 counted 284,452 establishments, 68.4% under 20 employees (Source: Census CBP). Most small files will never hire a branded QoE firm. They will still face a lender recast. Same binder. Same honesty.

How should a seller build the provided-by-client list before a firm is hired?
Export the GL with a chart of accounts a stranger can read. Tie the recast to GL accounts, not to a mystery spreadsheet. Pull twelve months of bank recs, the last physical, invoices for the top ten accounts, payroll registers, and sales-tax returns if they exist. Put them in folders named the way a PBC list will ask. If QuickBooks is a junk drawer, clean account names before the firm starts. Renaming mid-process looks like concealment even when it is housekeeping.
A sell-side QoE, if you buy one, should use the same folders. Two truths are how you lose. Related-party vendors, scrap dealers, and cash jobs belong on a schedule now. Cash jobs that never hit the book are not add-backs. They are a character finding and a tax-counsel call.
If you changed accounting software mid-year, map old accounts to new. The firm will spend a week on a conversion you called an upgrade. A mapping file is cheaper than a finding that revenue "does not tie."
How should both sides treat a draft they think is wrong?
Write a fact memo: account, amount, document, what you think was missed. Do not write a character essay. Some findings will move. Some will not. The ones that will not should change the recast and, if needed, the peg. Hostility is how exclusives die.
If the firm wants floor interviews, script them. QoE is allowed to test the cell. The cell is not allowed to invent a sale narrative. Staged disclosure still applies. Redact names until the process releases them. Cutoff can be tested without a full identity dump in week one.
Fed utilization 76.0% (Source: Fed G.17) and ISM Prices 71.1 (Source: ISM) describe climate. They do not prove a year of earnings. Jason Taken will keep the CIM from treating a vibe recast as QoE-ready. HedgeStone will ask whether each add-back has a PDF. If the answer is no, the report will say no. Build the binder or change the recast before anyone pays the firm. That sequence is cheaper than a fight on day twenty of a 223-day planning calendar (Source: BizBuySell).
A last instrument reminder: OLV of iron plus net working capital can exceed earnings value. QoE does not change that floor. If the report and the appraisal together say you are in an asset-aware deal, admit it. Pretending a 4x story will survive a cage of old mills is how exclusives expire. M&E appraisals remain a different document. QoE does not value a spindle.
Price chips versus deal stress versus killers is a useful sort. Chips: a cutoff item, a warranty reserve, a related-party rent true-up, one undocumented add-back. Stress on this deal page looks like shipments that do not match billed revenue, a physical that cannot find the inventory, or a concentration schedule that was a slogan. Killers stay the same class of problem: fraud, absent returns, or a ledger that will not open. Answer small chips with paper. Respond to stress with a revised recast and a structure talk. Respond to killers by stopping the exclusive and calling counsel.
Illustrative only, different from the earlier $1.1 million file: QoE removes $70,000 of vibe add-backs and recommends a peg exclusion for $45,000 of E&O. Seller amends both, keeps two parties. The seller who instead writes a complaint about hostility keeps zero. IBBA's 83% three-offer fact (Source: IBBA) only helps the party who still has a binder.
Software conversions, mid-year cutoff changes, and "we pulled jobs forward for a covenant" should be disclosed on day one of the PBC. The firm is built to see pulled-forward work. A disclosed policy is a finding. A hidden one is a character story. How it works puts QoE after LOI for a reason. Do not grant a long exclusive if the binder is still a vibe. Combined 7(a)+504 capacity at $10 million (Source: SBA) does not rescue a recast the report just broke. Rebuild the number. Then decide whether the exclusive still earns its weeks.
