What should sit in escrow instead of in a speech?
Known items. A Phase II still in the lab. A tax year that is open. A warranty cluster on one program. A multiemployer withdrawal estimate that has not arrived. A customer claim that is in correspondence. Those are escrow-shaped. "The shop is clean" is not.
A common rule-of-thumb on Main Street and lower-middle files is 5–15% of price held for 12–24 months. Label that as a broker rule-of-thumb, not a market print and not a statute. Larger ebitda-10m-plus files more often discuss R&W insurance and a smaller residual escrow. This site will not quote a premium, a retention, or a carrier.
Selling with environmental issues is the dirt briefing. ASTM E1527-21 Phase I work and EPA All Appropriate Inquiries (40 C.F.R. Part 312) still happen whether or not you escrow a REC (Source: AAI practice). An escrow does not create a CERCLA defense.
| Risk | Usual instrument | What the exhibit must name | Who owns the next document |
|---|---|---|---|
| Peg miss | True-up, not indemnity | Method and count date | Accountants |
| Known REC / Phase II | Special escrow | Scope, lab, release test | EP + counsel |
| Open tax year | Special indemnity / holdback | Years and tax types | CPA + tax counsel |
| Warranty cluster | Holdback or GP tail | Named program and policy | Counsel + quality |
| OSHA repeat citations | Price chip or escrow | Abatement list | Safety + counsel |
| Title / lien on a cell | Escrow until UCC dies | Serials | Counsel |
| General unknown | Indemnity + basket + cap | Survival period | Counsel |
| Larger-EV unknown | R&W policy + residual escrow | Exclusions list | Coverage counsel |
Federal WARN (29 U.S.C. § 2101) can still create a notice and liability conversation at a 100-plus full-time site (Source: federal WARN). That is a special indemnity or a process item, not a vibe.
How do baskets, caps, and specials actually work?
A basket is the deductible. A tipping basket pays from dollar one once you exceed it; a deductible basket pays only the excess. A cap is the maximum on general representations. Fundamental representations — title, authority, sometimes tax — often sit outside or under a higher cap. Special indemnities for environmental, tax, or a named lawsuit often sit outside the general basket entirely. Counsel drafts those sentences. A broker will not.
Survival periods are clocks. General reps may die in 12–18 months. Tax and environmental often live longer. If the clock is shorter than the buyer's first audit cycle, the buyer does not have a skin. If every rep survives forever, the seller did not sell.
OSHA history belongs in the same week as the indemnity chapter. Repeat citations are priced items. They are not "closed" because someone ordered a guard.
When is R&W insurance a real conversation, and what must you not invent?
R&W insurance is more common as enterprise value and diligence cost rise. Search-fund and sponsor files in Stanford's 2024–25 median neighborhood — about $16 million purchase, ~6.2x EBITDA, ~25% margin (Source: Stanford GSB) — discuss it more often than a $268k-SDE Main Street shop. That median is never a job-shop multiple. This page will not invent a premium, a retention, or a carrier name.
Policies exclude what the underwriter already saw. A known REC, a known tax position, and a known customer dispute usually stay with the parties. Environmental exclusions are common. Read them. Form 8594 fights are tax questions, not policy questions.
IBBA Pulse Q1 2026's 83% three-offer fact on deals over $5 million (Source: IBBA) is leverage on who pays the residual escrow, not a promise your file will draw three bids.

How do SBA cash and size-band multiples change the holdback fight?
SBA 7(a) still caps at $5 million with a 10% injection (Source: SBA). A holdback is not the buyer's equity check. A seller who needs the entire wire to retire should not agree to a 15% escrow and a standby note on the same tired day. Main Street manufacturing at 2.75x median SDE on about $268k earnings (Source: BizBuySell / Iconic) feels a $80,000 holdback as a piece of a turn.
On an ebitda-3-10m precision file talking a synthesized 5.5x–7.5x EBITDA band, a $400,000 special environmental escrow can be ordinary if Phase II is live. On an ebitda-10m-plus aerospace file talking a synthesized 7.0x–11.0x band, R&W plus a smaller residual is a common conversation. GF Data Q1 2026 manufacturing recap printed 7.2x average and 5.9x under $25 million EV (Source: Iconic GF Data recap) — a larger-EV series, not a job-shop print.
BizBuySell's 223-day 2025 manufacturing median (Source: BizBuySell) is a planning number. Put skins in the LOI. Week-of-close escrow fights are how wires slip.
What should the letter of intent freeze so indemnity is not a surprise?
Write whether there will be an escrow, a target percent band, and whether R&W will be explored. Write that specials for dirt, tax, and named claims are expected if diligence finds them. Write that the peg true-up is separate. Write that how it works still keeps customer names last while environmental reports sit in the room early.
Sellers who want smaller skins should clean the binder: tank letters, OSHA 300s, warranty logs, and a QoE-ready recast. Buyers who want infinite survival should be prepared to lose the bake-off.
Illustrative only: 28-person finisher, Phase II underway, $175,000 special escrow released on a defined lab result, 8% general escrow for 15 months, no R&W because the file is small. Ordinary. A second file: ebitda-10m-plus certified supplier, R&W explored, residual escrow for known items only, environmental exclusion read aloud. Also ordinary. Neither is a listing.
Educational information only. Counsel drafts. Coverage counsel reads any policy. An Environmental Professional owns sampling. Jason Taken is a business broker with HedgeStone Business Advisors. No skin guarantees a close.
How should a seller shrink skins without pretending risk is zero?
Clean the binder before the LOI. Tank closure letters, waste manifests, OSHA 300 logs, warranty claim history, open tax correspondence, and a recast that will survive quality of earnings are how you argue for a smaller holdback. A speech about being a careful owner is not a binder.
If a REC is already known, price it in the CIM process as a special, not as a surprise in week ten. Buyers pay for known work more calmly than they pay for theater. If the multiemployer letter is not in yet, start it now. Withdrawal liability is a priced item, not a shrug.
Sellers who refuse any escrow on a plant with tanks, a union fund, or a whale warranty cluster will lose capitalized buyers and keep the ones who did not read. That is not a win. Selling the company still means delivering a file someone can own on Monday.
How should a buyer size a holdback without turning it into a second price fight?
Sample first. A Phase I under ASTM E1527-21, a QoE that tests warranty and cutoff, and a peg definition that names E&O will tell you whether you need 6% or a special plus a residual. Inventing 15% because "plants are dirty" is how you lose a bake-off that IBBA's 83% three-offer fact (Source: IBBA) says is common above $5 million.
Do not double-dip. If the peg already kicks $70,000 of obsolete inserts, do not also indemnity the same inserts. If QoE already took a warranty reserve out of earnings, do not also escrow the same history unless new claims appear. Write the boundary.
Personal guarantees on indemnity feel comforting and are often unavailable or uncollectible. A funded escrow beats an unfunded promise from a seller who just retired to another state. Rollover can keep the seller in the stack; it is not a substitute for cash in escrow.
Census CBP 2023 counted 284,452 manufacturing establishments, 68.4% under 20 employees (Source: Census CBP). Most of those files will never buy R&W insurance. They will use a holdback, a special, and a short survival clock. Match the instrument to the size band.
Illustrative only: sde-under-1m job shop, no tanks, clean Phase I, 7% escrow for 12 months, peg true-up separate, no R&W. Ordinary. A coatings plant with a live Phase II and a 1990s degreaser history: smaller general escrow plus a defined environmental special. Also ordinary. Neither is a listing.
BLS OEWS May 2025 medians — machinist $58,750, welder $53,750 (Source: BLS) — remind buyers that people risk is a stay package, not an indemnity paragraph. Indemnity does not hire a second shift. Fed utilization 76.0% (Source: Fed G.17) does not size a holdback. The binder does.
ISM Prices at 71.1 (Source: ISM) can explain why aged raw needed an E&O kick. That kick belongs in the peg, not in a general indemnity that lives for two years. Keep each instrument on its own job. HedgeStone will not let a CIM treat "we will make the buyer whole" as a substitute for a written skin. Jason Taken remains a business broker. Counsel writes the chapter. Combined 7(a)+504 capacity can reach $10 million for fitting borrowers (Source: SBA); that stack still does not reprint a holdback you agreed to park.
