How long does it take to sell is the listing-to-close essay. This page is the LOI-to-wire path. How it works is the spine before the letter. Letter of intent guide is the buyer draft. Surviving quality of earnings as a seller sits inside the exclusive.
What should the letter of intent freeze so the clock has a job?
Wrapper — asset or stock. Price and what sits outside it. Peg method, look-back, and count date. Who pays for QoE and what happens if earnings move. Exclusivity length and extension tests. That environmental, export-control, and consent work start on signing. That customer names stay gated. That a close physical will happen.
"Customary diligence" is not a calendar. IBBA Pulse Q1 2026's 83% three-offer fact on deals over $5 million (Source: IBBA) is a process fact, not a promise your file will draw three bids. It is also why a sloppy exclusive is expensive: you turn the other two off.
| Workstream | Typical start | Typical duration signal | What slips it |
|---|---|---|---|
| QoE | Week 1 of exclusive | 2–4 weeks if PBC is ready | Empty binder, method changes |
| Phase I ESA | Week 1 | Then 180-day stale clock | Waiting; Phase II borings |
| M&E appraisal | Week 1–2 | Appraiser calendar | Incomplete serial list |
| Peg sample | Week 2 | Before you freeze dollars | Refusing a sample |
| Financing / SBA | Parallel | Lender + appraisal | Light DSCR after QoE |
| Consents / novation | Week 1 if federal or LTA | Can outlast a hope close | Starting after appraisal |
| Close physical | Final days | One tagged night | No cutoff memo |
| Allocation / 8594 | Parallel CPA | Exhibit before wire | Week-of-close fight |
ASTM E1527-21 Phase I components generally stale after 180 days (Source: AAI practice). Starting a report in month five of a slow exclusive is how you pay twice. FAR 42.12 novation and ITAR § 122.4(b) 60-day notice, when they apply, belong on this Gantt from day one (Source: FAR / DDTC).
How should exclusivity extensions be earned instead of gifted?
Tie extra weeks to delivered items: QoE draft received, Phase I in hand, appraisal ordered, peg sample done. Do not gift 60 more days because someone is "waiting on the bank." SBA 7(a) still caps at $5 million with a 10% injection (Source: SBA). Combined 7(a)+504 can reach $10 million (Source: SBA). Those products have clocks. They do not own yours unless you give them the exclusive for free.
Searchers near Stanford's $16 million / ~6.2x / ~25% median (Source: Stanford GSB) often need investor and lender steps. That median is never a job-shop multiple and never a reason to grant a six-month exclusive with no tests.
What does a realistic month-by-month exclusive look like on a plant file?
Illustrative only — not a promise and not a listing.
Month 1: room opens, QoE PBC, Phase I ordered, serial list to the appraiser, peg sample of lots and jobs, counsel reads LTAs, names still gated if the process says so. Month 2: QoE draft, Phase I received, sample kicks rewrite the peg, financing credit memo, first consent strategy. Month 3: APA drafts, allocation framework, stay packages, registrar and customer scripts, inventory cutoff memo. Close week: tagged physical, true-up calculator, wire.
A 60-day cash strategic with no dirt, no federal work, and a clean lease can compress this. It is not the 223-day median (Source: BizBuySell). Do not staff a retirement party on the compressed version.
Main Street sde-under-1m files at 2.75x median SDE (Source: BizBuySell / Iconic) still have WIP cages. They are not retailers. An ebitda-3-10m aerospace file talking a synthesized 6.5x–9.0x band will add novation and registrar time. Same spine, thicker Gantt.

Which statutes and notices can move the date without being "diligence drama"?
Federal WARN 60-day notice at a 100-plus full-time site if a closing or mass layoff is planned (29 U.S.C. § 2101). Mini-WARN in some states. New Jersey ISRA-style transfer work where it applies. Landlord consent. 504 occupancy if the building is in a CDC stack. DDTC notice. CFIUS when a foreign person is in the buyer's stack. None of those are insults. They are calendars.
NDA and staged disclosure keeps the whale from hearing in week one and then sitting on a consent in week twelve. Employee transfer belongs on the same weekend as the physical.
What should a seller do the week before the LOI so the exclusive does not stall?
Have the PBC folders ready. Have the last physical. Have tank letters and the Phase I if one exists — and know if it is stale. Have a serial-level machine list. Have a draft peg paragraph. Have the contract schedule with assignment clauses highlighted. Have a second chair or a stay plan. Sellers who start that pile after they sign exclusivity donate the calendar.
Buyers should have funds or a lender path that can survive a QoE haircut. Hoping the report will be kind is not a timeline.
Census CBP 2023 counted 284,452 establishments, 68.4% under 20 employees (Source: Census CBP). Small files still take months when iron, inventory, and a 7(a) sit on the path. Fed utilization 76.0% (Source: Fed G.17) does not close a deal. ISM Prices 71.1 (Source: ISM) does not either.
Educational information only. No close date is guaranteed. The 223-day median is a planning number (Source: BizBuySell). The 83% three-offer statistic is a process fact (Source: IBBA). Jason Taken is a business broker with HedgeStone Business Advisors. Counsel, the EP, the CPA, and the lender own their clocks.
How should holidays, seasons, and plant shutdowns sit on the Gantt?
Do not schedule the physical on the week the plant is already dark for a customer shutdown. Do not start QoE the Friday before a two-week Christmas close. Building-products shops feel winter. Food co-pack feels slotting. Defense suppliers feel continuing resolutions. Write those pauses into the exclusive so nobody calls them "seller delay."
A trailing-12 peg that includes a shutdown month needs the same honesty the peg page already asked for. The timeline is where you stop pretending every week is a production week.
If a Phase II is triggered, add lab time. If a registrar special audit is required, add the registrar's calendar, not yours. If a contracting officer is on leave, novation waits. Those are reasons the 223-day median exists (Source: BizBuySell). Retailers with simple SKU files do not have this Gantt.
Jason Taken will not promise a Friday. HedgeStone will put workstreams on a one-page calendar the week the LOI is signed and will refuse an exclusive that has no tests. Tired sellers gift time. Tired buyers take it. The file that closes is the file that treats the calendar as a job, not as a vibe. Fed utilization 76.0% (Source: Fed G.17) and ISM Prices 71.1 (Source: ISM) will not move a contracting officer. Your Gantt might, if you start it on day one.
What should a buyer refuse to let sit in "later" during exclusivity?
The peg paragraph. The QoE payer and firm. The Phase I order. The serial list. The consent strategy for any LTA or federal vehicle. The stay-package list. A funds path that can survive a haircut. "Later" is how a 60-day exclusive becomes a 120-day exclusive with no paper.
Sellers should refuse to extend if those items have not moved. Buyers should refuse to exclusive if the seller will not allow a peg sample or a Phase I. Both refusals are cheaper than a winter.
Allocation and Form 8594 belong on the CPA calendar by month two, not the week of the wire. Escrow skins belong in the LOI as a band, then tighten when diligence lands. Transition hours belong in the same LOI so nobody discovers "I'll be around" at the signing table.
Illustrative only, second calendar: 26-person CNC shop, no federal work, clean Phase I already 90 days old (still inside the 180-day component clock), 7(a) buyer, QoE skipped for a lender recast, 70-day exclusive, physical on a Friday night, wire the next Wednesday. Faster than 223 days (Source: BizBuySell). Still not a promise you can copy onto an ITAR file.
A third calendar: ITAR registrant, two primes, Phase II borings, novation, 60-day DDTC notice because a foreign-person funder appeared late. That file can outlast the median. Start every track on LOI day or do not take the exclusive.
Census CBP 2023's 284,452 establishments and 68.4% under 20 employees (Source: Census CBP) means most files look like the second calendar and still take months when a 7(a) and a cage sit on the path. Small is not fast by default. Fast is a file that had the binder ready before anyone signed. HedgeStone will ask for that binder on the intro call. How it works is the pre-LOI spine. This page is the post-LOI clock. Use both. Do not skip the binder and then blame the median. The median is a planning number. Your binder is the variable you control.
Real-estate transfer, if the dirt is in the deal, adds title, survey, and sometimes a separate 504 occupancy track. Occupancy rules (51% existing / 60% new construction) do not set the commercial close date, but a CDC that cannot confirm occupancy will (Source: SBA). Carve the building early or watch it sit on the critical path in month four. Write which stack owns the plant the week you draft the LOI, not the week you want the keys.
