What belongs at each gate, and what must wait?
Gate 0: a blind teaser — process, size band, geography at a useful grain, no names, no street, no hero OEM. Gate 1: NDA. Gate 2: CIM with recast, machine list at a useful grain, concentration percentages without names if the floor does not know. Gate 3: data room with financials, environmental reports, quality audits. Gate 4: customer names, contracts, and traveler-level detail — usually after a real LOI or a defined funds-verified gate. Gate 5: plant tour with a script.
Why a manufacturing specialist broker exists partly because a generalist will send the whale list with the teaser. That is how a competitor prices your book without buying it.
| Gate | Buyer sees | Buyer does not see yet | Typical fail |
|---|---|---|---|
| Teaser | Process, band, region | Names, street, drawings | "Everyone already knows" |
| NDA + CIM | Recast, iron list, % concentration | Whale identities, pricing architecture | Sending the customer tab "to save time" |
| Room | Tax returns, Phase I, audits | Sometimes still redacted names | Dumping the shared drive |
| Post-LOI | Contracts, names, QoE PBC | Floor gossip | Buyer calling the whale |
| Tour | The bay, on a script | Extra cousins and phones | Sunday circus |
Census CBP 2023 counted 284,452 establishments, 68.4% under 20 employees (Source: Census CBP). Small shops leak faster because everyone eats lunch together. Staging is more important there, not less.
How should competitors and strategic buyers be handled?
A strategic who already sells to your OEM is both the best buyer and the most dangerous reader. Give them process capability, capacity, and a redacted concentration chart. Hold names, unit prices, and drawings until counsel and the process agree. A financial buyer can see more economics earlier and still wait on names.
Export-controlled drawings are not "just PDFs." ITAR and EAR rules can make a casual dropbox a compliance event. ITAR § 122.4(b) is about foreign-person control of a registrant and a 60-day DDTC notice (Source: DDTC). It is not the only export sentence on a file. Compliance counsel gates the room.
IBBA Pulse Q1 2026's 83% three-offer fact on deals over $5 million (Source: IBBA) is why you run a process. Staging is how you run it without lighting the plant on fire.
When do the floor and the whale hear, and who speaks?
Usually after a signed LOI, with a script, seller first. Contract consents then starts for the paper that needs letters. Employees hear in a small recast circle first — controller, maybe a plant lead — not in an all-hands the week you list.
Buyers who demand a tour before a recast, or names before an NDA, are telling you they are tourists. Serious searchers who inhabit Stanford's $16 million / ~6.2x / ~25% neighborhood (Source: Stanford GSB) expect gates. That median is never a job-shop multiple and never a reason to skip staging on a 12-person cell.

What should the NDA actually say that a generic form misses?
Manufacturing-specific marks: residual knowledge, residual drawings, residual pricing, a ban on hiring conversations with the floor during exclusivity, a ban on calling customers, return or destroy of technical data, and a clear residual-use sentence counsel can live with. Residuals clauses are a fight. Counsel drafts. A one-page "keep it secret" PDF from the internet is how drawings walk.
Illinois files may also implicate business-broker registration under the Business Brokers Act (Source: Illinois SOS). That is a broker-compliance fact, not a reason to skip the NDA. Real estate as the dominant element pulls a different license. Confirm with counsel.
SBA 7(a) buyers inside the $5 million cap (Source: SBA) still sign NDAs. A lender later in the process gets a package under its own confidentiality. Do not email the CIM to "a friend at the bank" from a personal account.
What does a leak cost on a plant file?
A competitor who has your whale list and your unit prices can re-bid the book while you are in exclusivity. A floor that hears "we're for sale" in month one can lose the estimator you needed for the stay package. BizBuySell's 223-day 2025 manufacturing median close (Source: BizBuySell) is a planning number; a leak in week two can waste the year.
Main Street manufacturing at 2.75x median SDE (Source: BizBuySell / Iconic) does not make confidentiality optional. Small files leak louder.
Illustrative only: teaser goes out blind, 11 NDAs, 4 CIMs, 2 rooms with redacted names, 1 exclusive, names released on day three of exclusivity, whale called by the seller on day ten. Ordinary. A second file: owner emails the customer tab to "a guy who might be interested." The guy is a competitor. The process is over.
Educational information only. Counsel drafts the NDA. Jason Taken is a business broker with HedgeStone Business Advisors. No process is leak-proof. Staging is how you try.
How should a seller prepare the room so staging is not chaos?
Build folders that match the gates: teaser facts, CIM facts, room facts, names-and-contracts, tour script. Put environmental reports in the room early because lenders need them and they do not name customers. Put the whale list in a folder that does not open until the process says so. Documents needed to sell is the tab list. This page is the lock on each tab.
Do not store the CIM on a shared plant drive. Do not print concentration charts on the office printer. Do not debate add-backs in the break room — that is also a QoE habit. The recast circle is small on purpose.
Buyers should expect to be staged and should not treat a redacted name as hostility. A funds letter or a lender intro can be a gate. A competitor who refuses a thinner room is telling you they wanted the book, not the company.
Fed utilization 76.0% (Source: Fed G.17) and ISM Prices 71.1 (Source: ISM) describe climate. They do not justify a leak. Combined 7(a)+504 can reach $10 million (Source: SBA); that capacity does not earn the customer tab on day one. Jason Taken will keep names last. HedgeStone will still put dirt reports and the recast in the room early enough that a real buyer can work. Those are different folders. Keep them different. A last habit: log who received which gate. If a leak happens, you want a list, not a shrug. Counsel can then do what counsel does. You cannot unsay a whale name in a group text.
How should plant tours and photographs stay inside the same staging rules?
A tour is a disclosure event. Script it. Limit extra people. No phones in the bay if drawings or customer parts are visible. Cover travelers if export-control or the process still has names locked. Plant-visit protocol is the buyer essay. This page is why the seller cancels a circus.
Photographs of cells can identify a shop as thoroughly as a street address. Do not let a buyer "take a few shots for the lender" on tour one if the file is still in a bake-off. Lender packages come later, under the lender's confidentiality, after exclusivity or a defined gate.
If the plant does classified or ITAR work, the tour path itself is a compliance product. Walk the unclassified bay. Do not improvise a shortcut through a marked cage because someone is late for a flight.
Main Street manufacturing at 2.75x median SDE on about $268k earnings (Source: BizBuySell / Iconic) still has customer parts on benches. Small does not mean public. An ebitda-3-10m certified supplier talking a synthesized 6.5x–9.0x aerospace band has more to leak and more to protect. Same gates, thicker locks.
Illustrative only, different from the earlier leak story: competitor signs NDA, receives a redacted CIM, asks for the whale list "just to model synergy," is refused, walks. The process keeps two financial buyers. Ordinary. The owner who would have sent the list "to keep them warm" would have sold the book and kept the building.
Quality of earnings teams also sit inside staging. They get the GL and the PBC list. They do not get permission to interview the whole floor on day one. Script those interviews. The report is a deal document. Treat it like one.
A last broker habit: if two buyers are live, do not let them tour the same hour. Parking-lot recognition is a leak. IBBA's 83% three-offer fact (Source: IBBA) is a process fact that only helps if the process stays quiet. HedgeStone will stagger tours and will cancel if the guest list turns into a reunion. How it works is the spine. This page is the lock on each door of that spine. Use both. Do not skip a door because you are tired. Tired is when names leak.
Foreign-person buyers add CFIUS and export-control gates on top of ordinary staging. A CFIUS clock is not an excuse to mail the technical data room before counsel says the recipient can hold it. See foreign buyers. Domestic buyers still do not get the whale list with the teaser. Same spine. Extra locks. Write the extra locks into the NDA exhibit so nobody "clarifies" them in an email.
