The person you pay to broker a sale may need a license. Conveying the plant needs a licensed real-estate broker for that piece in every state. Broker licensing by state is the statute briefing. Illinois registration under the Business Brokers Act of 1995 is the file this site will not mis-describe (Source: Illinois SOS).
Which channel matches which file?
A business broker runs a confidential marketed process on plants that clear with operators and SBA lenders. An investment bank runs a formal bake-off at a scale that can pay for it. FSBO is you, your Friday, and whoever already has your cell number.
Census CBP 2023 counted 284,452 manufacturing establishments; 68.4% have fewer than twenty employees (Source: Census CBP). Most of those files need a brokered sequence more than they need a forty-page auction book.
| File | Channel that usually fits | Channel that usually wastes the season |
|---|---|---|
| Owner-operated SDE shop, mixed book | Manufacturing specialist broker | IB retainer on a Main Street file |
| Larger EV, sponsor set, formal QoE | Investment bank | A flyer and a hope |
| Simple, local, one known buyer, clean book | FSBO if you can staff it | A public listing that names the hero customer |
| 32% customer, lapsed cert, no serial list | Brokered process after a recast | FSBO emails to three strategics |
| Dirt-heavy close | Broker plus a licensed RE broker | A finder who “does the building too” |
Main Street manufacturing in BizBuySell’s 2021–2025 set cleared at 2.75x median SDE (Source: BizBuySell). That room is operators and 7(a). It is not a reason to hire a pitch-book team.
Why FSBO fails on owner-dependent shops even when the math looks simple
Deloitte and The Manufacturing Institute still flag 3.8 million manufacturing hires needed this decade, with 1.9 million potentially unfilled (Source: Deloitte / MI). An owner who is also the quote desk cannot also be the full-time process manager. The local operator talks at the diner. You cannot take back a public listing.
Why a specialist is the skill argument. Sell a manufacturer is the pillar. What a broker charges is the commercial sister. The FAQ index only routes “need.”
What “I already have a buyer” actually decides
It decides you may have one party. It does not decide you have a market. It does not decide the peg. It does not decide whether a competitor now knows you are for sale. Parallel process is the product a broker sells. Giving it up is a choice. Make it with eyes open.
A 223-day median close is a long time to spend on a single looky-loo. A mismatched IB retainer burns the same calendar on a product that cannot clear a job shop.
What does a specialist actually staff that a generalist skips?
The peg definition — raw, WIP, finished, consigned, customer-owned tools. A machine list a lender can underwrite. A teaser that does not name the shop or the hero customer. A buyer list that mixes operators, SBA, and searchers instead of one golf-book strategic. Those hours are why FSBO fails on certificate-gated, concentration-exposed, asset-heavy plants even when the owner is capable.
A generalist who quotes “businesses trade at 5x” has already missed the SDE shop or under-priced a certified file. A costume IB who wants a forty-page book on a $400k-SDE quote desk has missed the room in the other direction. Channel mismatch is how you live the 223-day median twice.
If you already have one serious buyer, you still have a confidentiality problem and a peg problem. You may not have a market. Giving up parallel process is a choice. Make it after you read the compare owner, not after a diner conversation.
Licensing still sits beside the channel. Selling your own company does not require a broker card. Paying a finder might. Conveying dirt always does. Do not let “I don’t need a broker” become “my brother-in-law will write the deed.”
What should you bring if you are deciding the channel tonight?
Size band. Whether you can staff Monday and a sale. Whether a competitor already buys from you. Whether the building conveys. Whether you want a blind teaser. Whether you expect securities facts because someone said “investment bank.”
Need is the wrong noun if the real question is fit. You can sell without a broker. You cannot sell without a channel that matches the file. Pick the channel on the compare owner. Then staff it. A costume IB and a leaked FSBO flyer are both ways to spend a 223-day median on the wrong product.
Jason Taken is a business broker, not an IB. He will not ghost-write your flyer. If a competitor already buys from you, FSBO is usually a leak with extra steps. Channel fit includes who already has your cell number.
A single known buyer is one party, not a market. Giving up parallel process is a choice. Make it with eyes open.
Educational information only. Read the owner compare, then use the intro call if the file belongs in a brokered room.
