Why a leaked name identifies most shops

Census CBP 2023 counted 284,452 U.S. manufacturing establishments; 68.4% have fewer than 20 employees (Source: Census CBP). On a shop that small, “the only five-axis house in the county” is a name. Do not put the legal name, the cross-street, the customer logos, or a unique certificate-plus-address combo in the first document.

BizBuySell’s 2025 manufacturing median time to close was 223 days (Source: BizBuySell). That is a long window for a rumor to travel from a screenshot to the estimator to the whale. If you are selling a manufacturing business, treat inbound marketplaces as optional. Screenshots are not theoretical.

How it works is the sequence: recast, teaser, NDA, then the CIM. Skip a step and you are marketing a rumor.

What staged disclosure actually looks like

Circle one: owner, CPA, counsel, and the people who must rebuild the recast. Circle two: NDA buyers who get the CIM without customer names. Circle three: short-list buyers who see concentration ranges, then names, then a scripted visit. Circle four: employees and customers on a planned day. When do I tell employees is the announcement sibling. This page will not steal that title.

Federal WARN generally covers employers with 100 or more full-time employees and 60 days’ notice before a plant closing or mass layoff that meets the statute (Source: DOL WARN). A sale is not automatically a closing. Labor counsel decides whether a notice clock starts. Confidentiality does not erase that calendar.

How competitors and customer audits break the method

Treat a direct competitor as a high-leakage counterparty even after an NDA. Require proof of funds. Limit the first package. Consider a clean-team or a delayed plant visit. Counsel drafts the NDA. Reschedule any tour that lands on a customer-audit day. An auditor and a buyer in the same aisle is how rumors start.

A $5 million 7(a) buyer still needs a plant walk (Source: SBA). Script it. Do not improvise “nothing changes” lines that counsel has not cleared.

The FAQ index owns the question. The owner URL owns the scripts, the competitor posture, and the marketplace warning.

What if a buyer wants to tour during a customer audit?

Reschedule. An auditor and a buyer in the same aisle is how rumors start. Script visits after numbers survive and never on a customer-audit day. A competitor who signed an NDA is still a high-leakage counterparty. Require proof of funds. Limit the first package. Consider a clean-team or a delayed plant visit.

Unions, WARN clocks, and customer consents still exist on a stock sale. Structure changes tax and contract transfer. It does not erase gossip. Labor and deal counsel own those calendars. Do not promise employees silence. Reduce the risk. Anyone who promises zero leakage is selling comfort.

Circle one stays small: owner, CPA, counsel, and the people who must rebuild the recast. Circle two is NDA buyers. Circle three is the short list. Circle four is the floor and the accounts on a planned day. Skip a ring and you are marketing a rumor. How it works is the sequence. The teaser stays blind. The CIM still withholds logos.

The FAQ index owns the question. The owner URL owns the scripts, the competitor posture, and the marketplace warning. Public listings remain optional. Screenshots remain real.

What belongs in a blind teaser is region, process family, size band, certificate category, and a recast range without identifiers. No legal name. No cross-street. No only-shop-in-the-county line. No customer logos. Competitors sometimes sign NDAs. Treat a direct competitor as a high-leakage counterparty anyway. Require proof of funds. Limit the first package. Consider a clean-team or delayed plant visit. Counsel drafts the NDA. Stock versus asset structure does not erase gossip.

Do not put the legal name, the cross-street, or a unique certificate-plus-address combo in the first document. On a shop that small, “the only five-axis house in the county” is already a name. Public marketplaces are optional. If you list, accept that a competitor can forward the listing to your largest account. Script later visits. Never tour on an auditor day.

Federal WARN does not disappear because the teaser was blind. Labor counsel still reads the headcount.
