If your shop is under the federal 100 full-time line, you are not automatically done. You are done when counsel says the closing state’s statute does not reach the facts.

What does a state overlay usually add that 29 U.S.C. § 2101 does not?

A lower headcount. A longer clock. Statutory severance in a few states. Different definitions of “employment loss” or “site.” Different people who must receive the notice. The federal DOL page is still the federal start (Source: DOL WARN). It will not list every state extra.

Census CBP 2023 counted 284,452 manufacturing establishments, 68.4% under twenty employees (Source: Census CBP). That national file explains why so many owners assume WARN is “for big plants.” State statutes are why that assumption fails.

2026 compilations commonly cite California, New York, and New Jersey as active overlays, plus a longer list on the owner URL. This page will not reprint that list as if it were a statute book. States own geography. Confirm the deed address.

Why a 60-person shop still has a WARN conversation in some states

Because the overlay may reach that floor. Because a sale-week layoff can be the trigger even if the buyer “intends” to hire back. Because employee transfer is not the same instrument as statutory notice. Sell a manufacturer still wants the calendar honest.

SBA 7(a) still lives inside a $5 million box and a 10% injection (Source: SBA). A going-concern underwrite that assumed a quiet Friday layoff can become a notice problem.

How mini-WARN sits next to dirt and diligence

A plant closing is also an environmental and a real-estate event. All Appropriate Inquiries still governs the Phase I start when history is wet (Source: EPA / 40 C.F.R. Part 312). Do not let a workforce rumor and a tank rumor land in the same week without owners. The FAQ index keeps those nouns apart.

BizBuySell’s 223-day manufacturing median is a long exclusive. State notice clocks still have to fit inside it. Script the calendar backward from close, not forward from hope.

How should a multi-state owner sequence notice when two sites exist?

Write two workstreams. The New York site and the Ohio site do not share a statute because they share a letterhead. Headcount tests can be site-based. A layoff that is small in Ohio can still be a trigger in a state with a lower overlay. Counsel in each closing state reads that state’s code. This FAQ will not export a California cell to Indiana.

If you are relocating work rather than closing a company, ask whether the destination site and the origin site create employment loss under either statute. “We moved the jobs” is not automatically a holiday. It is a fact pattern.

Script the calendar backward from the earliest notice clock, not from the 223-day median. A state clock that is longer than 60 days has to fit inside the exclusive you just granted. If it does not fit, you granted the wrong exclusive.

Do not let a workforce rumor and a Phase I land in the same week without owners. Dirt and people are different piles. Both can kill a Monday start.

What should you bring if someone already used the phrase “mini-WARN”?

The closing state. The site headcount. Whether a layoff or a relocation is already planned. Whether the buyer has a written retention plan. Employment counsel’s name. The owner URL printed, not a forum screenshot.

A 40-person shop that relocates across a state line can trip an overlay the owner never heard named. The federal 100 full-time line is not the only door. Ask counsel whether the origin site, the destination site, or both create a notice duty. Ask whether statutory severance sits on top of the clock. Ask who must receive the letter.

Do not let a multi-state CIM use one “workforce” paragraph for two statutes. Split the schedules. Split the calendars. States exist so the deed address owns the cell. This FAQ exists so the noun “mini-WARN” does not get used as a shrug. Confirm the current code. Do not photocopy last year’s webinar.

Jason Taken is a business broker. He will not issue a state notice. Ask counsel in the closing state whether the overlay reaches your floor. Federal clearance is not a hall pass when the deed sits in an overlay state.

Two sites can mean two clocks. Do not export one overlay onto a neighbor state’s deed.

Educational information only. Confirm with counsel in the closing state. After the owner briefing, the path is a confidential intro call.
