How should you use a state page?
Open the sell URL if you own the plant and the buy URL if you are writing a buybox. Both sit under the nationwide pillars — sell my manufacturing business and buy a manufacturing business. How it works is still the process spine. Valuation is still size-band math.
Each state page may quote the CBP 2023 rank, establishment count, employment, average employees per establishment, under-20 share, and 500+ share. It may quote the five statute cells: environmental transfer / ISRA-style, sales tax on machinery, bulk / successor tax, mini-WARN, and broker-license posture. It may not invent a NAICS split, a union-density percent, a state wage, or a “what plants trade at here” turn.
The city directory holds sixty metro overlays. A city name in a teaser is a sourcing label, not a multiple. Do not invent a metro CBP count. Open the metro page when the teaser named a city. Open the state page when you need the statute cells and the parent CBP row.
A seller who is three years out should stay on the exit-planning guide until the recast and the machine list exist. A buyer who has not written a process line should stay on buy a manufacturing business until the buybox is boring enough to source against. Opening California because it has 35,300 shops, or Alaska because it has 576, is not a strategy. Those counts are maps. They are not mandates to tour.
What the CBP state file actually changes
Establishment count is a sourcing map. Employment and average headcount tell you whether the typical employer location is a ten-person shop or a sixty-person plant. Under-20 share and 500+ share keep you from treating Florida’s 25.0 average the same way you treat Mississippi’s 73.8 or Kentucky’s 70.1.
The national file still says 68.4% of manufacturing establishments have fewer than 20 employees. Some states sit well above that small-shop share — Alaska 86.5%, Montana 83.6%, Wyoming 83.2%, Hawaii 82.6%. Others sit well below it — Wisconsin 56.9%, Indiana 57.9%, Kentucky 59.4%. That is a process-design fact. It is not a reason to invent a small-state discount or a large-plant premium.
Arkansas shows the highest 500+ establishment share in the tabulated file at 3.05%, then Kentucky 2.62%, Alabama 2.44%, and Mississippi 2.42%. Those cells describe concentration of large locations. They do not name a buyer and they do not set EBITDA.
| CBP 2023 marker | Example cells | What the state page may say |
|---|---|---|
| Establishment rank | CA 35,300; TX 21,034; AK 576 | Rank and count, cited to Census |
| Average employees | FL 25.0; MS 73.8; MT 15.7 | Typical employer-location scale |
| Under-20 share | WI 56.9%; AK 86.5% | How shop-heavy the file is |
| 500+ share | AR 3.05%; several 0% cells | Whether large plants are common |
| National backdrop | 284,452; 68.4% under 20 | Context, not a local turn |
BizBuySell’s manufacturing median remains 2.75x SDE on the 2021–2025 sold set, with a 223-day median close in the 2025 review (Source: BizBuySell). SBA 7(a) remains a $5 million box with a 10% change-of-ownership injection under SOP 50 10 8 (Source: SBA). Those prints travel. State pages do not replace them.
Statute cells that actually differ
State environmental transfer laws and business-broker licensing by state are the long briefings. This directory only flags which sell page owns the overlay.
New Jersey ISRA, Connecticut’s Transfer Act / Property Transfer Program, and Indiana’s Responsible Property Transfer Law are the transfer-act style clocks in the 2026 table. California is disclosure plus cleanup, not an ISRA clone. Massachusetts MCP is also not an ISRA clone. Phase I still follows All Appropriate Inquiries (Source: EPA / 40 C.F.R. Part 312).
Successor sales-tax / clearance cells are flagged for California, Illinois, New Jersey, New York, and Pennsylvania. Occasional-sale treatment of a bulk machinery transfer is a different statute from a purchase exemption on new equipment. A CPA in the closing state owns both sentences.
Mini-WARN listings include California (Cal-WARN, 75 — confirm), New York (50 full-time, 90 days), New Jersey (90-day plus severance), plus Delaware, Hawaii, Illinois, Iowa, Maine, Maryland, New Hampshire, Ohio, Tennessee, Vermont, Washington, and Wisconsin in the 2026 compilation. Federal WARN remains 100 full-time employees and 60 days (29 U.S.C. § 2101). WARN is the federal page. Do not copy a neighbor’s headcount onto a state that only says “listed.”
License posture is a compilation, not a substitute for counsel. Illinois registers under the Business Brokers Act. Arizona and Florida briefings treat business opportunities or business enterprises inside the broker definition. California cites Business & Professions Code coverage. Several states are “listed as a license state” or “often tied to whether real estate transfers.” Jason Taken is a business broker. Conveying the plant still needs a properly licensed real-estate broker for that piece.
Directory — sell and buy by state

District of Columbia is in the CBP state file (104 establishments) and does not get a page on this site.
If two states share a qualitative cluster — auto in Indiana and Kentucky, food in Wisconsin and Iowa, aerospace in Washington and Connecticut — they still do not share a closing checklist. Mini-WARN, successor tax, and transfer-act cells attach to the plant’s address. A buyer who underwrites a Greenville tire supplier with a Detroit playbook will miss the South Carolina overlay. A seller who copies a New Jersey ISRA calendar onto a Massachusetts MCP file will invent a clock.
Jason Taken is a business broker. Conveying dirt still needs a licensed real-estate broker in the closing state. HedgeStone will not invent a listing to fill a thin CBP cell. The intro call is the conversion path once the sell or buy page for that state has been read.
Phase I still follows All Appropriate Inquiries even in states whose environmental-transfer cell is N (Source: EPA / 40 C.F.R. Part 312). The directory is a map to the overlay. It is not a substitute for counsel, a CPA, or a lender in the closing state. National size-band math stays on manufacturing business valuation. Federal workforce notice stays on WARN.
What this directory will not do
It will not publish invented listings. It will not name private-equity firms. It will not turn a PMI print into a state premium. It will not treat “listed as a license state” as a substitute for counsel. Educational information only. Confirm legal, tax, environmental, and licensing questions locally.
How you use the table is simple. Sort by establishment count if you want a sourcing map. Sort by the sell or buy column if you already know the closing state. Do not sort by a hoped-for multiple. There is not one on this site. A 35,300-shop California overlay and a 576-shop Alaska overlay answer different process questions. They do not share a buyer bench or a closing calendar.
The conversion path is a confidential intro call.
