What the box actually contains

A guaranty, not a direct Treasury check. Eligibility rules. A credit memo. A business valuation that caps certain debt. An equity injection of 10% of total project cost on change-of-ownership files under SOP 50 10 8 (Source: SBA). Standby seller paper may fill at most half of that 10%.

Census CBP 2023 counted 284,452 manufacturing establishments (Source: Census CBP). Most of those files, if they use SBA at all, live in 7(a) rather than in a campus 504 stack. That is a size observation, not a promise that every shop fits.

What 7(a) is not

It is not SBA 504. 504 is a debenture product for owner-occupied real estate and long-life equipment, with occupancy tests. 7(a) is the change-of-ownership workhorse. It is not a multiple. BizBuySell’s 2.75x SDE median does not raise the $5 million cap (Source: BizBuySell).

504Occupied building / heavy equipment$5 million, $5.5 million if qualified

Who should not force a file into 7(a)?

A project over the cap. A buyer with no injection. A structure that only works if a current-pay note is labeled equity. A foreign-person ITAR problem the credit box will not swallow. Jason Taken is a business broker. Educational information only. The lender and counsel own eligibility.

What a manufacturing credit memo still wants

Tax returns. A recast that survives a skeptical reader. A serialized machine list. Concentration in names, not adjectives. A peg method. A Phase I if there is dirt or a mortgage. A valuation that supports the debt that is not on full standby. None of that is optional because the CIM was pretty.

Partial buyouts have their own SOP rules. Do not treat a 70% purchase as a routine 100% file. Working capital left in the business is a use. It can change the 10%. Write the uses.

504 remains the occupancy-tested brick product. Pairing is common: 7(a) for goodwill, 504 for the plant you will occupy. Pairing is not automatic. Two applications, two sets of occupancy and eligibility tests.

The glossary will not quote a rate. Spreads move. The published box is the cap and the injection. Those are the facts this site is allowed to repeat.

Isolation

The glossary keeps 7(a), 504, and ABL on separate nouns. The FAQ holds the question. When the capital path is the actual constraint, book a confidential intro call.

Valuation support and the uses that sneak in

The business valuation still caps certain transaction debt. A seller note that pays is in that stack. A standby note may be treated differently. Ask the lender which number they will use before you promise a price that only works on a cocktail napkin. Goodwill is eligible. Buying out a cousin’s side loan, paying a personal tax bill, or leaving a boat on the books is not. Those items still show up. Clean them before the credit memo or watch the 10% move.

A CIM should not treat “SBA available” as a structure. Bring a sources-and-uses draft and whether any seller paper is meant to count as injection. Those two facts decide if the $5 million box is even in play. SBA 7(a) for manufacturing acquisitions is the walk-through. The lender confirms eligibility. After the product noun is straight, a confidential intro call is the conversion path.

What 7(a) is not allowed to swallow

It is not SBA 504. 504 is occupancy-tested brick. Pairing is common and not automatic. It is not a multiple. BizBuySell’s 2.75x SDE median does not raise the $5 million cap (Source: BizBuySell). It is not a rate this site will quote. Spreads move. Partial buyouts have their own SOP rules. Do not treat a 70% purchase as a routine 100% file.

How it shows up: a CIM that says “SBA available” without sources and uses is a slogan. Write the uses — goodwill, assets, working capital left in, and any refinance. A structure that only works if a current-pay note is labeled equity will die in credit. A foreign-person ITAR problem the credit box will not swallow will die there too. Census CBP 2023 counted 284,452 manufacturing establishments (Source: Census CBP). Most of those files, if they use SBA at all, live in 7(a) rather than in a campus 504 stack. That is a size observation, not a promise that every shop fits.
