Summary

County Business Patterns for 2023 lists 284,452 U.S. manufacturing establishments; 68.4% have fewer than twenty employees (Source: Census CBP). That is the succession file this page is allowed to describe. This site will not invent a share of owners above a given age. Age is not the test. The test is whether Monday’s quote exists when the owner is not in the building.

Selling an owner-dependent shop is the shorter seller tab. Family succession versus an outside sale is the kitchen-versus-market fork. Manufacturing exit planning 3–5 years out is the calendar if you still have time. The complete guide to selling a manufacturing business is the confidential sequence once you choose the outside path. This long read is why so many small plants arrive at that sequence with no bench.

Deloitte and The Manufacturing Institute flagged as many as 3.8 million manufacturing hires needed this decade and 1.9 million at risk of going unfilled if the skills gap holds (Source: Deloitte/MI). BLS OEWS May 2025 put national machinist median pay at $58,750 and welder median pay at $53,750 (Source: BLS OEWS). Those figures are backdrop. Your metro and your CBA will differ. The plant’s burdened roster is the fact.

What does “succession” mean on a shop with fewer than twenty people?

It means four scarce seats, not an org chart with boxes for show. Who quotes. Who programs. Who can release quality. Who holds the customer. If two of those four are the owner, a buyer is purchasing a training period. A last name on the door does not fill a programmer seat. A cousin who runs shipping is not a general manager.

Sell my manufacturing business is the decision tree. Buyer types do not share an earnings base. An SBA operator can still close an owner-dependent file that fits the $5 million 7(a) box and SOP 50 10 8’s 10% injection (Source: SBA). A sponsor will not pretend that file is institutional EBITDA. Name the class after you name the seats.

Main Street manufacturing in the 2021–2025 BizBuySell set cleared at 2.75x median SDE on about $268k of earnings (Source: BizBuySell / Iconic). That print describes a room many of these shops inhabit. It is not a quote. Manufacturing business valuation still wants a size band. A missing second chair moves you inside that cell. It does not invent a new official multiple.

How should family paths and outside paths share one number?

A family succession is an estate and fairness problem wearing a plant. An outside sale is a market-clearing problem wearing the same plant. Both paths need a written number. A kitchen exclusive with no process rarely produces a priced outside bid. A process can still end with a family bid. Family succession versus an outside sale owns that fork. This page only says: do not skip the number because the last name matches.

Related-party 7(a) files get extra affiliation questions. A parent-to-child note that pays monthly is not standby equity. SOP 50 10 8 still wants the 10% injection; a seller note counts toward that injection only on full standby and only up to half (Source: SBA). Counsel and a CPA own gifts, trusts, and buy-sell language. HedgeStone will not draft them.

If one child operates and another does not, write the operating wage, the rent if parents keep the building, and the buyout note as three lines. Mixing them into “the family number” is how the operating child funds siblings with unpaid overtime. A family name does not change BLS medians. The welder still has to be paid.

IBBA Pulse Q1 2026 reported that 83% of deals over $5 million drew three or more offers (Source: IBBA). That is a process fact on larger files. It is not a promised bid count on a fourteen-person shop, and it is not a reason to skip a written family number.

How does the labor gap change the stay conversation?

The decade backdrop is millions of hires needed and a large slice at risk of going unfilled (Source: Deloitte/MI). A CIM that treats the second chair as a slide is a 2026 problem, not a 2019 leftover. Script who learns what, and when. Key people may need a stay conversation before a tour. The rest of the floor learns on a planned day. How it works is the confidentiality spine. Leakage is a process issue. It is not solved by waiting.

If a buyer plans a post-close headcount change or a relocation, WARN under 29 U.S.C. 2101 is their counsel item. Your job is a true roster. Do not staff the CIM with people who already resigned in their heads. Do not tour during a customer audit. Do not let a stranger wander the aisle with a phone.

BizBuySell’s 2025 manufacturing median close was 223 days (Source: BizBuySell). A missing bench stretches that clock because every visit is a leak risk and every interview is a retention event. Use 223 days as a planning number. Do not print it on an employee memo as a promise.

Sub-sector hubs still matter. A fourteen-person medical component house and a fourteen-person brake shop do not share a certificate story. They share a size. They do not share a succession script.

What should an owner do this quarter if the bench is thin?

Name the four seats on paper. Put a wage next to the empty one. If you still have years, the exit-planning calendar is the longer tool. If you do not have years, recast on discretionary earnings after a replacement wage and stop calling the file EBITDA. Invite the class that can finish. Keep names last.

Do not invent an owner-age statistic to justify a rushed listing. Do not treat Deloitte/MI’s national hire figures as your open reqs. Do not treat BLS national medians as your burdened rate. Do extract who can start the scarce job on a Tuesday when you are out.

Environmental work, novation, and ITAR clocks still sit on some of these files. They do not wait because the shop is small. ASTM E1527-21 still supports All Appropriate Inquiries when dirt is in the deal. FAR 42.12 still sits on government books. Those are calendars. They are not reasons to skip the bench conversation.

Form 8594 and IRC § 1060 allocation will still sit on applicable asset acquisitions. A small shop with heavy iron still has to split classes. Counsel and a CPA own the form. The succession job is to keep the people story from pretending the iron is the only asset.

How do certificates and owner-only quality releases hide inside a small shop?

A certificate that is the owner is not a second chair wearing a logo. If the quality release cannot happen when that person is out, you have an access problem and a people problem on the same day. Keep the CB audit current. Name the deputy who can sign. A lapsed scope sold as a growth story is how a fourteen-person medical or aero file dies in week six.

Owner-only programming is the same problem in a different cell. A laptop that leaves with one person is not “tribal knowledge.” It is a transfer risk. Cross-train before you are tired. If you are already tired, recast on discretionary earnings and price the training period. Do not call the laptop a moat.

Selling an owner-dependent shop owns the shorter version of this test. This page only ties it to the small-shop base Census already counted. 68.4% of establishments are under twenty people (Source: Census CBP). Most of those files will fail the four-seat test. That is not a reason to invent an age statistic. That is a reason to name the seats.

504 occupancy still matters if the building is in the plan: $5 million standard, $5.5 million on a qualifying small-manufacturer project (Source: SBA). A child who keeps the plant and rents from parents still needs a lease that looks like a third-party lease or Thanksgiving becomes a roof fight. Counsel owns the paper. The succession job is to keep dirt, wage, and buyout as three prices.

Worked contrast: two fourteen-person files

Illustrative only. Shop Y has a plant manager who can start the scarce job, a nameless concentration schedule, and a stay script drafted before anyone tours. The owner is tired. The file can still run a process. The weather paragraph can mention climate on other pages. The teaser does not need an invented age statistic.

Illustrative only. Shop Z is the owner plus thirteen people who wait for instructions. The child runs shipping. The CIM calls the child a successor. The honest move is to recast on SDE, price a training period, and decide whether an operator or a family note is the actual path. Calling Shop Z a “succession crisis statistic” does not hire a programmer.

The specialist refused to invent an owner-age percentage to make Shop Z feel urgent. The seats were already the urgency.

A last small-shop habit: write the four seats on a card and keep it in the folder with the tax returns. Update who covers vacation. If the card still has two blanks and you are tired, you have a succession file, not a statistic. HedgeStone will ask for the card. HedgeStone will not invent an owner-age percentage to make the card feel official. The 68.4% under-twenty establishment share already told you the shop is small (Source: Census CBP). The card tells you whether it can transfer.

Common mistakes this succession guide exists to stop

Inventing a share of owners over 65. Treating a last name as a second chair. A kitchen exclusive with no written number. Telling the floor before a process exists. Asking this page to be an estate plan or an appraisal. Jason Taken is a business broker, not an actuary.

Educational information only. Confirm legal, tax, and labor questions with the right licensee. No path guarantees a price or a close date. HedgeStone Business Advisors will read the seats against a live file.
