When should a family keep the plant instead of selling outside?

Family succession and an outside manufacturing sale solve different problems. Succession decides who owns the plant among people who already share a last name. An outside sale discovers what a stranger will pay under confidentiality. Owners who start with the family conversation and never price the market often discover, late, that the child cannot finance the number everyone assumed. Owners who start with a process can still accept a family bid. HedgeStone will run either path. We will not pretend they are the same document.

What "fair" does to a plant

One child is the estimator. Another is a teacher. Equal shares make the teacher a minority owner of a machine shop they cannot sell. That is how families end up in court with a 2008 VMC in the middle. Buy-sell agreements, life insurance, and a priced redemption are counsel's paper. A holiday conversation is not a buy-sell.

If the operating child will buy, price the file. Use the same size-band logic as a third party. Main Street manufacturing median 2.75x SDE in BizBuySell's 2021–2025 set (Source: BizBuySell / Iconic recap) is a reference, not a statute. A named family discount is honest. An unpriced "we'll figure it out" is how the teacher learns the number from a rumor.

Related-party financing

SBA and conventional lenders look harder at related-party change-of-ownership. Eligibility, injection source, and whether the sale is real all get questions. SOP 50 10 8 still has a 10% injection and standby-note rules if 7(a) is used (Source: SBA). A parent who "gifts the down payment" can create a sourcing problem. Confirm with the lender and a CPA. This is not tax advice.

504 can still be the building product when occupancy fits (Source: SBA). The real estate can stay with the parents on a lease. Write the lease like a third-party lease or you will fight about repairs during Thanksgiving.

Process design

Option A: quiet third-party process, family has a matching right for a defined window. Option B: family exclusive for a short, dated feasibility, then the market if financing fails. Option C: ESOP or MBO if the talent is the crew, not the child — see ESOP and MBO. What fails is an open-ended family exclusive while the certificate lapses and a strategic goes elsewhere.

Confidentiality inside the shop still matters. Customers do not need to hear that "the kids might take over" from a competitor. Blind teasers exist for a reason if you go outside.

Diligence the family still needs

Machine list. Concentration. Environmental if the process is wet. A recast the CPA will sign. Life-insurance and buy-sell if more than one heir remains. Estate documents that match the deal. Jason Taken will not draft those. He will tell you when the operating file is not financeable at the number the family wants.

WARN still exists if a later outside buyer cuts a line (29 U.S.C. § 2101). Succession does not repeal labor statutes.

Climate and labor are still facts

ISM PMI 54.6 and Prices 71.1 in August 2026 (Source: ISM) describe the year the child will inherit. Deloitte/MI's skills-gap figures (Source: Deloitte/MI, 2024) describe the hiring the child will do when the owner stops quoting. None of that is a reason to skip a price.

Educational information only. Confirm estate, gift, and related-party tax with a CPA and estate counsel.

Documents that have to match

Buy-sell, life insurance, operating agreement, estate documents, and the deal have to tell the same story. A broker opinion of value can set a reference for a redemption. It is not an appraisal and it is not a 709 election. The CPA and estate counsel take the paper. Jason Taken will tell you when the operating file is not financeable at the family number.

Related-party SBA, again

Lenders look harder. Gifted down payments create sourcing questions. SOP 50 10 8 still exists if 7(a) is used (Source: SBA). A lease from the parents should look like a lease. Repair clauses written on a napkin become Thanksgiving.

When the child is not the operator

Minority shares in a plant are hard to sell and easy to fight over. Some families sell outside and divide cash. Some use insurance. Some use an ESOP. Equal is not fair when one child runs the cell and another does not. Name the design.

Housing, auto, and construction-cycle plants add a second fairness problem: the year you gift may be the peak. Use a cycle-aware earnings base. Peak-year gifts are how siblings litigate.

Fairness is not a multiple, and a multiple is not fairness

Family succession is an estate problem wearing a plant. An outside sale is a market-clearing problem wearing the same plant. Running a priced process can still end with a family bid. A kitchen conversation with no process rarely produces a priced outside bid. BizBuySell's manufacturing median time to close was 223 days in 2025 (Source: BizBuySell) — that clock does not pause for a last name.

HedgeStone will not draft trust language. Bring counsel and a CPA. Use valuation so the family argument has a size band, not a feeling.

What a priced family conversation still has to look like

A last name does not replace a size band. The operating child still has to live inside the same SDE or EBITDA cell a third party would use. A teacher with equal shares and no buy-sell is a minority-owner lawsuit wearing a holiday sweater. Price the file. Write the matching right. Date the exclusive. If financing fails, the market is still allowed to exist.

Related-party 7(a) questions are lender questions. Gifted down payments are CPA questions. HedgeStone will say when the operating file cannot support the number the family wants. That is the service on this slug.

Why a kitchen exclusive is usually the expensive option

An open-ended family talk while a certificate lapses is how a strategic goes elsewhere. Use a dated feasibility window, then a matching right, then the market. Life insurance and a priced redemption are counsel's paper. A holiday conversation is not a buy-sell. Customers do not need to hear that the kids might take over from a competitor. 504 can still buy the plant when occupancy fits; the lease back to the operating child should look like a third-party lease or you will fight about the roof at Thanksgiving.

Estate liquidity, IRC § 6166, and why a kitchen exclusive still needs a number

A family who keeps the plant still has an estate-and-fairness file. IRC § 6166 can, when the tests are met, let an estate defer tax on a closely held business interest and pay it over time (Source: IRS). That is a counsel-and-CPA election after death. It is not a valuation method while the owner is alive, and it is not permission to skip a written number for the child who will operate and the child who will not.

Related-party SBA files get extra affiliation and change-of-ownership questions. SOP 50 10 8 still wants a 10% injection on change of ownership; a seller note counts toward that injection only on full standby and only up to half (Source: SBA). A parent-to-child 7(a) that treats a handshake note as cash equity will die in packaging.

Family pathWhat has to be writtenWhat a kitchen exclusive hides
Child operates, siblings cash outA priced buyout and a funding stack“We’ll keep it fair later”
Child operates, parents hold paperStandby versus current-pay, in writingInterest that was never budgeted
No operator in the familyAn outside processA title with no second chair

BLS OEWS May 2025 put machinists at a $58,750 national median and welders at $53,750 (Source: BLS). Those wages still have to be paid if the child cannot run the bid desk. Deloitte and The Manufacturing Institute still flag millions of hires needed this decade (Source: Deloitte/MI). A family name on the door does not fill a programmer seat.

Price the plant as if a stranger were buying, then decide whether the family can fund that number. How each buyer type prices is the habit page. This page is the decision to keep or sell.

What a fairness conversation has to price besides the iron

If one child operates and another does not, the operating child’s wage, the rent if the parents keep the building, and the buyout note are three prices. Mixing them into “the family number” is how the operating child funds siblings with unpaid overtime. Write the wage, the rent, and the note as separate lines. Then decide whether an outside bid would have cleared more after tax. How real estate affects value is the dirt companion when the parents want to keep the plant. The succession-crisis guide is the small-shop labor and second-chair file, not a kitchen exclusive.
