What should the supplier file show?
Trailing-12 spend by vendor. Single-source parts. Lead times. Qualification status in the QMS. Customer change-control that would be required to dual-source. Pass-through language on steel, resin, and freight. HTS exposure where imports matter — confirm current Section 232/301 status as of the retrieval date; this page will not freeze a tariff rate.
ISM August 2026 Prices Index 71.1, PMI 54.6 (Source: ISM; also Reuters 2026-09-01). Cost pressure is real. A hoped-for giveback is not trailing earnings. Tariffs and reshoring is the policy cousin. This page is the vendor table.
Customer concentration uses a 25–30% rule of thumb on sales. There is no matching official statute on spend. Treat an unqualified single source on certified work as a finding anyway. A name on a spreadsheet is not a dual source if the customer has not approved the second house.
How do process families fail differently?
Plastics: resin grade and colorant. Metal fab: mill and alloy certs. Electronics: component obsolescence and customer-owned designs. Aerospace: approved-source lists. Food: allergen and GFSI-approved vendors.
ERP extracts should rebuild spend the way invoices rebuild customers. Inventory should age shortage buys that outlived the program. Fed G.17 utilization 76.0% (July 2026; Source: Fed G.17) can coexist with bloated raw bought on a prior scare. Shortage buying is not a method.
Reshoring Initiative: 244,000 U.S. manufacturing jobs announced in 2024 via reshoring plus FDI (Source: Reshoring Initiative, 2025-06-09). That is a national flow. Your dual-source plan is the plant.

How should this sit next to the valuation cell?
Inside it. A $3–10M medical file still uses 6.5x–9.0x only while the resin or component source is qualified and transferable. A Main Street CNC file still uses 2.0x–3.6x SDE even if the shop has three steel houses. Structure — earn-out, escrow, a funded dual-qualification plan — is how adults bridge a single source. Census CBP’s 284,452 establishments (Source: Census) include plenty of single-source job shops. Disclose.
| Supplier fact | Diligence test | Valuation / structure |
|---|---|---|
| Single qualified source | Customer change-control clock | Chip or funded dual-source plan |
| Dual source, both approved | PO history to both | Neutral to high end |
| Import HTS exposure | Current 232/301 status | Margin / pass-through, not a new multiple |
| Shortage stock | Age vs current BOM | Write-down before the peg |
| Pass-through lag | Contract formulas vs ISM 71.1 | Margin risk on firm book |
What sellers should not hide
The one foundry. The one overseas house. The consignment that is actually customer-owned. The surcharge that stopped sticking last quarter.
Buyers: buy a manufacturing business. Sellers: sell my manufacturing business. The valuation pillar keeps the cells. Jason Taken is a business broker, not a trade counsel. Educational information only. Confirm current tariff status. No value is guaranteed.
How to rebuild spend the way you rebuild customers
Twenty-four months of AP by vendor. Roll sister entities. Flag any vendor that is also a customer or a related party. Flag any vendor that is the only approved source on a controlled part. Foot to COGS. If the feet do not match, the file is incomplete.
Ask for the approved-vendor list inside the QMS, not the QuickBooks vendor list. They are different. A QMS list with one house for a NADCAP process is the finding even if AP shows three steel service centers.
Pass-through that looks fine until the fourth quarter
Plot surcharge billed versus cost for eight quarters. A shop that passed through in 2024 and ate it in 2025 has a run-rate problem. ISM Prices 71.1 is why that plot matters in 2026. Tariffs is the policy page. This page is the vendor math.
LTAs that lag inputs belong on the backlog review the same week. A firm book with a lagging formula is not a premium book.
Dual-source projects that belong in the room if you want credit
Second house, qualification status, customer change-control, estimated months, estimated cost, safety stock during the switch. If those lines are empty, do not claim a dual source. A quote from a second mill is not qualification.
Medical and aerospace change-control can take longer than exclusivity. Start the project before the teaser if the single source is material. Buyers from buy a manufacturing business will price the gap otherwise.
Reshoring Initiative job counts are climate. They do not qualify your second house. Do not put a national jobs figure in the supplier table.
A week-one supplier walk that does not borrow the customer script
Start in receiving, not in purchasing. Read the last twenty certificates of analysis or material certs. Ask which lots were rejected and whether the replacement house was already on the approved list. If every reject went back to the same mill and the approved list has one name, you have found the whale on the inbound side. Write that name before you tour the pretty racking.
Then sit with the buyer or the planner and rebuild the last year of expedites. Expedites are a leading indicator of single-source pain. They also hide in freight, which sellers sometimes try to add back as a one-time storm. A year of expedites is a run-rate. Put it next to ISM Prices 71.1 as climate, not as an excuse.
Walk the consignment cage. If the cage is full of customer-owned resin or customer-owned reels, those dollars are not yours. If the cage is full of your safety stock for a program that ended, those dollars are a write-down. The supplier story and the inventory story meet in that cage. Do not let them be recast as two victories.
Ask for the change-control clock on the top five controlled parts. A medical or aerospace customer can take longer to approve a second house than your exclusivity period. If the seller wants credit for a dual-source project, the project needs a registrar-style plan: second house, tests, customer notice, months, cost, safety stock. A PDF quote from another mill is not that plan.
Close the week by asking what happens if the primary house misses four weeks. Some shops have a verbal friend. Some shops stop. The answer belongs in the CIM if you are selling and in the model if you are buying. It does not belong as a new official multiple. It belongs as a reason to sit low in the cell you already earned, or as a funded workstream after close.
A receiving-dock exhibit that inbound whales cannot hide from
Last twenty certificates of analysis or material certs. Rejected lots and whether the replacement house was already approved. Last year of expedites, which hide in freight and sometimes try to become add-backs. Consignment cage contents, split into customer-owned versus your leftover safety stock. Change-control clocks on the top five controlled parts. What happens if the primary house misses four weeks.
That exhibit is the inbound whale. A diversified customer pie chart does not erase it. A dual-source PDF quote does not erase it. Qualification and customer change-control erase it, on a clock that may be longer than exclusivity.
Plot surcharges versus cost for eight quarters next to this exhibit. A shop that passed through in one year and ate cost in the next has a run-rate problem. ISM Prices at 71.1 is why the plot matters. Reshoring Initiative job counts stay in the climate paragraph. They do not qualify a second house. They do not belong in the vendor table.
A closer read on receiving exhibit
Read the last twenty material certs in receiving. Ask which lots were rejected and whether the replacement house was already approved. Rebuild a year of expedites. They hide in freight and sometimes try to become add-backs. Split the consignment cage into customer-owned versus leftover safety stock. Write change-control clocks on the top five controlled parts. Write what happens if the primary house misses four weeks. Plot surcharges versus cost for eight quarters. A shop that passed through in one year and ate cost in the next has a run-rate problem. A dual-source PDF quote is not qualification. Reshoring job counts stay in the climate paragraph. They do not belong in the vendor table. A diversified customer pie chart does not erase an inbound whale.
What twenty material certs in receiving say that a pie chart cannot
Read the last twenty material certificates. Ask which lots were rejected and whether the replacement house was already on the approved-vendor list. A dual-source PDF quote is not qualification. A diversified customer pie does not erase an inbound whale who supplies the resin, the alloy, or the one pass-through process the quality system cannot replace in four weeks.
A shop that passed through in one year and ate cost in the next has a run-rate problem, not a one-time freight story.
Reshoring job counts stay in the climate paragraph. They do not belong in the vendor table. A single-source special process with a twelve-month qualification clock is a deal-structure topic if that process sits on half of sales. It is a diligence topic if it sits on a few jobs. Write the share before you decide which response you are in.
