What clauses actually decide whether the buyer can stay?

Pull the full lease, every amendment, the commencement letter, and any side email the landlord treats as a promise. Highlight assignment, subletting, change of control, use, alterations, restoration, and remaining options. A letter of intent that is silent on consent is how week eight becomes a surprise.

Stock versus asset is not a magic key. Some leases treat a change of equity control as an assignment even if the named tenant LLC stays. Some do not. Counsel answers from the paper. HedgeStone will not tell a buyer that "stock deals skip the landlord."

Census CBP 2023 counted 284,452 manufacturing establishments, 68.4% with fewer than twenty employees (Source: Census CBP). Small tenants still sit on institutional landlords who have a form and a credit committee.

How should remaining term be compared to the machine list?

A 5-axis cell or a 1,000-ton press is not a desk. If the lease ends in thirty-six months and the iron has a dozen years of useful life, you are financing a move whether anyone says so. Price relocation or a renewal now. Do not wait for the option window that the landlord can refuse.

BLS OEWS May 2025 medians put machinists at $58,750 and welders at $53,750 (Source: BLS). Those wages do not pay a crane week. Labor cost and move cost are different lines.

When is a new lease cleaner than an assignment?

If the landlord wants a rent reset, a longer term, or a stronger named tenant, a new lease can be the real deal. That can be good: fifteen years of occupancy under a 7(a) story. It can be bad: market rent that the recast never assumed. Compare both paths in the same week. A sale-leaseback is the version where the seller is the landlord. Assignment is the version where a third party already is.

Do not let the seller "introduce" the landlord before NDA and a consent plan. Landlords talk. Competitors rent space in the same park.

What do estoppels and SNDAs change that the CIM will not mention?

An estoppel pins down rent, defaults, deposits, and whether the landlord already claims a breach. A surprise default is a price chip or a walk. An SNDA decides whether the landlord's lender can wipe the tenant in a foreclosure. Manufacturers with pits and process utilities want non-disturbance in writing. Budget two to four weeks for institutional landlords. BizBuySell's 2025 review put manufacturing's median close at 223 days (Source: BizBuySell). Consent packages are how that median gets worse.

leased manufacturing floor whose remaining term must outlast the iron
remaining term versus machine life is the first arithmetic.

What does a 4-year remaining term on a 32,000-square-foot leased fab look like?

Eighteen people, two late-model lasers, and a landlord in another state who answers email on Fridays. The lasers will outlive the term. The use clause says "sheet metal fabrication" and the buyer wants to add powder coat. That is an alteration and a use conversation, not a rubber stamp. Either the landlord grants a ten-year extension with the new use, or the buyer is buying a move. The LOI should say which path is assumed and who pays the legal bill for the consent package.

An individual 7(a) buyer inside the $5 million cap (Source: SBA) needs the occupancy story to survive underwriting. A landlord on "sole discretion" is a credit risk.

Jason Taken is a business broker. He does not negotiate landlord consent as counsel, issue estoppels, or promise a renewal. Educational information only. Read the assignment and change-of-control clauses before anyone multiplies earnings as if the bay were owned. If the term is shorter than the iron, price the move. Data current as of September 2026.

A consent-package week that does not start a park rumor

Monday. Collect the full lease stack. No highlights from memory.

Tuesday. Counsel marks assignment, change of control, use, and options. The seller does not paraphrase.

Wednesday. Draft the consent request and the estoppel form. Decide who calls the landlord and with what cover story.

Thursday. If a lender sits on the fee, start the SNDA. Institutional forms are slow.

Friday. If consent looks hostile, open the relocation pencil. Do not wait for a written no.

Confidentiality. The landlord learns there is a transaction. Limit the names they are allowed to repeat.

How should personal guarantees and the seller's name on the lease be unwound?

Many small-plant leases still carry the owner's personal guarantee. A buyer who assumes the lease may be asked for a replacement guarantee. A seller who stays on the guarantee after selling the company has not sold the risk. Write a release as a closing condition or admit the seller is still in the deal. That sentence belongs next to the purchase agreement, not in a hallway.

Letters of credit should be replaced, not "left in place for a while." "A while" is how year two becomes a call on the seller's bank.

What restoration and hazardous-materials clauses turn a cheap assignment into an expensive exit?

Pits, mezzanines, paint kitchens, and bolted-down process lines can be the tenant's to remove. An assignment that keeps those clauses without a cap is how the buyer inherits a teardown. Ask for a written restoration scope now. If the landlord wants the pits closed, that is an environmental project as well as a lease project. Owner-occupied files hide this because the same human owns both sides. Third-party landlords do not hide it. They invoice it.

How should government-contract or ITAR floors handle landlord access during consent tours?

A landlord who wants to "walk the space with my investor" can walk past export-controlled hardware. Set plant-visit rules before the consent tour. Cover drawings and customer parts. The assignment is a real-estate event. It is not a waiver of how it works confidentiality or of export-control discipline.

If the landlord refuses any access protocol, that is information about the relationship you are assigning into.

How should percentage rent, CAM, and industrial park rules show up in the recast?

Some parks bill common-area maintenance, after-hours HVAC, and trailer-parking rules that never appear in the CIM rent number. Pull trailing-twelve CAM reconciliations. A $2 per square foot surprise on 32,000 feet is $64,000 of occupancy the 2.75x SDE cell never saw. Percentage rent is rarer on industrial, but a park that charges by dock-door or by trailer overnight will still move coverage.

Ask whether the landlord has already reserved the right to recapture on assignment. Recapture lets the landlord take the space back instead of consenting. That clause turns an assignment into a relocation with no negotiation. Highlight it in week one.

What insurance certificates and use-restriction riders do lenders want with the assignment?

Landlords often require evidence of liability limits, waiver of subrogation, and additional-insured status before they will stamp consent. A 7(a) lender will want the same packet plus proof the remaining term covers a useful piece of the loan life. If the rider forbids painting, welding, or storing flammables, the process you toured may already be a breach. An estoppel that is silent on known violations is a problem, not a comfort letter.

Bind the buyer's policy to start at close with the landlord named correctly. A seller certificate that expires on closing day is how Monday morning starts with a lockout threat.

How should a multi-building campus or a shared driveway be assigned without orphaning the dock?

Manufacturers sometimes occupy Building A under one lease and the overflow shed under a second, or they share a driveway easement with a neighbor. Assigning only the pretty lease leaves the shed or the truck court behind. Map every instrument that lets a truck reach a dock. Easements, license agreements, and rail sidings are not "the landlord will be reasonable." They are recorded or they are hopes.

If Building B is month-to-month overflow, price the loss of that space in the capacity model. Fed G.17 utilization at 76.0% (Source: Fed G.17, July 2026) does not mean your overflow shed is optional when the main bay is already jammed.

Holdover rent after a missed option date can be 150% or more of the last month, depending on the form. That is not a statute. It is the lease. Calendar the option. A buyer who closes in month thirty-five of a thirty-six-month term without a written extension is buying a holdover. Price that or extend it before anyone multiplies last year's SDE.

How should radius restrictions and exclusive-use clauses affect a buyer who already owns another shop?

Some industrial parks bar a tenant from operating a competing use within a stated radius, or they grant another tenant an exclusive on painting, food, or outdoor storage. A buyer who already runs a powder-coat shop two miles away can breach the park on day one. Read the declarations and every exclusive. A consent stamp does not waive an exclusive you never asked about. If the exclusive blocks the process, you are back in a relocation pencil before the multiple is real.
