Texas cells, not a Ship Channel premium
The Texas row in the CBP 2023 state file lists 21,034 manufacturing establishments, second in that ranked table behind California, 869,062 employees, a 41.3-person average, 69.0% of shops under 20 employees, and a 1.16% share at 500 or more (Source: Census CBP). The national vintage is 284,452. Those cells describe Texas. They do not become a Pasadena headcount because the MSA is Houston-The Woodlands-Sugar Land, TX.
BLS CES publishes metro manufacturing employment. This site does not print a CES cell for Houston. The Texas sell page owns the statute table. This city page sits under the cities directory and under sell my manufacturing business. Energy-related equipment, fabricated metal, food, chemicals, and electronics stay qualitative. Confirm any NAICS split before it enters a teaser.
Statute follows the plant address. Houston-The Woodlands-Sugar Land, TX is a sourcing label. If a later deed sits outside Texas, use that other state’s overlay. Do not import a hoped-for Channel premium onto valuation. Size band and sub-sector still decide the earnings basis.
Federal WARN remains a 100 full-time / 60-day statute (29 U.S.C. § 2101). Texas mini-WARN is N in the 2026 table. Do not copy New York, California, or New Jersey thresholds onto a Harris County roster. WARN is the federal page. An N is not a speech that no notice law exists.
Sugar Land, Pasadena, and The Woodlands as labels
Sugar Land, Pasadena, The Woodlands, and the Ship Channel are allowed region words. They tell a buyer where the bay sits. They do not change Texas cells. A Channel-adjacent fabrication book is a specification and customer-concentration file. A Sugar Land food plant is a GFSI audit and working capital. A Woodlands-adjacent electronics house is a different packet again. Sub-sectors decide diligence. Sharing a metro nickname does not merge those packets.
How it works still keeps the teaser at region level. “Channel-adjacent process equipment” is a teaser. A street and a skid photo a customer would recognize is a leak. Energy-related equipment is a customer and specification file, not an electricity-rate page. This site will not publish a Texas energy cost. Use the plant’s bills when a buyer asks.
Climate prints stay weather. ISM PMI 54.6 and Fed capacity 76.0% describe the operating year. They do not lift a Pasadena asking price.
Energy-adjacent process on the 21,034-shop file
Scale on the Texas state file changes how many operators and add-ons can show up. It does not change the earnings basis. Most owners are still SDE shops or lower-middle-market EBITDA companies. A Channel specification book and a west-side job shop share Texas cells. They do not share a CIM.
Main Street manufacturing in BizBuySell’s 2021–2025 set cleared at 2.75x median SDE (Source: BizBuySell). That room is not a certified process-equipment book with reportable EBITDA. Do not average them and call the blend a Houston turn.
All Appropriate Inquiries still governs wet process and dirt in the deal (Source: EPA / 40 C.F.R. Part 312). Phase I follows ASTM E1527-21. Chemicals, solvents, tanks, and finishing still trigger studies. Components generally stale after 180 days. Texas env. transfer is N — not an ISRA clone — and cleanup liability is still real.
| Channel-adjacent tab | Texas cell | Slogan that is not a cell |
|---|---|---|
| Notice calendar | Mini-WARN N; federal WARN if facts fit | A copied coastal-state threshold |
| Sales tax on M&E | MfgEx / Occ | “Equipment always transfers tax-free” |
| Bulk / successor | F in the 2026 table | Importing Pennsylvania clearance onto Harris County |
| Broker / TREC fork | Assets without dirt generally outside RE brokerage in secondary 2026 commentary; confirm if the plant transfers | “A Channel photo finishes licensing” |
| Occupancy | A 504 fact if the plant is in the deal | “Ship Channel” as a financing theory |
Licensing by state is the briefing. Jason Taken is a business broker. A licensed real-estate broker still owns a deed when dirt conveys. Counsel confirms the TREC fork.
The 2025 manufacturing median close ran 223 days (Source: BizBuySell). Use that clock when you schedule exclusivity, Phase I, and quality of earnings. It is a planning number. It is not an employee announcement.
How should a Houston owner keep Channel work confidential?
Script the visits. Do not tour during a customer inspection or a turnaround week. The estimator who hears a rumor updates a résumé. A strategic who already specifies the same alloy or code hears faster than a flyer. Keep customer names last. Public marketplaces create inbound and screenshots. For most Channel-adjacent manufacturers the default is a controlled list.
The complete guide is the long sequence. Write the peg before exclusivity. Specification WIP and customer-owned fixtures are where these files donate cash. A machine list without serials is a brochure. If orderly liquidation value plus cleaned working capital exceeds the earnings story, stop the growth CIM. Price the iron.
IBBA Pulse Q1 2026 reported that 83% of deals over $5 million drew three or more offers (Source: IBBA). That is why buyer types should run in parallel when the file can support it. It is not a bid promise on a $400k-SDE Sugar Land shop.
Preparing the Houston sale tabs
Recast three years and YTD with invoices behind every add-back. Cycle work that recurs every outage is not one-time. Inventory methods that booked hope as WIP will be restated. Quality certificates — ISO, ASME-adjacent cards the customer actually requires, SQF on food — are access gates. A lapsed card is a customer problem.
SBA operators still live inside a $5 million 7(a) box with a 10% change-of-ownership injection under SOP 50 10 8 (Source: SBA). If a note is pretending to be equity, it needs full standby for the life of the loan and can cover only half the injection. 504 still exists for the plant and qualifying heavy M&E. Occupancy is a fact, not a Channel slogan.
Allocation under IRC § 1060 still splits iron and goodwill. Texas does not add an Illinois-style successor-clearance certificate in the 2026 table. Do not import one. Do not treat “F” on bulk sales as a reason to skip a CPA on occasional-sale treatment of a bulk M&E transfer.
Confirm cells with counsel. HedgeStone will not invent a listing to fill a thin Channel file.
A Pasadena specification shop and a Sugar Land food plant share Texas cells. They do not share a visitor script. The specification file needs a nameless customer schedule by code or program and a machine list that survives an orderly-liquidation check. The food file needs a GFSI week that does not collide with tours. Put both facts in the CIM without naming the street.
Owner dependence on a Channel-adjacent book is usually the person who still holds the specification and the estimator who still prices outages. Write the second chair into the recast as a replacement wage. Deloitte and The Manufacturing Institute still flag a large national hiring need this decade. Your version is those names, not a Channel speech. A shop that only the owner can quote to the inspector is a stay conversation.
Buyer types split on a Houston-area file. An SBA operator starts at SDE after a replacement wage. A searcher wants a general manager already in the number. A strategic pays for a process or a customer they already know — which is how specification books leak. An add-on pays for certified EBITDA. This page will not name firms.
Dirt is a second price, and TREC turns on whether the plant transfers. Selling the going concern with the plant, leasing the building back, or leaving a landlord in place are three structures. Counsel confirms the fork. A tired Channel-adjacent bay attached to a thin operating company is not a growth CIM because the teaser opened with a ship photo.
Public listing remains optional. Most Channel-adjacent manufacturers should default to a blind teaser and a controlled list. Sell a manufacturing business in Dallas, Austin, and San Antonio are the other Texas metro overlays. El Paso stays a sourcing label.
Section 179 and bonus depreciation are year-specific rules. HedgeStone will not give tax advice. A Channel earn-out should be a measured volume or named-account number with a cap, not a promise that the buyer will compute EBITDA after their own allocations. Standby paper that exists only to look like SBA equity is a cashless close.
The 41.3-person Texas average is a state cell on a 21,034-shop file. It is not a Pasadena roster. Put the actual headcount next to federal WARN. Texas mini-WARN is N. Do not invent a Channel threshold because the teaser photographed a ship.
