Twenty-one thousand shops is a buyer list, not a price
Second in the Census County Business Patterns, 2023 file, Texas held 21,034 manufacturing establishments and 869,062 jobs. The average shop is 41.3 people — near the national 43.4. 69.0% of those shops have fewer than twenty employees. 1.16% have 500 or more (Source: Census CBP). Against 284,452 U.S. plants, 68.4% of which have fewer than twenty people, Texas is large and still mostly small.
Scale fills a buyer list. It does not print a statewide multiple. An energy-equipment fabricator in Houston and a food plant in San Antonio share that 21,034 count. They do not share a customer, a certificate, or a lender.
Owners who sell a manufacturing business here usually sit in energy-related equipment, fabricated metal, food, chemicals, or electronics. Name the process. Leave NAICS counts out of the teaser unless you can prove them. Sub-sector hubs keep those rooms apart.
When does TREC actually enter a Texas sale?
When the land moves. Midwest Brokers and other secondary sources describe the TREC posture this way: business assets without real estate are generally not real-estate brokerage. Counsel confirms that sentence on the engagement you actually have. Business-broker licensing by state is the longer grid. Jason Taken is a business broker.
The building is a different card. Selling a manufacturing business with real estate walks through company-plus-plant, company-plus-leaseback, and a landlord already in place. Those are three letters. A Houston warehouse deed is not “included in the 2.75x.”
Houston, Dallas, Austin, and San Antonio are four rooms
Use sell a manufacturing business in Houston, Dallas, San Antonio, or Austin when the plant sits in that metro. El Paso is a region we name in a teaser. It does not get a street address in the first sentence.
Energy files leak through a buyer who already quotes the same midstream account. Food files leak through a slotting manager. Electronics files leak through a quality clerk. Name a region — Gulf Coast energy equipment, North Texas metal, Hill Country food — not a bay-door number.
Can an SBA buyer buy the company and the plant?
Write the box before the tour. 7(a) still caps at $5 million with a 10% buyer injection under SOP 50 10 8 (SBA terms). A seller note counts toward that injection only on full standby for the life of the loan, and only up to half. 504 is the plant-and-equipment path — $5 million standard, $5.5 million on a qualifying small-manufacturer project. Occupancy rules sit with counsel. A chemical book with reportable EBITDA may not belong in the 7(a) room at all.
Texas does not add its own mini-WARN clock in the layoff-notice lists we checked. Federal WARN can still apply at 100 full-time employees and 60 days (29 U.S.C. § 2101). Do not import California’s 75-person test or New York’s 90-day clock onto a Fort Worth letter. WARN is the federal page. A 41.3-person average shop often sits under the federal test. A plant in the 1.16% large-employer tail may not.
Texas does not use a New Jersey-style environmental transfer act. Land or a wet process still goes through All Appropriate Inquiries (Source: EPA / 40 C.F.R. Part 312). ASTM E1527-21 is the usual Phase I practice. Pieces generally go stale after 180 days. Coatings, food chemistry, and process chemicals still go to Phase I and, if needed, Phase II.
Sales tax on machinery is often a manufacturing-exemption or occasional-sale question. Successor tax is fact-dependent. A Texas CPA writes those sentences. HedgeStone will not.
How do you sell a Texas shop without the floor hearing first?
How it works is an unnamed teaser, an NDA, a staged room, then a scripted visit. Public marketplaces create inbound and screenshots. Second place in the Census file does not make a screenshot safer. Employees hear late, with a script. Key people may need a stay talk before anyone walks the aisle.
Manufacturing business valuation stays national. After the TREC fork and the SBA box are honest, BizBuySell still shows a 2.75x manufacturing SDE median on about $268k discretionary earnings. The 223-day median is a planning number. It is not an Austin close date. An energy-equipment book with reportable EBITDA does not live in that SDE room.
| Deal that walks in | Who prices which stack | Broker note | What 21,034 shops does not buy |
|---|---|---|---|
| Operating company only, leased bay | SDE or EBITDA on the company | Secondary TREC posture: assets without land generally outside RE brokerage | A Houston multiple |
| Company plus the building | Earnings on the opco; cap rate on the plant | Licensed real-estate broker on the deed | A Dallas premium inside 2.75x |
| Company plus a leaseback | Two letters, two prices | Counsel and a CPA split occupancy | El Paso as a headline |
IBBA Q1 2026 found 83% of deals over $5 million drew three or more offers. On a 21,034-shop map that can happen. It is not a bid promise on a $250k-SDE metal shop. Buyer types recast differently: operators to SDE, energy add-ons to backlog, food buyers to the slot. This page will not name firms.
The complete guide to selling a manufacturing business is the national sequence. This page only adds the TREC fork, the four live metros, and the shop-size map.
Energy unfinished jobs and food holds need separate classes in the working-capital peg before exclusivity. Copy a retailer peg into a Gulf Coast fabrication letter and the true-up invents a fight after the wire.
| File item | Ready looks like | Texas wrinkle |
|---|---|---|
| Recast | Three years, year-to-date, add-backs documented | Replacement wage for the person who actually quotes Houston work |
| Concentration | Trailing twelve and thirty-six months, names later | Midstream and slot names wait for the NDA |
| Quality | ISO, food, or process certificates current | Access gate, not a logo |
| Equipment | Serial numbers and liens | Floor test versus a hoped-for multiple |
| Working capital | Classes written before exclusivity | Dallas unfinished jobs are not a surprise |
| Building | Company letter and deed letter split | TREC posture changes if the land moves |
| Notice | Temps counted | Federal 100 / 60; no extra Texas mini-WARN in the lists we checked |
National BLS OEWS May 2025 prints — machinist $58,750, welder $53,750 — stay national. They are not a Houston wage series. If the file cannot name who quotes Austin work when the owner is gone, it is not ready.
Related-party rent in Dallas or San Antonio that sits below market is a gift to the first offer. Put a market rent in the recast. Form 8594 still splits equipment, goodwill, and the building. A Texas CPA writes the machinery-tax sentence.
August 2026 ISM at 54.6 and July 2026 Fed utilization at 76.0% describe the year. They do not become a Texas premium. Most of the 21,034 shops still have fewer than twenty people. El Paso belongs in the second sentence of a teaser. A bay-door street address in the first sentence is a leak.
If one owner still prices every energy job, do not call the file a 41.3-person plant in the memo. Name the second chair. A buyer who wants “any Texas shop” is not a list. Second place in the Census file will not repair that.
Keep food earn-outs on named-account gross profit. Interest on a current-pay note is credit, not SBA equity. A hidden 40% customer still appears in the purchase agreement.
The TREC fork is the sentence owners skip. A company-only asset sale of a leased Dallas bay is one engagement. Adding the building in Houston is a second engagement and a second license card. Adding a leaseback in San Antonio is a third letter with occupancy facts for the CPA. Write which of those three you want before the teaser goes out. Scale does not decide it for you.
Energy-related equipment hides field inventory and consigned parts. Food hides slotting. Chemicals hide drums that a Phase I will find anyway. Electronics hide component last-time-buy. Put those facts in the room, not in a hallway apology after the first visit. El Paso work that still depends on one estimator is not “a 41.3-person plant.”
Searchers who can only live in the 7(a) box should hear the cap before they book airfare. Buyers who want the land should hear the 504 path and the real-estate broker requirement in the same sentence. Mixing those two conversations is how a Texas file burns a week.
Austin electronics and San Antonio food do not share a lender story. Houston energy equipment often has field trucks and consigned spares that a working-capital peg has to class before exclusivity. Dallas metal often has coatings a Phase I will find. Write those as four rooms. Second place in the Census file is a buyer-list fact. It is not permission to send one teaser to every operator in the state.
The buy-side door is buy a manufacturing business in Texas. Book a confidential intro call when the recast and the building question can travel. Second place is a map fact. It is not a Houston multiple.
