Do I still treat Washington as a license state?
Treat it as unfinished until counsel reads the current statute. Midwest Brokers and older IBBA-style lists include Washington. Those lists are a starting point, not an opinion letter. Business-broker licensing by state is the longer comparison. Jason Taken is a business broker.
The plant deed is a separate card in every case. Selling a manufacturing business with real estate splits company-plus-plant from a leaseback. A Puget Sound warehouse is not “inside the 2.75x.”
How large is Washington manufacturing, really?
Fifteenth in the Census County Business Patterns, 2023 file, Washington held 6,586 manufacturing establishments and 264,782 jobs. The average shop is 40.2 people, a little under the national 43.4. 72.4% of those shops have fewer than twenty employees — above the national 68.4% on 284,452 U.S. plants. Only 0.84% have 500 or more people (Source: Census CBP).
That is a large map of mostly small shops, with a thin large-plant tail. It is not a Puget Sound multiple. An aerospace supplier and a food plant share the 6,586 count. They do not share a quality clerk.
Owners who sell a manufacturing business here usually sit in aerospace, food, wood, electronics, or fabricated metal. Name the process. Leave NAICS counts out of the teaser. Sub-sector hubs keep those packets apart.
If the plant is on the Sound, use sell a manufacturing business in Seattle. Tacoma, Spokane, Vancouver, and Everett are regions we name in a confidential teaser. A program buyer can still hear about an Everett file before any listing appears.
Does Washington add layoff notice beyond federal WARN?
Yes, in the layoff-notice lists we checked. Those lists do not print a Washington headcount on this page, so counsel confirms who is counted. Do not copy California’s 75-person test or New York’s 90-day clock onto a Tacoma letter. WARN is the federal page.
Federal WARN can still apply at 100 full-time employees and 60 days (29 U.S.C. § 2101). A 40.2-person average shop often sits under that federal test. A plant in the 0.84% large-employer tail may not. Temps belong in the count the lawyer actually uses. Employees hear late, with a script.
Washington does not use a New Jersey-style environmental transfer act. Land or a wet process still goes through All Appropriate Inquiries (Source: EPA / 40 C.F.R. Part 312). ASTM E1527-21 is the usual Phase I practice. Pieces generally go stale after 180 days. Aerospace coatings, food chemistry, and wood finishes still go to Phase I and, if needed, Phase II.
Sales tax on machinery is often a manufacturing-exemption or occasional-sale question. Successor tax is fact-dependent. A Washington CPA writes those sentences. HedgeStone will not.
Aerospace, food, and wood leak through different doors
Aerospace leaks through a program buyer. Food leaks through a slotting manager. Wood leaks through a lumber account that already knows the owner is tired. Name a region — Puget Sound aerospace, eastern Washington food, southwest Washington wood — not a hangar door.
How it works is an unnamed teaser, an NDA, a staged room, then a scripted visit. Public marketplaces create inbound and screenshots. A 72.4% small-shop map makes a screenshot expensive. Fifteenth place does not make it safer.
Many 40.2-person shops fit a searcher who needs SBA 7(a). The SBA box is still a $5 million cap and a 10% injection under SOP 50 10 8. A seller note helps that injection only on full standby for the life of the loan, and only up to half. An aerospace book with reportable EBITDA may already sit above that room. Say so before anyone drives to Everett.
What belongs in the Seattle readiness packet?
Manufacturing business valuation stays national. After the license question, the notice question, and the SBA box are honest, BizBuySell still shows a 2.75x manufacturing SDE median on about $268k discretionary earnings. The 223-day median is a planning number. It is not a Spokane close date.
| Seattle file type | Price language | Historic license note |
|---|---|---|
| Owner still quotes every Everett job | SDE after a named replacement wage | Counsel confirms current RCW on the engagement |
| Second chair already runs the 40.2-person floor | Adjusted EBITDA in national bands | A license read is not a Puget Sound premium |
| Iron plus cleaned working capital beats earnings | Orderly liquidation | The deed still needs a real-estate broker |
IBBA Q1 2026 found 83% of deals over $5 million drew three or more offers. On a 0.84% large-plant tail that print is uncommon. Do not use it as a Tacoma bid story. Buyer types recast differently: operators to SDE, aerospace add-ons to the program, food buyers to the slot. This page will not name firms.
The complete guide to selling a manufacturing business is the national sequence. This page only adds the historic license listing, extra notice, and the Seattle metro.
Aerospace unfinished jobs and food holds need separate classes in the working-capital peg before exclusivity. Copy a retailer peg into an Everett supplier letter and the true-up invents a fight after the wire.
| Packet | Ready looks like | Washington check |
|---|---|---|
| Recast | Three years, year-to-date, add-backs documented | Replacement wage for the person who actually quotes Seattle work |
| Concentration | Trailing twelve and thirty-six months, names later | Program and slot names wait for the NDA |
| Quality | Aerospace, food, or wood certificates current | Access gate, not a logo |
| Equipment | Serial numbers and liens | Floor test versus a hoped-for multiple |
| Working capital | Classes written before exclusivity | Spokane unfinished jobs are not a surprise |
| License | Counsel reads current RCW | Historic listing is not a finished card |
| Notice | Temps counted | Extra Washington clock plus federal 100 / 60; counsel reads both |
Machinist and welder prints from BLS OEWS May 2025 — $58,750 and $53,750 — stay national. They are not a Seattle wage series. If nobody else can quote Vancouver work, the file is not ready.
Below-market related-party rent on the Sound is a gift. Restate it at market. Allocation still splits equipment, goodwill, and the building on Form 8594. A Washington CPA owns the machinery-tax sentence.
ISM at 54.6 in August 2026 and Fed utilization at 76.0% in July 2026 describe the year, not a Cascades premium. Most of the 6,586 shops have fewer than twenty people. Spokane and Vancouver belong in the second sentence of a teaser. A hangar-gate address in the first sentence is how the program hears.
Name the person who prices when the owner is gone. A tourist who wants “any aerospace shop” is not a buyer list. Fifteenth place in the Census file does not hire that second chair.
Wood earn-outs belong on named-account cubic footage or gross profit, floored and capped. Current-pay interest on a seller note is lender credit. It is not the 10% injection.
The historic license listing is the sentence owners treat as finished. It is not finished. Counsel reads the current Revised Code of Washington on the engagement you actually have. A Seattle company-only sale and a Tacoma sale that includes the building are different cards. Do not copy Minnesota’s license wording, or any other state’s wording, onto a Washington letter.
Extra state layoff notice is the other sentence owners skip. Lists we checked include Washington. They do not print a headcount here. A 40-person food shop and an aerospace campus in the 0.84% large-plant tail do not share a speech. Employees hear late. Program buyers hear if the teaser names Everett too early.
Spokane food, Vancouver wood, and Puget Sound electronics do not share a data-room index. Coatings, finish chemistry, and program certificates belong in the room before the first flight lands. A 72.4% small-shop map makes a public listing a screenshot problem, not a marketing plan.
Company-only letters on a leased Seattle bay are one path. Company-plus-building in Tacoma is another. A leaseback in Everett is a third. Write which stack you will accept before counsel spends time on the historic license listing. Searchers who need 7(a) should hear the $5 million cap in the first call. Aerospace books that already report EBITDA should not be sent into that room. Fifteenth place does not change the box.
Do not copy another state’s license sentence onto a Washington engagement. Historical lists are a starting point. The current Revised Code of Washington is the question counsel answers. Extra layoff notice is a second question. Shop size is a third. A 40.2-person food plant in Spokane and an aerospace supplier on the Sound do not share those answers. They also do not share a teaser. Name a region. Leave the hangar door out. If related-party rent on the Sound sits below market, restate it before the first offer or you will gift the cap-rate difference to the buyer. Vancouver wood finish chemistry and Spokane food chemistry still go to Phase I even though Washington has no transfer-act clock.
People looking the other direction can buy a manufacturing business in Washington. Book a confidential intro call when the recast, the license question, and the notice question can travel. Fifteenth place is a map fact. It is not a Seattle multiple.
