A thousand shops, a mid-size chair
Forty-third in the Census County Business Patterns, 2023 file, West Virginia held 1,060 manufacturing establishments and 48,350 jobs. The average shop is 45.6 people — a bit above the national 43.4. 64.6% of those shops have fewer than twenty employees, below the national 68.4% on 284,452 U.S. plants. 1.60% have 500 or more people (Source: Census CBP).
A thin map with a mid-size average is a leak-risk and buyer-list fact. It is not a Kanawha Valley multiple. A chemical plant and a metal shop share that 1,060 count. They do not share a drum list.
Owners who sell a manufacturing business here usually sit in chemicals, metals, wood, or fabricated metal. Name the process. Leave NAICS counts out of the teaser. Sub-sector hubs keep those rooms apart.
Charleston, Huntington, Morgantown, Parkersburg, and Wheeling are regions we name in a confidential teaser. A chemical buyer can still hear about a Parkersburg file through a distributor before any listing appears.
Chemicals and metals are not one West Virginia story
Chemicals hide drums, pits, and permit clocks. Metals hide coatings. Wood hides finishes. Selling with environmental issues is the national packet. West Virginia does not use a New Jersey-style environmental transfer act. Land or a wet process still goes through All Appropriate Inquiries (Source: EPA / 40 C.F.R. Part 312). ASTM E1527-21 is the usual Phase I practice (diligence primer). Pieces generally go stale after 180 days. Those files still go to Phase I and, if needed, Phase II.
Chemical unfinished jobs and metal holds need separate classes in the working-capital peg before exclusivity. Copy a retailer peg into a Huntington metal letter and the true-up invents a fight after the wire.
Does West Virginia license the business broker?
No dedicated West Virginia business-broker license rule shows up in the compilations we read. Use business-broker licensing by state for the fifty-state grid. Jason Taken is a business broker. A Charleston or Huntington building still needs a licensed real-estate broker. Company plus plant, company plus leaseback, and a landlord already in place remain three letters.
Machinery sales tax and successor tax are both fact-dependent in the lists we checked. There is no dedicated manufacturing-exemption sentence to copy from a neighbor. A West Virginia CPA writes those lines. HedgeStone will not.
West Virginia does not add its own mini-WARN clock in the layoff-notice lists we checked. Federal WARN can still apply at 100 full-time employees and 60 days (29 U.S.C. § 2101). A 45.6-person average shop often sits under that federal test. A plant in the 1.60% large-employer tail may not. WARN is the federal notice page. Employees hear late, with a script.
Why the SBA box usually matters here
On a 1,060-shop map the buyer who can actually close is often an operator inside SBA 7(a). The SBA still caps that path at $5 million with a 10% injection under SOP 50 10 8. A seller note helps only on full standby for the life of the loan, and only up to half. A chemical book with reportable EBITDA may already sit above that room. Say so before anyone drives to Parkersburg.
IBBA Q1 2026 found 83% of deals over $5 million drew three or more offers. That print is a poor match for most 45.6-person West Virginia files. Do not use it as a Wheeling bid story. Buyer types recast differently: operators to SDE, chemical add-ons to permits, metal buyers to the machine list.
How do you keep a quiet map quiet?
How it works is an unnamed teaser, an NDA, a staged room, then a scripted visit. Public marketplaces create inbound and screenshots. On 1,060 shops a screenshot reaches the next valley by lunch. Name a region — Kanawha chemical, Ohio River metal, northern wood — not a tank-farm gate.
Manufacturing business valuation stays national. After the tax question and the SBA box are honest, BizBuySell still shows a 2.75x manufacturing SDE median on about $268k discretionary earnings. The 223-day median is a planning number, not a Morgantown close date.
| Chemical or metal file | Price language | What 1,060 shops does not prove |
|---|---|---|
| Owner still quotes every Huntington job | SDE after a named replacement wage | A Charleston multiple |
| Second chair already runs the 45.6-person floor | Adjusted EBITDA in national bands | That permits travel without a Phase I |
| Iron plus cleaned working capital beats earnings | Orderly liquidation | That tired presses are a growth story |
The complete guide to selling a manufacturing business is the national sequence. This page only adds the thin map, the mid-size chair, and the fact-dependent tax posture.
| Packet | Ready looks like | West Virginia note |
|---|---|---|
| Recast | Three years, year-to-date, add-backs documented | Replacement wage for the person who actually quotes Charleston work |
| Concentration | Trailing twelve and thirty-six months, names later | Distributor and mill names wait for the NDA |
| Quality | Chemical, metal, or wood certificates current | Access gate, not a logo |
| Equipment | Serial numbers and liens | Floor test versus a hoped-for multiple |
| Working capital | Classes written before exclusivity | Parkersburg unfinished jobs are not a surprise |
| Tax | CPA writes machinery and successor sentences | Fact-dependent; no dedicated exemption to copy |
| Building | Company letter and deed letter split | No dedicated broker-license rule; the deed still needs a real-estate broker |
BLS OEWS May 2025 national prints for machinists and welders — $58,750 and $53,750 — are not an Ohio River wage series. If nobody else can quote Wheeling work, stop the tour.
Restate below-market related-party rent at market before the first offer. Allocation on Form 8594 still splits equipment, goodwill, and the building. The CPA, not the broker, writes the tax sentences.
ISM 54.6 and Fed utilization 76.0% describe 2026. They do not become an Appalachian premium. Most of the 1,060 shops have fewer than twenty people. Morgantown and Wheeling belong in the second sentence of a teaser. A tank-farm street address in the first sentence is a leak.
Name the person who prices when the owner is gone. A tourist who wants “any chemical shop” is not a list. Forty-third place does not hire that chair.
Chemical earn-outs belong on named-product gross profit, floored and capped. Current-pay interest is credit. It is not the 10% injection.
What a chemical buyer will ask that a metal buyer will not
A chemical buyer asks for drums, pits, wastewater, and the last five years of notices. A metal buyer asks for coatings, quench oils, and who owns the dies. A wood buyer asks for finish chemistry. Those are three rooms. The 48,350-employee count does not merge them. Parkersburg and Wheeling belong in the region line. They do not belong as a tank-farm address in sentence one.
The tax posture is the other stall. Machinery sales tax is fact-dependent here. There is no dedicated manufacturing-exemption sentence to lift from Ohio or Kentucky. Successor tax is fact-dependent too. A West Virginia CPA writes both lines before exclusivity, not after the first amendment. HedgeStone will not write them.
On 1,060 shops the SBA box is usually the close path. Write the $5 million cap and the 10% injection before you accept a tour from someone who “has a group.” A 45.6-person average can still report EBITDA that blows through that room. Say so. A building thrown in at the end does not rescue the injection. Price the land as land and put a licensed real-estate broker on the deed.
Federal WARN at 100 full-time people can still attach on the 1.60% large-plant tail. West Virginia does not add its own mini-WARN clock in the lists we checked. That is not permission to skip the script. On a quiet map the customer often hears first.
Morgantown metal and Huntington river metal still need different teasers. Chemicals on the Kanawha need a Phase I even though there is no New Jersey-style transfer clock. Do not tell a buyer “West Virginia is easy on environment.” All Appropriate Inquiries still apply when land or a wet process is in the deal. A 64.6% small-shop map makes a public listing a valley conversation by afternoon.
Forty-third place is useful only as a map. A 45.6-person chair is mid-size, not tiny, and not a Charleston premium. If the owner still quotes every Parkersburg job, write a replacement wage a buyer would actually pay. If the building is in the deal, price it as land and put a licensed real-estate broker on the deed. If it is not in the deal, say landlord or leaseback in the first call so nobody values a deed that will not transfer. Chemicals that cannot name drum history are not ready. Metals that cannot name coating vendors are not ready. Wood that cannot name finish chemistry is not ready either. Forty-third place will not write those packets for you.
People looking the other direction can buy a manufacturing business in West Virginia. Book a confidential intro call when the recast and the tax question can travel. Forty-third place is a map fact. It is not a Charleston multiple.
