Owners who need a thirty-day wire should not exclusive with an SBA operator and a Phase I still unordered. HedgeStone will say that on the first call. Jason Taken is a business broker, not a closer who can waive lender or agency clocks.

What do the sourced calendars actually say?

BizBuySell’s 2025 review: manufacturing 223-day median time to close (Source: BizBuySell). The 2021–2025 manufacturing sold set, as recapped, also showed a 207-day median time on market (Source: Iconic / BizBuySell recap). Those are listing-to-close style medians on a Main Street marketplace dataset. They are not Stanford search-fund clocks and not GF Data larger-EV clocks.

A broker rule-of-thumb for lower-middle-market processes is 6–12 months from CIM to close. Label that as a rule-of-thumb. IBBA Market Pulse Q1 2026 described competition — 83% of deals over $5 million saw three or more offers (Source: IBBA) — which can shorten price discovery and still lengthen diligence if several parties tour.

How it works is the sequence. How to sell is the operating checklist. The calendar is what happens when those steps meet iron, inventory, and a lender.

ISM August 2026 PMI 54.6 and Prices 71.1 (Source: ISM) plus Fed G.17 July 2026 utilization 76.0% (Source: Fed G.17) describe the climate buyers read. They do not print a close date on your LOI.

Which steps consume the weeks?

PhaseWhat is happeningWhat stretches it
Recast and teaserBinder, nameless snapshot, buyer listMissing tax returns; owner travel
NDA trafficQualification, CIMSlow capital proof; competitor debates
Management meetingsShort listCalendar collisions; plant-audit lockouts
LOIPrice, peg, exclusivityUndefined working-capital peg
Diligence / QoEReconstruction, physical, Phase IAggressive add-backs; RECs
Financing7(a), 504, conventional, ABLAppraisal queue; standby-note fights
Third-party clocksNovation, DDTC, union, landlordAgency silence; counsel drafts
CloseAllocation, true-up, transitionLien payoffs; inventory arguments

Quality of earnings commonly needs two to four weeks of calendar once it starts. Fighting the report needs more. A clean PBC list is how you stay in the shorter bucket.

SBA buyers add packaging. The 7(a) maximum is $5 million. SOP 50 10 8 requires a 10% equity injection; a seller note counts only on full standby for the life of the loan and only up to half the injection (Source: SBA). Those rules do not have a published “days to close” number. They do have document lists that owners underestimate.

What seller choices add months?

Waiting for a perfect year while concentration worsens. Starting without serials. Hiding the 37% customer until the CIM appendix. Walking three “friendly” strategics through the plant in week one, then wondering why the quiet process is no longer quiet. Taking an LOI with no peg definition. Refusing to order Phase I on a plating history. Promising a sixty-day close in the teaser.

Customer concentration adds structure negotiation — earn-out, holdback, or walk — which adds drafts. Old equipment adds appraisal scheduling. Excess inventory adds a physical and a fight. Union withdrawal-liability letters add fund response time. Government novation adds an agency that does not use your closing checklist.

When is a faster path actually available?

A cash strategic who already knows the process, no real-estate transfer, no REC, no federal novation, and a light inventory can move faster than the 223-day median. An asset sale to a buyer who does not need 7(a) can also move faster, at a different number. Distressed files sometimes close quickly as asset deals because the earnings story is gone and the iron is the product.

converting line.

Faster is not cheaper. A buyer who skips QoE may deepen escrow. A buyer who skips Phase I may ask for a larger indemnity. Speed is a trade, not a virtue.

A specialist broker keeps parallel parties alive so one slow lender does not own your calendar. Exclusivity length belongs in the LOI on purpose. Ninety days of exclusivity with no capital path is how 223 days becomes 323.

How should you staff your own calendar?

Do not set a retirement party date on a median. Set internal milestones: binder complete, teaser out, first management meeting, LOI, QoE kickoff, appraisal ordered, Phase I ordered, peg language locked. Missed internal milestones are information.

If you still run the quote desk, the process will pause every time a rush job hits. That is owner dependence showing up as calendar. Hire the transition plan or accept the stretch.

If you need proceeds in a specific tax year, tell counsel and the CPA at engagement, not at week twenty. Allocation fights under Form 8594 / § 1060 consume December.

What does an illustrative 10-month file look like?

Illustrative only.

Month 1: recast and serials. Month 2: teaser and NDA traffic. Months 3–4: meetings, one SBA party and one strategic. Month 5: LOI with a peg. Month 6: QoE and OLV appraisal. Month 7: Phase I; a REC appears; Phase II scoped. Month 8: financing commitment, standby-note negotiation. Month 9: inventory pre-count, landlord consent. Month 10: true-up and close. That shape is ordinary. It is not a quote.

A cleaner SDE shop with no dirt history and a cash buyer might compress into the 207–223-day neighborhood of the marketplace medians. A certified aerospace file with novation and a foreign-person question will not.

Sell my manufacturing business is the pillar if you are deciding whether to start the clock this quarter.

How do holidays, audits, and customer blackout weeks steal calendar?

December allocation fights. January physicals that nobody scheduled. Customer audit weeks that lock the plant. Thanksgiving weeks when lessors do not return payoff letters. August when the owner is the only estimator and also on vacation. Put those blackouts on the tracker in month one. A 223-day median that starts in November is not the same 223 days that start in March.

If you have a certification-body audit in the same quarter as QoE, staff it. Do not let both land on the quality manager in the same week without a plan.

If a key customer’s fiscal year-end creates a ship-out spike, tell QoE about cutoff before they find it.

What is a “ready file” date versus a “teaser out” date versus a “close” date?

Ready: binder, serials, nameless concentration, inventory classes, real-estate decision. Teaser out: after ready, not instead of ready. Close: after LOI, QoE, appraisal, financing, third-party clocks, and true-up. Owners who announce a close date on the day they hire a broker are announcing a wish. How it works is three dates, not one.

Illustrative only: ready April 15, teaser May 1, LOI July 20, QoE August, appraisal September, close November. That shape sits near the marketplace medians. A file that was not ready until September and wanted a December wire is a different shape — usually a miss.

How should you talk to household members about the calendar without creating a floor rumor?

Share the three dates as ranges. Do not share buyer names. Do not share the multiple. Do not hold a retirement party that the shop will decorate for. Household pressure is real. Public dates are how 223 days become a spectacle.

How do you keep household cash flow intact during a 223-day-class process?

Do not stop taking ordinary jobs because you are “for sale.” Do not stop maintenance. Do not stop collecting AR. A process that starves the book makes the calendar longer and the number worse. QoE will annualize the starved months.

Set a personal rule: the shop is still a shop until the wire. The sale is a second job. If you cannot staff both, hire the recast help or delay the teaser.

Illustrative only: owner stops quoting in month two “to focus on the sale.” Trailing six months sag. Buyer annualizes the sag. The 223-day median now sits on a smaller file. Keep quoting.

How should you sequence third-party clocks so they overlap instead of stacking?

Order Phase I when the recast starts. Request withdrawal estimates in month one if a multiemployer fund exists. Start lessor payoff conversations when serials are listed. Do not run those clocks after QoE. Parallel clocks are how 223 days stays 223. Serial clocks are how it becomes 323.

If a foreign-person fact might exist, run the questionnaire before exclusivity. DDTC’s 60-day notice does not care that you already burned 45 days of exclusive.

Illustrative only: Phase I, serials, and nameless concentration in month one. QoE in month six. Close in month nine. Ordinary overlap. The file that started Phase I after a REC rumor in month seven was not ordinary.

What seller travel and shop-show schedules should be frozen during diligence?

If you always close the plant for a week in July, say so before you exclusive. If you have a two-week hunting trip, do not put QoE in those two weeks. Buyers will interpret silence as avoidance. A known blackout is a calendar. A surprise blackout is a cooling-off.

A last calendar habit: do not start exclusivity the week your quality manager is out and your CPA is in the field. Diligence needs both. A 30-day exclusive that overlaps two absences is a 30-day exclusive that will be extended. Extensions are how medians become folklore you personally exceed.
