The work is rebuilding a number a buyer and a lender can both defend, then controlling who sees the plant. Sell my manufacturing business is the decision tree. This page is the operating checklist. How it works is the spine HedgeStone uses with Jason Taken as the broker on the file.
Where does a confidential sale actually start?
It starts with a recast, not with a rumor. Pull tax returns and the internal P&L for three years plus year-to-date. Rebuild seller's discretionary earnings or adjusted EBITDA. Replacement-manager pay is a number, not a shrug. One-time legal, move, or flood costs need invoices. Personal expenses that will not transfer need a paper trail.
Census CBP 2023 counted 284,452 manufacturing establishments; 68.4% have fewer than 20 employees (Source: Census CBP, 2023). Most sale processes in that majority are owner-operated. The buyer is often an individual who will personally guarantee a loan. That fact changes packaging. It does not change the need for a nameless concentration schedule and a serialized machine list in week one.
Preparing a manufacturing business for sale is the readiness sprint. Documents needed to sell is the tab list. Do not wait for a “perfect year” while the customer mix gets worse.
A usable start also decides real estate. The operating company and the plant are two prices. Selling both, selling the company and leasing the building back, or leaving a third-party landlord in place are different structures. SBA 504 can finance a buyer who wants the dirt. Occupancy rules apply. That is not real-estate advice.
How do you build a buyer list without making the shop a rumor?
You write a blind teaser first. Geography at a region level. Process at a category level. No customer names. No cross-streets. No “the only AS9100 shop in this county.” Then you qualify capital before you send a CIM.
| Stage | What the buyer sees | What you still withhold |
|---|---|---|
| Blind teaser | Region, process family, size band, certificate category | Legal name, street, customer identities |
| NDA + proof of funds | CIM, recast, machine list, nameless concentration | Customer list, OASIS logins, employee roster |
| Short-list | Named accounts, quality manuals, backlog detail | Unscripted floor access |
| Plant visit | Escorted cells, selected jobs, safety briefing | Customer audit day; estimator gossip |
| Confirmatory diligence | Data room depth, QoE, Phase I, lien search | Nothing material — surprises here are deal tax |
Run buyer types in the same week when the file can support more than one of them. An SBA operator lives inside the $5 million 7(a) cap and SOP 50 10 8’s 10% injection rules (Source: SBA). A searcher may fit a different earnings shape. A strategic pays for a process they cannot staff. A PE add-on pays for reportable EBITDA and a second chair. Naming specific funds on this page would be invention.
IBBA / M&A Source Market Pulse Q1 2026: 83% of transactions over $5 million attracted three or more offers (Source: IBBA, 2026). That is an argument for a process above that line. Below it, a single “interested” strategic is still a weak exclusive.
Illinois sellers should know the state registers business brokers under the Business Brokers Act of 1995 unless an exemption applies (Source: Illinois Secretary of State). Conveying the plant itself requires a properly licensed real-estate broker for that piece in every state. Licensing is counsel’s confirmation, not a slogan.
What sequence keeps employees and customers from finding out early?
Confidentiality is a sequence, not a PDF.
- Limit the internal circle to people who must rebuild the recast.
- Issue the teaser without identifiers.
- Collect NDAs and capital evidence before the CIM.
- Stage the room so financials and iron come before names.
- Script plant visits after the numbers survive.
- Tell employees and customers on a planned day, usually late, with one script.
Selling confidentially and when to tell employees and customers are the longer treatments. Federal WARN generally covers employers with 100+ full-time employees and 60 days’ notice (29 U.S.C. § 2101). Unions and mini-WARN statutes have their own clocks. Do not treat a stock sale as a free pass. Labor counsel owns the notice plan.
Public marketplaces create inbound. They also create screenshots that reach competitors. For most manufacturers, a quiet process is the process.
When is the file ready for a CIM?
A CIM is ready when the recast has documents, the machine list has serials, inventory is split into raw / WIP / finished with excess-and-obsolete marked, and concentration is a schedule rather than a memory. Quality certificates belong next to the last audit and open nonconformances. If the plant plated, painted, degreased, or stored solvents, budget a Phase I under ASTM E1527-21.

A CIM is not ready when WIP is a hope number, the owner is still the only estimator, and the 38% customer is hiding in an appendix. Buyers will find that in the job-cost file. Surviving quality of earnings is cheaper than discovering the add-back schedule in week six of exclusivity.
Deloitte and The Manufacturing Institute estimated a net need of as many as 3.8 million manufacturing employees from 2024 to 2033, with up to 1.9 million roles unfilled if the skills gap holds (Source: Deloitte/MI, 2024). Your file’s version is simpler: who quotes, who programs, who holds the customer. If the answer is only you, write a transition schedule into the process. Do not write “turnkey” into the teaser.
What happens after the first letter of intent?
The first LOI is a filter, not a finish. Read exclusivity length, deposit, working-capital definition, allocation language, and what happens if financing fails. A manufacturing working-capital peg that treats job-cost inventory like a retailer is how sellers donate cash. Write the definition before you go exclusive.
Then diligence. Expect a buyer-paid quality-of-earnings review once earnings are large enough that a lender or sponsor requires it. Expect a machine-list appraisal on OLV even if you sold an earnings story. Expect environmental work if the history is wet. Expect novation conversation if federal contracts matter. Expect a 60-day DDTC notice conversation if a foreign person will control an ITAR registrant.
How long it takes is the calendar page. BizBuySell’s 2025 year-in-review put manufacturing at a 223-day median time to close — the slowest major sector in that set (Source: BizBuySell). Lower-middle-market files often run 6–12 months from CIM to close as a broker rule-of-thumb, not a guarantee. SBA packaging is one reason files linger.
Close is allocation, lien releases, inventory true-up, and a transition schedule you can actually staff. Form 8594 / IRC § 1060 fights are predictable on heavy equipment. HedgeStone will not give tax advice. A CPA and deal counsel own that table.
What does a worked four-month prep look like?
Illustrative only.
A plastics molder with about $2.1 million of adjusted EBITDA wants to be in market after summer. Month one: lock financials, start serials, age inventory, build nameless T12/T36 concentration. Month two: pull ISO 9001 and the last CB audit, find or order Phase I, write replacement-GM pay. Month three: decide sale-leaseback versus selling the building, draft the teaser, assemble the buyer list across SBA, search, and two strategics who already buy similar resins. Month four: NDA traffic, CIM, first management meetings. Nothing in that calendar is a promise that a buyer appears on day 120.
If the same owner instead calls two competitors in week one and walks them through the press bay, the process is already leaking. Price and confidentiality both suffer.
Which mistakes kill the process before it starts?
Calling the sale a secret while forwarding the P&L from a personal email to a competitor. Showing the plant before the NDA. Inflating WIP to hit a number. Pricing the building inside the multiple. Promising the union “will not be an issue.” Assuming the programmer will stay because he is family. Waiting for a perfect year. Taking the first LOI because you are tired.
Why a manufacturing specialist broker is the longer argument for who should run this. A generalist who has never walked a WIP cage will accept a peg that donates cash. A generalist who has never read an AS9100 nonconformance will treat a certificate as logo art.
How do you keep two buyer types on the same calendar without chaos?
Give them the same recast and different capital questions. The SBA party gets asked about injection cash and whether standby is even on the table. The strategic gets asked about consents. Neither party gets a private extra set of earnings. If you recast twice, you will get caught.
A weekly tracker with NDA date, CIM date, questions outstanding, and next meeting is enough. Proof of funds belongs before the second folder, not after the plant visit. If one party demands a 45-day exclusive on day twelve, the answer is usually no unless the others have already passed.
What should a seller do in the week after a failed LOI?
Write why it failed in one paragraph: price, peg, allocation, financing, environmental, or chemistry. If QoE killed add-backs, the next CIM uses the surviving number. If a REC appeared, the next teaser does not call the site clean. If the buyer was never capitalized, the next NDA asks for evidence earlier.
Do not immediately cut the framework by a third because you are embarrassed. Do not immediately list publicly because you are angry. Re-open the qualified list you already have.
What is the seller’s job on the morning of a plant visit?
Be present, scripted, and brief. Do not disappear “so they can see the real shop.” Do not overtalk the whale. Do not apologize for old iron that holds spec. Walk the agreed path. End on time. Then write three notes: what they asked, what you answered, what must move to the room.
