What roles make a shop miss the headline multiple?

Chief estimator. Lead programmer. Sole closer. The only person who can run a NADCAP process or a scientific-molding setup. The test is not the title. The test is who answers when that person is out for two weeks.

Skilled labor and succession on the floor is the operations page. This page is the valuation move. The research file’s rule of thumb: if the owner is chief estimator / salesperson, discount until a second chair exists or an earn-out bridges it.

Deloitte and The Manufacturing Institute put the 2024–2033 need as high as 3.8 million manufacturing employees, with up to 1.9 million potentially unfilled (Source: Deloitte / MI). A shop that cannot backfill the owner is selling into that market, not around it. NAM’s 2024 outlook, cited in the same release, had 65% of manufacturers naming talent as the primary challenge.

Do not invent a national average owner age. The research file forbids it. Talk about roles.

How should a replacement package be subtracted?

On an SDE file, the buyer is often buying the job. Selling to an individual SBA buyer lives here. SBA 7(a) still caps at $5 million (Source: SBA). Owner pay can stay in SDE. The CIM should still show what a plant manager costs if the buyer intends to keep a day job.

On an adjusted EBITDA file, subtract a burdened replacement — wages, payroll tax, benefits — before you speak the institutional cell. SDE versus EBITDA is the fork. Add-backs is the binder. “I could hire someone for half” dies without a market comp.

BLS OEWS May 2025: machinist $58,750, welder $53,750, CNC tool programmer $68,120, CNC operator $50,690 (Source: BLS / AMTEC compilation of OEWS). Those are skill medians, not a general-manager package. A searcher who needs a president and a lead estimator is buying two seats.

Selling to a search fund at Stanford-like math — about 6.2x EBITDA on a ~25% margin, median purchase near $16 million (Source: Stanford GSB) — already assumes a professional operator. An owner-estimator shop fails that assumption before the multiple is discussed.

When does a second chair restore the cell?

When customers already treat that person as the relationship, the ERP shows their quotes, and the special processes have a named deputy. A title created six weeks before market is a diligence finding. A two-year second chair with a book of accounts is a reason to sit high in the cell.

Illustrative only, sde-under-1m, wood / millwork: $360,000 SDE, owner estimates every job, no estimator. The wood SDE cell is 2.0x–3.6x. Expect the low half and a training period. Illustrative EV $720,000–$1.3 million before peg. If OLV of the iron is $1.1 million, read asset versus earnings.

Illustrative only, ebitda-1-3m, plastics: $1.8 million adjusted EBITDA after a $190,000 burdened GM, process engineer in place, owner already off the floor. Precision / plastics column 5.0x–6.5x. The second chair is why the file can speak that column.

How do quoting and programming concentrate risk?

Quotes that live in the owner’s head cannot be audited. Programs that live on a desktop without backup cannot be transferred. Customers who only take the owner’s call are concentration wearing a key-person mask.

A training period can be the honest structure. It is not free. Buyers price the months, the consulting agreement, and the risk that the relationship was personal. IBBA Pulse Q1 2026: 83% of deals over $5 million drew three or more offers (Source: IBBA). Competition helps you find a buyer who will live with a transition. It does not make the owner immortal.

Life insurance and buy-sell language are counsel and the insurer. Jason Taken will not write those documents. Partner files that need a defined standard of value belong on buyouts, estates, and divorce.

What does a training period cost in structure?

Cash at close falls or an earn-out appears. The research file’s habit: earn-outs when a key-customer consent or a second chair is the open item; keep them measurable. Escrow 5–15% for 12–24 months is a Main Street / lower LMM rule of thumb. None of that restores a $10M+ column to a shop whose earnings still include the owner’s heroic hours.

BizBuySell manufacturing median 2.75x SDE (2021–2025; Source: Iconic recap) already describes owner-operated files. Using that median on an owner-estimator shop is consistent. Using GF Data’s 7.2x EBITDA average on the same shop is not.

Sellers who want a marketed range: sell my manufacturing business. The valuation pillar keeps the cells. Educational information only. Jason Taken is a business broker, not an appraiser. No value is guaranteed.

How to test the second chair in a single visit

Ask the owner to stay in the conference room. Ask the estimator or programmer to walk a live quote and a live traveler. Ask a customer-facing person who is not the owner to describe the top three accounts. If those conversations collapse, you do not have a second chair. You have a title.

Ask who signed the last five winning quotes. Ask whose cell phone is on the purchase orders. Ask who the special-process customer names in their approval. Documents beat introductions.

Compensation math that belongs in the CIM

Show the owner’s W-2, the proposed replacement, and the burden. Show any stay bonus or consulting agreement you are willing to sign. Show who covers vacation today. A searcher will build this model anyway. Selling to a search fund is easier when the model is already honest.

If two partners both estimate, replace two seats or stay on SDE and sell to an operator pair. MBO language only works if management can actually quote.

What “the crew will stay” is worth

Without names, offers, and a reason, it is worth nothing as a valuation input. People stay for pay, for a superintendent they trust, and for a plant that is not being stripped. Promise none of that in a CIM. Disclose open reqs and known retirements. Skilled labor is the binder. This page is the multiple consequence.

Life insurance and buy-sell funding are not a second chair. They are how a death does not become a crisis. They do not make the owner replaceable while alive.

How to run the conference-room test without being theatrical

Keep the owner in the conference room. Ask the estimator to walk a live quote. Ask the programmer to walk a live traveler. Ask a non-owner to describe the top three accounts. If those talks collapse, you do not have a second chair. Ask who signed the last five winning quotes and whose phone is on the POs. Documents beat introductions.

Show W-2, replacement, burden, and any consulting tail in the CIM. A searcher will build the model anyway. Two partners who both estimate need two replacements or an SDE sale to an operator pair. The crew will stay is worth nothing without names. Disclose open reqs and known retirements. Life insurance is not a second chair.

What happens when quoting, programming, and closing sit in one inbox

If the owner still writes the quotes, posts the programs, and calls the three customers who represent half of sales, the plant is a practice with a building. Buyers will sit low in the current size-band and sub-sector cell, demand a longer transition, or walk. A deputy who can quote a repeat job and a programmer who can post without calling the owner’s cell phone are the minimum for an owner-operated file to stay inside a published SDE cell.

Census CBP 2023 counted 284,452 manufacturing establishments, and 68.4 percent had fewer than twenty employees. Owner-dependence is the normal fact on Main Street, not a scandal. The scandal is pretending the owner is already out. Write the hours. Write who covers vacation on the constraint. If the cover is nobody, you have priced a sabbatical that does not exist.

Searchers who need a management team will not convert an owner-operator into a Stanford-style platform by hoping. They will install a general manager and subtract that wage. Put the seat in the recast on the SDE-versus-EBITDA page. Do not add the owner’s under-market wage back and then refuse the replacement hire.

A training matrix updated the week of the teaser with every box checked is theater. A matrix with a few gaps and a named trainer is a living document. Buyers can tell the difference in one screen-share. So can the second-shift lead if you ask them when the owner is not in the room.
