Who has to exist if the owner fishes?

A deputy estimator. A lead programmer. A setup person on the bottleneck cell. A quality owner who is not also the seller. Owner dependence is the valuation page. This page is the bench.

Deloitte and The Manufacturing Institute estimated as many as 3.8 million manufacturing employees needed between 2024 and 2033, with up to 1.9 million potentially unfilled if skills and applicant gaps persist (Source: Deloitte / MI). The same release cited a NAM 2024 outlook in which 65% of manufacturers named attracting and retaining talent as the primary business challenge. A CIM that says “great crew” without a training matrix is a brochure.

BLS CES manufacturing employment was 12.638 million in August 2026 (Source: BLS). Headcount exists in the country. Your open req for a night-shift setup person may still sit for months. Fed G.17 utilization 76.0% (July 2026; Source: Fed G.17) plus a one-shift overtime story is a labor plan, not a capacity premium — see scalability.

What belongs in the labor binder?

Headcount by skill and shift. Overtime dollars. Open requisitions. A training matrix. Vacation coverage on the constraint. If the plant is represented, the CBA and the seniority list — see union status. If the sale is a family conversation, family succession versus outside sale is the process cousin.

Census CBP 2023: 68.4% of establishments have fewer than 20 employees (Source: Census). Those shops often are the owner plus a handful of trades. That is a sellable file on SDE. It is a hard file on institutional EBITDA until a replacement package is real.

trades on a floor whose deputy bench must be named
name the deputy, not 'great people.'

How does the bench move the cell?

It rarely changes the published row. A general CNC SDE file stays at 2.0x–3.6x. A $1–3M EBITDA precision file stays at 5.0x–6.5x. A named bench supports the high end. An owner-only bench supports an earn-out and a training period. Automation does not quote or close.

ISM August 2026 Employment Index 51.2 (Source: ISM) is climate. Your turnover file is the plant.

What this page will not invent

A national owner-age average. A guaranteed retention of the crew. A wage for a general manager dressed up as a machinist median. Named PE firms that “always keep the team.”

Buyers: buy a manufacturing business. Sellers: sell my manufacturing business. The valuation pillar keeps the cells. Jason Taken is a business broker, not an employment lawyer. Educational information only. No value is guaranteed.

How to read a training matrix that is not theater

Look for dates, trainers, and the bottleneck cells. A matrix updated the week of the teaser with every box checked is theater. A matrix with a few gaps and a plan is a living document. Ask who signed off the last 5-axis release. Ask who can cover vacation on that cell.

Apprenticeship hours, if they exist, belong in the binder. So do known retirements in the next twenty-four months. Do not invent an owner-age average to stand in for those names. The research file forbids a national owner-age statistic. Use the roster.

Wage math that should appear next to SDE and EBITDA

Show average burdened cost by skill, not only W-2. Show overtime as a percent of hours. Show open reqs and the last accepted offer. If the shop is paying $12,000 above the BLS machinist median to keep people, that is run-rate, not an add-back. If the shop is paying $20,000 below and turnover is high, the recast that “normalizes” wages down is a fantasy.

Union files should show the scale, not a wish. Family files should show who actually works.

Succession on the floor versus succession in the office

A plant manager who cannot quote is not a second chair for an owner-estimator shop. An estimator who cannot run a shift is not a second-shift plan. Write both seats. Owner dependence is the office/estimator problem. This page is the trades problem. Files die when both are the same person.

ISM Employment 51.2 (August 2026) is climate. Your turnover file is the plant. A shop that lost three programmers in a year has a useful-life problem on the controls as well as a labor problem. CNC useful life and this page should be read together.

How to price an open bottleneck req without inventing a wage series

Take the last three accepted offers for that title in that plant, if they exist. If they do not, take the last declined offer and the time-to-fill. Sit BLS May 2025 medians next to those numbers as a national floor, not as the hire. A programmer at 68120 nationally may be a 90000 conversation in your metro. Write the conversation you will actually have.

Then write who covers the cell while the req sits. If the cover is the owner, you have owner dependence and a labor problem in one person. If the cover is overtime on an already tired deputy, you have a yield and an OTD problem coming. If there is no cover, you have a capacity problem dressed as a people problem.

Do not invent a national owner-age average to stand in for a roster. Use the roster. Known retirements in twenty-four months belong on the first page of the labor binder. So do apprentices who will not be independent by close. Family members count only if hours and customers already treat them as the seat.

A represented plant adds the scale and the fund letter. That is not folklore about discounts. That is paper. A non-represented plant still needs a training matrix that is not theater. Both plants sell. Both plants fail when the CIM says great crew and the reqs say otherwise.

A roster exhibit that replaces slogans about culture

Print headcount by skill and shift. Print overtime as a share of hours. Print open reqs and last accepted or declined offers. Print known retirements in twenty-four months. Print who covers vacation on the constraint cell. Print whether that cover is the owner. That packet is the culture. Adjectives are not.

Sit BLS May 2025 medians next to the packet as a national floor. Then write the metro conversation you will actually have. A programmer at the national median is not the hire in every city. A shop paying far below the median with high turnover is not a bargain recast. Wages that are already in the P&L are run-rate. Do not add them back because a podcast said labor is tight.

If the plant is represented, add the scale and the fund letter to this same packet. If the plant is a family file, add hours proof for anyone you want to call a deputy. If the plant is an MBO hope, add evidence that management can quote. Three different stories. One packet format. No invented national owner-age average. The research file forbids that statistic. Use names.

A closer read on roster math

Print the roster by skill and shift. Print overtime share. Print open reqs and last offers. Print known retirements. Print vacation cover on the constraint. If the cover is the owner, you have two problems in one person. Sit BLS May 2025 medians next to the packet as a national floor, then write the metro hire you will actually make. Wages already in the P&L are run-rate. Do not add them back because labor is tight in a headline. Represented plants add the scale and the fund letter to this same packet. Family files add hours proof. MBO hopes add evidence that management can quote. Do not invent a national owner-age average. The research file forbids it. Use names. A training matrix updated the week of the teaser with every box checked is theater. A matrix with a few gaps and a plan is a living document.

What vacation cover on the constraint is worth in a sale

If the only person who can run the constraint takes two weeks in July and the plant ships from stock, you have a bench. If the owner flies home to write programs, you have a dependence problem that sits on two pages at once. Print the roster by skill and shift. Print overtime share. Print open requisitions and last offers. Print known retirements. Print vacation cover on the constraint. Sit BLS May 2025 medians next to that packet as a national floor: machinist $58,750, welder $53,750, CNC programmer $68,120, CNC operator $50,690. Then write the metro hire you will actually make.

Wages already in the profit-and-loss are run-rate. Do not add them back because a headline says labor is tight. Represented plants add the scale and the fund letter to this same packet. Family files add hours proof so a cousin’s “salary” can be tested. Management-buyout hopes add evidence that someone besides the seller can quote.

Deloitte and the Manufacturing Institute’s 3.8 million workers needed through 2033 is climate. Your open requisition is the plant. A training matrix with every box checked the week of the teaser is theater. A matrix with a few gaps and a named trainer is a living document. Buyers will ask the second-shift lead which one they have been living with.
