Upstate tire work and Charleston chemicals are not one search

Research allows qualitative clusters only: auto and tire, aerospace, textiles remnants, chemicals. Sub-sectors exist because those packets do not travel together. A Spartanburg tire-supplier book and a Charleston chemical file share a state flag. They do not share certificates, inventory classes, or customer holders.

Census CBP 2023 printed 4,006 shops, 257,989 employees, a 64.4 average, 62.2% under 20, and 2.20% at 500-plus. Buy a manufacturing business in Greenville is the Upstate overlay. Charleston, Columbia, Myrtle Beach, and Rock Hill stay sourcing labels. Do not treat “Upstate” as a multiple. If you will not relocate, say so. Most operators will not.

Buy a manufacturing business is the national pillar. This page is the South Carolina overlay. HedgeStone will not send every employer establishment in the 4,006-count file. “Any manufacturer between Rock Hill and Charleston” wastes seller goodwill.

Valuation stays on national size bands. BizBuySell’s manufacturing median 2.75x SDE is a Main Street print (Source: BizBuySell). Rank 24 is not a sponsor multiple and not a port premium.

The sell page is the owner’s voice. How it works still puts returns before a Charleston walk.

The 64.4-person average is a quoting test

A 64.4-person shop usually still has an owner who quotes or holds the customer. If you cannot replace that person in Spartanburg or Columbia, the teaser is a brochure. The research file has no South Carolina wage table. National May 2025 OEWS medians — machinist $58,750, welder $53,750 — are backdrop only (Source: BLS OEWS). Recast the burdened payroll. Do not invent a Greenville print.

I-9 files and OSHA 300 logs are diligence. Repeat citations are a priced item. If you plan a cut or a move after close, put WARN on counsel’s calendar the week you say it. Federal WARN tests 100 or more full-time employees. South Carolina mini-WARN is N in the 2026 table. A 64.4-person average shop can sit under the federal test. A file on the 2.20% 500-plus share may not. Do not invent a headcount.

Kentucky prints a heavier 70.1 average. Alabama prints 65.7. Neither cell belongs on this page.

Stacking published 7(a) against 4,006 shops

SBA 7(a) for manufacturing acquisitions is the product page. Published terms still show a $5 million maximum and a 10% injection (Source: SBA). If a Charleston seller holds paper, it counts toward the 10% only on full standby through the 7(a) term, and only for half that injection. A monthly coupon is leverage, not equity.

504 can carry an occupied plant: $5 million standard, $5.5 million small-manufacturer. Occupancy is a fact. Combined programs are not a $15 million cash-out on a thin check against a Rock Hill supplier. Rates are lender-specific. This page will not invent a quote.

Write the peg before anyone counts. A converter’s WIP is not a chemical plant’s tank heels. Physical count at close.

Transfer-act N does not retire Phase I

South Carolina’s briefing table leaves environmental transfer unmarked as an ISRA clone (N). Machinery tax is still MfgEx / Occ, and bulk successor treatment is F. Mini-WARN stays N. There is no widely cited dedicated broker-license rule; still ask who was paid to market the file (licensing by state). Jason Taken brokers businesses, not deeds — title work needs the real-estate card.

Phase I supports All Appropriate Inquiries (Source: EPA / 40 C.F.R. Part 312). Phase I and Phase II ESA is the ASTM E1527-21 work. A Charleston chemical bay or an Upstate coating line is not exempt because the transfer cell is N. Components generally stale after 180 days. Lease the plant and you still want process history.

A South Carolina CPA owns MfgEx / Occ treatment of a bulk machinery transfer. Do not invent a successor-clearance certificate because a neighbor prints one. Successor tax is F — fact-dependent.

Buyer types will not share your earnings base. A tire add-on will not pay a launch multiple for an owner-quoted textiles remnant. A searcher who imported a high-margin study print will mis-price a 64.4-person chemical shop. Anyone who needs 7(a) will walk when the published cap is missed.

IBBA Pulse Q1 2026 said 83% of deals over $5 million drew three or more offers. Most 4,006-shop files never enter that room. Fed G.17 July 2026 capacity utilization of 76.0% and ISM’s August 2026 PMI of 54.6 describe the year. They do not underwrite a Myrtle Beach radius.

Can a South Carolina buyer underwrite a tire-supplier book on SDE?

Only if the book is actually a Main Street earnings animal. Many tire-adjacent and auto-supplier files are EBITDA files with launch costs, tooling ownership fights, and platform concentration. BizBuySell’s 2.75x SDE median is the wrong instrument if the seller is already talking EBITDA and OEM scorecards (Source: BizBuySell). Ask which earnings base the CIM uses in week one.

BizBuySell’s 2025 manufacturing median close was 223 days (Source: BizBuySell). Staff QoE, a Phase I on a wet process, and exclusivity against that clock. It is not a promise and not an employee announcement.

After the wire, run the Upstate or Charleston shop you bought. Keep the estimator who still holds the tire or chemical account. Recount lots. Move the IATF or permit file. The published 7(a) box is already closed (Source: SBA). What remains is whether quoting tribal knowledge walks off a 64.4-person floor.

Pull serials and liens before a Spartanburg walk. Appraise FMV, OLV, and FLV separately. When asking EV is basically iron plus a cleaned peg, you are buying a payroll, not a platform. Concentration above about 25–30% of sales is still structure. Four thousand six shops do not hide a whale.

South Carolina counsel picks APA or SPA. Assets can force new certificates. Stock can keep every liability that rides with the contracts. The 2.20% large-plant share does not pick the form.

Treat this as briefing copy. Counsel, a CPA, a lender, and qualified environmental and M&E professionals own the cells. No outcome is guaranteed.

A Greenville-Spartanburg tire-adjacent book lives on OEM scorecards. A Charleston chemical book lives on permits and tank history. A Columbia textiles remnant lives on whether the spec card is still required. Those three files do not share a QoE exhibit. Staff the right one.

Myrtle Beach is a sourcing label, not a labor theory. Rock Hill sits on a Charlotte-adjacent bench. Say which one you can actually run. A 64.4-person average shop will not run itself from a hotel off I-85.

If you later move work from Spartanburg to Charleston, federal WARN can still attach even though mini-WARN is N. Write that before exclusivity. Ask the South Carolina CPA how occasional-sale treatment hits this bulk machinery move, then ask whether any tax hold sits on the wire.

Jason Taken will not walk a Charleston bay to “get a feel.” Returns, serials, and the process name come first. The 2.20% 500-plus share is why some teasers photograph like campuses. Demand actual headcount in week one.

A tire-supplier backlog that is one platform’s blanket is the book. A chemical tank farm with no process history is a Phase II budget. A textiles remnant with a lapsed spec card is an access hole. Price those three things differently. Do not average them because they share a 4,006-count flag.

Form 8594 still splits iron and goodwill. You want depreciable cells. The seller wants the opposite. Counsel picks APA or SPA after those fights are named.

Book a confidential intro call after you can name tire, aerospace, textiles, or chemicals — and which metro you will actually run.

A Rock Hill supplier that feeds a Charlotte OEM is not a Myrtle Beach converting remnant. Write the customer geography in the buybox so QoE knows which scorecards to pull. Do not average them because they share I-85.

South Carolina’s CBP 2023 file counted 4,006 shops, 257,989 employees, a 64.4 average, 62.2% under 20, and 2.20% at 500-plus. Upstate and Charleston are sourcing labels. Mini-WARN is N. Write the process first.
