St. Louis and Kansas City are two sourcing maps
Census CBP 2023 printed 5,460 Missouri manufacturing establishments, 283,563 employees, a 51.9 average, 65.9% under 20, and 1.52% at 500-plus. Buy a manufacturing business in St. Louis and Kansas City are the metro overlays. Springfield, Columbia, and Joplin sit on the same file. They are not a third valuation theory.
Research allows qualitative clusters only: aerospace and defense, food, auto, chemicals, fabricated metal. Sub-sectors keep those packets apart. A St. Louis aero supplier and a Kansas City food plant share a flag. They do not share certificates, inventory classes, or who holds the customer on Monday.
Buy a manufacturing business is the nationwide pillar. This page is the Missouri overlay. HedgeStone will not spend seller goodwill on “any plant in the state.” If you will not relocate, say which metro you can staff. Most operators will not run both rivers.
The sell page is the owner’s voice. Minnesota and Tennessee sit in the same writing batch. They do not share this two-metro cell.
Aerospace, food, and fabricated metal on one 5,460-shop file
Write the process you can operate. Name size band. Name AS9100, IATF, SQF, or ISO if you need the card on day one. Name a concentration ceiling by customer and by platform. Name tooling ownership. Name lease versus buy. Name the capital path. A CIM that leads with bay square footage in Columbia is a brochure.
| Book you named | Access test | Metro honesty |
|---|---|---|
| Aero or defense | Program consent and AS9100 | St. Louis is not a Joplin commute |
| Food | SQF or customer audit | Kansas City labor is a separate bench |
| Auto supplier | IATF and scorecards | Springfield is a sourcing label |
| Chemical | Permit and holder | Transfer-act N still budgets Phase I |
| Fabricated metal | Estimator who stays | 51.9-person average is a quoting test |
Does a Missouri buyer need two capital paths for two metros?
No. You need one honest path that fits the plant you will actually run. SBA 7(a) for manufacturing acquisitions is the product page. Published 7(a) still shows a $5 million maximum and a 10% change-of-ownership injection (Source: SBA). Kansas City seller paper helps the injection only if it is mute for the entire 7(a) and only up to half of the 10%. A monthly check is credit.
504 can carry occupied dirt: $5 million standard, $5.5 million small-manufacturer. Occupancy is a fact in St. Louis the same way it is in Joplin. Combined programs are not a cash-out story on a thin check. Rates are lender-specific. This page will not invent a quote.
| Path | Carries a 51.9-person shop when | Breaks on a two-metro file |
|---|---|---|
| 7(a) | EV plus fees plus peg fit the published box | You priced both rivers as one platform |
| 504 | You occupy the plant you bought | Empty KC square footage sold as optional |
| ABL | Eligible AR | Food WIP the exam will kick |
| Equipment | Clean serialized cells | Hidden UCC on a press |
| Seller paper | Honest stretch | Current-pay note called injection |
Write the peg for one plant. A St. Louis aero file and a Kansas City food file do not share classes. Physical count at close.
Diligence when successor tax is F
Missouri’s 2026 briefing table marks environmental transfer N, sales tax on M&E MfgEx / Occ, bulk / successor tax F, mini-WARN N, and no dedicated broker-license rule widely cited. Counsel confirms. Business-broker licensing is still engagement hygiene. Jason Taken markets the operating company. A licensed real-estate broker still has to convey Missouri dirt if you take the deed.
Phase I supports All Appropriate Inquiries (Source: EPA / 40 C.F.R. Part 312). Phase I and Phase II ESA follows ASTM E1527-21. Transfer-act N is not a skip on a chemical bay or a food plant. Studies stale. How it works still puts returns before a walk.
If you later cut or move work, federal WARN tests 100 or more full-time employees. Mini-WARN N does not invent a free pass. A 51.9-person shop often sits under the federal test. A remnant on the 1.52% 500-plus share may not.
A Missouri CPA owns MfgEx / Occ treatment. Do not invent a successor-clearance certificate. Successor tax is F — fact-dependent.
The research file has no Missouri wage table. National May 2025 OEWS medians — machinist $58,750, welder $53,750 — are backdrop (Source: BLS OEWS). Recast the burdened payroll in the metro you will run. Do not invent a St. Louis print and paste it onto Joplin.
Peg language that survives a Springfield food plant
Name raw, WIP, finished, consigned, and customer-owned tools before anyone counts. Unbilled first-article hours on an aero file are not finished goods. Cycle-count theater is how buyers overpay for rust. Put the method in the LOI.
Valuation stays on national size bands. BizBuySell’s manufacturing median 2.75x SDE is Main Street (Source: BizBuySell). Rank 18 is not a sponsor multiple. IBBA Pulse Q1 2026 said 83% of deals over $5 million drew three or more offers. Most 5,460-shop files never enter that room.
Buyer types will not share a two-metro earnings base. An aero add-on will not pay program money for an owner-quoted metal shop. A searcher who imported a services-heavy median will miss a 51.9-person food plant. A 7(a) letter dies when EV plus fees plus the peg overrun the published box.
Use BizBuySell’s 223-day 2025 manufacturing median to staff QoE and a Phase I (Source: BizBuySell). ISM August 2026 PMI 54.6 and Fed G.17 July 2026 utilization 76.0% do not price a whale on either river.
Post-close on either river: keep the estimators, lock the aero or food accounts you priced, recount physical, and move the certificate. The 7(a) cap is already decided (Source: SBA). The open question is whether a 51.9-person floor still quotes without the seller.
Pull serials and liens before a Kansas City walk. Appraise FMV, OLV, and FLV separately. When asking EV is basically iron plus a cleaned peg, you are buying a payroll, not a two-metro platform. Concentration above about 25–30% of sales is still structure.
Jason Taken will write aero, food, auto, chemical, or fabricated metal — then cut radius language that pretends St. Louis and Kansas City are one bench. We will not invent listings against the 5,460-shop file.
Missouri counsel picks APA or SPA. Neither form answers the two-metro question. Confirm cells locally. No outcome is guaranteed.
A St. Louis aero remnant and a Kansas City food plant do not share a 90-day exhibit. On the east river, ask which program can walk. On the west river, ask which lot class hides rust. In Springfield, ask who still quotes when the owner is out. Those are Missouri questions.
If you later fold a Joplin cell into Kansas City, federal WARN can still attach even though mini-WARN is N. Write that before exclusivity. Ask the Missouri CPA how MfgEx / Occ treats this bulk move, then ask whether any hold sits on the wire. Successor tax is F.
Form 8594 still splits iron and goodwill. You want depreciable cells. Counsel picks APA or SPA after the two-metro question is answered. Jason Taken will not tour both rivers to “get a feel.” Name one.
Book a confidential intro call after you can name the river you will run.
Columbia is a university-adjacent sourcing label, not a third valuation theory. Joplin sits on a different labor bench than either river city. If you will only run one of those five names — St. Louis, Kansas City, Springfield, Columbia, Joplin — say which one on the first call. HedgeStone will not staff a two-metro search for a buyer who will not relocate.
A chemical file on this 5,460-shop map still needs tank history even though transfer is N. A fabricated-metal shop still needs serials and the UCC search. An auto supplier still needs the IATF card live on Monday. Those three diligence packets do not travel together. Write the process before you ask which river.
If the CIM leads with “Midwest platform,” ask for the actual headcount against the 51.9 average and the 1.52% 500-plus share. Most files are not platforms. A letter that pretends otherwise wastes seller goodwill on both sides of the state.
Ask for make, model, year, control, and serial on a St. Louis metal file before anyone walks the bay. If orderly liquidation plus a cleaned peg is close to asking enterprise value, you are buying iron with a payroll attached. Deferred capex is a price chip, not the buyer’s problem after the wire.
Name the river on the first call. HedgeStone will not staff both.
Missouri’s CBP 2023 file counted 5,460 shops, 283,563 employees, a 51.9 average, 65.9% under 20, and 1.52% at 500-plus. Mini-WARN is N. Successor tax is F. Write one metro first.
