What buybox belongs on a Texas search?

Name energy-related equipment, fabricated metal, food, chemicals, or electronics — the clusters research allows — or name another process you can operate. Sub-sectors exist so you do not type “any manufacturer in Texas.” Name size band. Name certificates. Name a concentration ceiling. Name lease versus buy. Name capital.

Buy a manufacturing business is the nationwide pillar. This page is the Texas overlay. HedgeStone will not send you a random slice of 21,034 locations.

Buy a manufacturing business in Houston is the Channel overlay. Dallas, Austin, and San Antonio sit in the same city directory. El Paso stays a sourcing word. A metro line is not a premium. If you will not relocate, write the radius. If you will, write who holds the customer when you are in another city.

Energy-related equipment is a specification and customer file. This page will not publish a Texas energy rate. Use the plant’s utility bills.

Labor without a Texas wage invention

The research file has no Texas manufacturing wage table.

BLS OEWS May 2025 national medians — machinist $58,750, welder $53,750 (Source: BLS) — sit in the model as backdrop. The underwrite is burdened payroll and whether the owner is the only person who can start the scarce job. Electronics and chemicals books often hide key people in process engineering. Fab shops hide them in estimating. Ask for the four names.

If you plan to cut or move work, open WARN the week you say it. Federal WARN is the 100-full-time-employee statute. Texas mini-WARN is N in the 2026 table. Do not paste New York or California clocks onto a Texas letter. Confirm locally.

Financing at Texas scale

Scale does not enlarge SBA 7(a). The published box is still $5 million, 10% injection, seller note as equity only on full standby and only up to half the injection (Source: SBA). 504 remains $5 million standard, $5.5 million for a qualifying small-manufacturer project.

Above the cap you need equity, a larger bank, ABL, or honest seller paper. A large state is not a $15 million cash-out on a thin check.

Diligence on Texas statute cells

How it works still says tax returns before a tour. Texas adds a TREC fork and an explicit “do not import mini-WARN” rule. The sibling sell page is the owner’s voice. This is the buyer kill sheet.

Phase I and Phase II follow ASTM E1527-21 and All Appropriate Inquiries (Source: EPA). Chemicals and finishing still get a study. Components generally stale after 180 days.

Licensing and the Midwest Brokers 2026 compilation brief the TREC posture. Assets-only commentary dies when a deed appears. Jason Taken is a business broker.

Freeze the peg in the letter. Scale does not turn WIP into retail inventory.

When TREC enters a Texas asset deal

If you lease the building and buy the operating assets, secondary commentary often keeps the file outside real-estate brokerage. If you take title, you need a licensed real-estate broker for that piece and a current Phase I if AAI is the path. Write the fork in week one so the LOI does not lie about dirt.

Valuation stays on national bands. BizBuySell’s 2.75x SDE median is Main Street (Source: BizBuySell). Buyer types will not pay a sponsor print for an owner-estimator fab shop just because the state is large.

How we help Texas buyers

Jason Taken will write the buybox down, cut “anywhere in Texas,” and source quietly. We will not invent listings. We will not hide a TREC fork or a wet-process history. We will not send a letter the 7(a) box cannot carry.

How should a Texas buyer treat climate and capacity prints?

ISM and Fed series describe the year. They do not underwrite your target’s top customer. Capacity utilization is not a reason to stretch a multiple because the plant sits in a large state. Put climate in a memo. Put job-cost, concentration, and the machine list in the model. Valuation still starts with size band. BizBuySell’s 2.75x SDE median remains a Main Street print (Source: BizBuySell).

Energy-related equipment is a specification book. Use the plant’s utility invoices if energy is material. This page will not publish a Texas rate. Electronics files hide customer-owned designs. Chemicals hide formula IP versus tolling. Those are process facts, not GDP shares.

What does quality of earnings test at Texas scale?

Scale adds bidders. It does not make a vibe recast true. QoE rebuilds job-cost versus tax. Peak years in energy-adjacent equipment get annualized. Electronics WIP gets tested against packing lists. Chemical inventory gets aged. If the report kills earnings, the price moves or you leave. Name the firm and the exclusivity rule in the LOI.

Write the peg before anyone counts. A large establishment count does not turn WIP into retail. Combined 7(a) and 504 capacity is still not a $15 million cash-out on a thin check (Source: SBA).

How should the first 90 days be staffed?

Name the estimator, the process engineer, and the person the customer actually calls. Count inventory again. Schedule the certificate transfer. If you took title, the Phase I you bought is not a souvenir — open RECs have owners. If you leased, the process history still follows the operations. BizBuySell’s 2025 manufacturing median close was 223 days (Source: BizBuySell). Use it to staff QoE and the TREC fork. It is not a promise. Stanford medians assume a margin profile most job shops do not have.

How should a Texas buyer treat the machine list and 504 occupancy?

Serials and the UCC search before anyone walks a Houston or DFW bay. Pay for FMV, OLV, and FLV. If the iron floor plus cleaned working capital is near asking EV, you are buying payroll attached to machines. 504 still requires occupancy: $5 million standard, $5.5 million small-manufacturer project (Source: SBA). Scale does not waive occupancy.

Concentration above about 25–30% of sales is still structure. Twenty-one thousand establishments do not hide a whale. I-9 and OSHA 300 logs are diligence. Repeat citations are priced. IBBA’s 83% three-offer print on larger files is why you should expect company (Source: IBBA). It is not a reason to stretch past the 7(a) box.

Should a Texas buyer prefer assets or stock?

Counsel owns the form. An asset purchase can leave unknown liabilities behind and can force new listings. A stock purchase can keep contracts and can keep the liabilities attached to them. The TREC fork is about the deed, not about whether you chose an APA or an SPA. Federal WARN can still apply if you cut or move work. Do not import a mini-WARN threshold from another state because the structure felt quieter.

If a meaningful slice of revenue is federal, FAR 42.12 novation is how the government recognizes a successor. Set-aside status is usually not a transferable asset. ITAR-registered files add a 60-day DDTC notice when a foreign person will own or control a registrant. A CFIUS filing does not satisfy that notice. Most Texas job shops will never see those clocks. The ones that will should say so in the buybox.

Earn-outs are not 7(a) repayment. If the model needs one to clear DSCR, rebuild the model.

Plant visits come after paper. No branded fleece in a Houston or DFW bay. No photographing a fixture. Confirm the cell exists, the crane covers the span, and the inventory cage matches the report. Scale does not make a Tuesday walk-in quieter. Phase I components generally stale after 180 days; budget a current study when dirt or a wet process is in the deal (Source: EPA).
