Which machines are financeable on serials and clean liens?

Lenders and lessors will look at 5-axis machining centers, press brakes, turret punches, injection-molding presses, SMT lines, and similar production assets when the serials match the floor and the UCC search is clean. They will not look kindly at a "shop package" that mixes a 1998 manual mill, a customer-owned CMM, and a leased robot with no consent path.

Census CBP 2023 counted 284,452 manufacturing establishments (Source: Census CBP). Most have a mix of owned, leased, and landlord-fixture iron. Buying a manufacturing business without a serial-level list is how buyers finance a rumor. The equipment guide is the operations sibling. This page is the capital sibling.

Prior 7(a) liens, equipment-lessor filings, and landlord waivers belong in the first data dump. A new lender cannot attach what someone else already owns. Silent "we'll handle the UCCs later" language is how week ten becomes a payoff fight.

How does useful life set term when the cell is already mid-life?

Term follows remaining economic life, not the year stamped on a tag. A late-model 5-axis with a current control and clean crash history can support a longer schedule than a mid-life press with a worn ram. CNC values and useful life is the life-cycle page. Credit officers will still ask for hours, control generation, and whether the OEM still supports the board.

This site will not invent a residual percentage or an interest rate. Manufacturing loan terms and rates explains why. Ask the lessor for their grid. Put it next to the appraisal.

When is a lease the wrong answer on a change of ownership?

When the lessor will not consent, when the payment load plus senior debt wrecks coverage, or when the buyer needed ownership for a 504 project that wants the iron inside the debenture. SBA 504 can include qualifying heavy equipment on an owner-occupied plant. A sale-leaseback of the building plus a scattered set of operating leases on the cells is a different — and often messier — stack.

True leases, $1-out leases, and loans are different documents. Counsel names them. A broker teaser that says "the equipment is leased" without schedules is incomplete. Assignment, purchase options, and end-of-term residuals belong in the NDA room.

What does a qualified M&E appraisal change in the stack?

It names a standard: fair market value, orderly liquidation value, or forced liquidation value. Machinery and equipment appraisals is the standard page. ABL haircuts OLV. Cash-flow 7(a) still wants a supported business valuation that is not the same document. Do not send the same PDF to every desk and hope.

BLS OEWS May 2025 put machinist median wage at $58,750 and welder at $53,750 (Source: BLS). Those figures sit next to the cell as operating cost. They do not set residual value.

serials, licenses, and UCCs.

How should sellers prepare the machine list before a lender sees it?

One row per asset: make, model, serial, year, control, hours if known, owned versus leased, location, and whether it is on a landlord fixture filing. Attach the last maintenance invoices and any crash or rebuild file. Separate customer-owned tooling. Separate licensed software. Then run a UCC search on the selling entity before the buyer does.

SBA 7(a) change-of-ownership files still want a qualified appraisal when the iron matters to the credit. SOP 50 10 8 remains the injection text for most 2026 applications; SOP 50 10 8.1 governs numbers issued on or after 2026-10-01. Neither SOP turns a blurry phone photo into collateral.

Where do fixtures, software controls, and tooling sit?

A press bolted through a slab can be a fixture for real-estate purposes and still need a personal-property schedule for the M&E lender. Offline CAM seats, probing cycles, and OEM dongles can sit in a software contract that does not assign with the bill of sale. Customer-owned dies and molds are not the buyer's collateral and should not inflate the working-capital peg.

Write three schedules: owned personalty, leased personalty, customer-owned. Then let counsel and the appraiser argue about fixtures. Do not let the CIM use one hero photograph as all three.

What does a leased robot cell do to an otherwise clean 7(a)?

The CIM shows a turnkey cell. The UCC shows a lessor. The lessor wants a personal guarantee from the new owner and a 90-day consent calendar. The 7(a) still has to fit $5 million and a 10% injection (Source: SBA). If consent slips past exclusivity, the buyer either rents a cell they thought they bought or rewrites uses of funds. Ask for the lease and the consent path before the letter, not after the appraisal.

Jason Taken is a business broker. He does not appraise machinery or write lease consents. Educational information only. Retain a qualified M&E appraiser, the lessor, and counsel. Data current as of September 2026.

How should a buyer treat deferred capex that the lease will not fund?

A mid-life brake that needs a new backgauge is not "financed" because someone mentioned a lease product. Either the price chips for the rebuild, the buyer funds it from equity, or a specific equipment draw is committed. Recasting the rebuild as a seller add-back does not create a lessor. Maintenance records and deferred capex belong in the same week as the serial list.

ISM Prices at 71.1 in August 2026 (Source: ISM) describe input-cost pressure. They do not pay for a control upgrade. Put the quote for the upgrade in the room.

How should a buyer treat a cell that is half fixture and half personalty?

A large press, a paint line, or a clean-room package can be bolted, piped, and wired into the building in a way that makes fixture law and M&E lending argue. Counsel and the appraiser should walk the same bay. The 504 desk may want the package in the real-estate project. The equipment lessor may already have a filing on the same serials. Resolve the argument before anyone wires.

Photograph utility drops, pits, and mezzanines. Those photos are not marketing. They are how a later dispute about "what was included" gets settled. The bill of sale, the real-estate deed, and the lease schedule must use the same serial list. Three lists that almost match are how a robot disappears.

If the landlord owns the air handlers and the compressed-air loop, those are not the seller's to finance. A CIM that includes "the plant is turnkey" without a landlord matrix is incomplete.

What payoff letters should exist before an equipment lender will fund?

Every UCC on the selling entity that touches production equipment. Every lessor. Every blanket filing that might attach to after-acquired iron. Every landlord waiver that a prior lender required. Payoff amounts, per diems, and authorization to terminate filings belong in a closing checklist, not in a "we'll figure it out" email.

A 7(a) that is paying off a prior 7(a) still needs those letters. A new equipment loan that is taking only four cells still needs to know the blanket status. Title companies do not always catch personal-property filings. Do not assume they will.

Software dongles and OEM portals are a second payoff family. If the cell will not boot without a license transfer, the license is part of collateral usefulness even if it is not a UCC. Put the transfer ticket next to the serial.

How should deferred maintenance change term and advance without inventing a residual?

A worn way-cover and a crashing history shorten useful life. They do not create a residual percentage this website will print. They do create a reason for a shorter term, a lower advance, or a price chip. Get a quote for the rebuild. Put the quote in the model as capex or as a close condition. Recasting the rebuild as a seller add-back does not create a lessor.

Hours matter more than tag year on CNC. Cycle counts matter on molding. Shot counts and screw wear matter. SMT feeders and placement heads have their own life stories. Ask for the log the OEM already keeps. If no log exists, assume the worse life, not the brochure life.

ISM Prices at 71.1 in August 2026 (Source: ISM) describe parts-cost pressure on rebuilds. Get the quote now. A six-month-old quote on a ballscrew is a hope.

How should a seller stage the iron tour so a lessor and a buyer are not surprised?

Walk serials in order. Show the leased cells first and say they are leased. Show customer-owned CMM last and say it is not for sale. Do not let a hero cell that is not owned sit in the first photograph of the CIM. Lenders believe what they tour. A surprise lessor after the tour is a credibility event, not a paperwork event.

Keep export-controlled fixtures covered if ITAR applies. The lessor does not need the technical data package to see a serial tag. The buyer does not need to photograph a customer part. Plant-visit protocol is the visit sibling. This page is the capital sibling.

If a cell will be removed before close, say so. Financing a departing machine is how payoff letters and appraisals diverge.
