Which valuation methods apply to a manufacturer?
Four methods show up on real files. Income methods capitalize trailing or recast earnings. Market methods borrow multiples from sold shops in the same size band and process family. Asset methods start from machinery, equipment, and working capital. A residual method — rarely the lead on a job shop — discounts a forecast only when the forecast is contract-backed.
U.S. manufacturing is 284,452 employer establishments; 68.4% have fewer than 20 employees (Source: Census CBP, 2023). A 14-person CNC shop and a 180-person medical molder do not share a method stack. They barely share a buyer list. The small shop is usually an SDE file for an individual or an SBA lender. The larger certified plant is an adjusted-EBITDA file for search, sponsors, or strategics.
The method error that wrecks negotiations is blending rooms. BizBuySell’s 2021–2025 manufacturing recap (2,303 sold businesses in that set) shows a 2.75x median SDE multiple, 2.04x–3.59x interquartile, median SDE about $268,321, median revenue about $1.13 million (Source: Iconic recap of BizBuySell). GF Data’s Q1 2026 manufacturing drilldown, as recapped, averaged 7.2x EBITDA and printed 5.9x under $25 million enterprise value (Source: Iconic GF Data recap). Those figures can both be true. They cannot be averaged into “manufacturing is 5x.”
SDE versus EBITDA is the first fork. Asset value versus earnings value is the second. The calculator page is the fence of sourced cells. This page is the order of operations.
When does a discounted-cash-flow model belong?
A DCF asks a buyer to trust a forecast. On a release-driven job shop, the forecast is often the owner’s memory plus a CRM full of verbal follow-ups. That is not a model. It is a wish.
Use a DCF as a supporting exhibit when three facts are already in the room: (1) firm scheduled work is separable from blankets and forecasts, (2) pricing formulas do not silently lag steel, resin, or freight, and (3) a second chair can quote and close if the owner fishes. Long-term agreements in aerospace or medical can support a forecast. Cancel-for-convenience releases cannot.
Search-fund study medians sit on a different profile. Stanford’s 2024–25 search-fund median purchase was near $16 million at about 6.2x EBITDA and about a 25% margin (Source: Stanford GSB, 2026). That math already assumes a professional operator in the number. It is not a method license to DCF a $380,000-SDE brake shop.
If the forecast exists only to defend a multiple the trailing year cannot carry, stop. Trailing SDE or a two-year recast is the honest income method for most owner-operated manufacturers.
How should market comps be used without lying?
Comps are a method only when they share an earnings base, a size band, and a process family. A sold commodity fabricator at $2.4 million of SDE does not price a AS9100 supplier at $4 million of adjusted EBITDA. Certificates, customer qualification, and tooling ownership change the buyer set.
Advisor surveys sit in a third room. IBBA and M&A Source Market Pulse Q1 2026 (300 advisors, 203 closings) plotted LMM EBITDA multiples by enterprise-value band and reported that 83% of deals over $5 million drew three or more offers (Source: IBBA / PR Newswire). The same survey’s sparkline for the $5–$50 million band printed near about 4.5x–5.1x EBITDA. That is advisor-survey evidence, not GF Data, and not a Main Street SDE quote.
Pepperdine’s 2025 Private Capital Markets Report, as secondarily cited, put PE-style valuations near 5.5x EBITDA around $10 million of earnings. Again: different buyer, different size. Cite the room you are actually in.

What is the asset-based floor, and when does it win?
Enterprise value assumes a going concern. Machinery-and-equipment appraisers will also write FMV in continued use, OLV (orderly liquidation), and FLV (forced / auction). M&E appraisal standards are a separate product. Jason Taken will not write those numbers.
The asset floor is OLV of the iron plus normalized net working capital, minus environmental and deferred-maintenance corrections. If that stack exceeds the earnings value, the honest method is the asset method. That is common when a shop kept buying machines while margins compressed, and it is the starting point for distressed manufacturers.
Inventory is inside working capital, not a plus-up on top of a cash-free, debt-free enterprise value. See inventory in valuation. Real estate is outside the operating multiple. See how real estate affects value.
Fed G.17 manufacturing utilization was 76.0% in July 2026 (Source: Fed G.17). A shop claiming 95% on one-shift overtime is telling you the second-shift path is unpaid. That fact belongs in the income method as a hiring plan, and in the asset method as a capacity claim the iron cannot support without people.
Method map by size band and sub-sector
Ranges below are advisor-survey and reported-deal ranges, not an appraisal. They are synthesized from /research/valuation-benchmarks.md.
| Size band | Typical lead method | CNC / general job shop | Aerospace AS9100 / medical ISO 13485 |
|---|---|---|---|
| SDE under $1M | Capitalized SDE; test OLV floor | 2.0x–3.6x SDE | 3.0x–5.0x SDE (still SDE, still small) |
| EBITDA $1–3M | Adjusted EBITDA; QoE more common | 4.0x–6.0x EBITDA | 6.0x–8.0x EBITDA |
| EBITDA $3–10M | Adjusted EBITDA; process + comps | 5.0x–6.5x EBITDA | 6.5x–9.0x EBITDA |
| EBITDA $10M+ | Adjusted EBITDA; larger-EV series | 6.0x–8.0x EBITDA | 7.0x–11.0x EBITDA |
A commodity print converter does not inherit the aerospace column. A specialty tooling shop may sit nearer the precision-machining cells on the sub-sector multiples page. If you are outside a cell, you need an auditable reason — a scarce certificate, a proprietary product, or an OLV floor — not a feeling about the year.
How should a broker opinion sequence the methods?
Jason Taken will sequence a marketed file in this order:
- Name the sub-sector and the process, not “manufacturing.”
- Recast to SDE or adjusted EBITDA. Refuse a blended base.
- Place the file in a size-band × sub-sector cell.
- Move inside the cell with concentration, backlog quality, certificates, owner dependence, and deferred capex.
- Compute the asset floor. If the floor wins, say so.
- State the buyer set that can actually close that band.
That sequence is a broker opinion of value, not an appraisal. Partner buyouts, estates, and divorce often need a defined standard of value and a credentialed appraiser. See valuation for partner buyouts, estates, and divorce.
Sellers who want a marketed range should start at sell my manufacturing business. Buyers who want a buybox should start at buy a manufacturing business. Worked numbers live on manufacturing valuation worked examples.
ISM Manufacturing PMI was 54.6 in August 2026; the Prices Index was 71.1 (Source: ISM). Those figures inform margin risk inside the income method. They do not replace the table. They do not create a fifth official method.
What the methods will not do
A method will not repair a lapsed certificate, a 41% customer, or an owner who is the only estimator. Those facts move you inside a cell or force structure — earn-out, escrow, training period — as described on customer concentration, quality certifications, and owner dependence.
A method will not turn unfunded spindle rebuilds into an add-back. See add-backs in manufacturing and equipment age and capex. A method will not put the building inside the operating multiple.
IBBA Pulse Q1 2026 also reported that 67% of advisors saw no material AI effect on value. Do not use a software headline to invent a manufacturing method.
How an SBA individual and a searcher would apply the same methods
Give both buyers the same CNC file: $520,000 of trailing SDE, owner still estimating, clean iron, 17% top customer. The individual who will stand on the floor keeps SDE as the income method and reads the 2.0x–3.6x general job-shop cell. The searcher subtracts a burdened plant manager, watches the earnings fall through $1 million, and may decide the file is not an EBITDA story at all. Same plant. Two methods. One of them walks.
Give both buyers a medical molder at $3.8 million of adjusted EBITDA, ISO 13485 current. The individual cannot finance a $25–$34 million enterprise value on a $5 million 7(a) alone. The searcher, an add-on, and a strategic all speak the 6.5x–9.0x $3–10M medical cell. The method stack is income-first. The asset floor is a lender exhibit, not the price.
The lesson is not that methods are optional. The lesson is that the method stack is chosen after you name the buyer who can close. How each buyer type prices a manufacturer is the companion. A CIM that leads with methods and never names a buyer set is a homework paper.
Pepperdine 2025’s PE-style 5.5x near $10 million of earnings is a third room again. It does not referee the SBA conversation and it does not overwrite the medical cell. Cite it when the buyer is that buyer.
What to bring to an intro call if you want a method sequence
Bring two years of tax returns, a machine list with serials, a customer sales file, and a one-page related-party map. Bring the last quality certificate if you have one. Bring the lease or the deed. Do not bring a slide that says “manufacturing is 5x.”
Jason Taken will place you in a cell, name the lead method, and say whether the floor might win. He will not write an appraisal. If you need a court or a lender to rely on a number, hire the person the document names — see appraisal versus broker opinion.
A useful call also names what will move you inside the cell before anyone argues a tenth of a turn: a 29% customer, a lapsed audit, a $160,000 rebuild list, an owner who is the only programmer. Those facts belong in worked examples as teaching tools and in your binder as exhibits.
If the plant includes government or ITAR mix, say so in the first twenty minutes. Novation and DDTC clocks change which methods a foreign or financial buyer can even attempt. They do not create a fifth official method. They thin the buyer set that can use the income method at the high end of the certified row.
Time is part of method choice. BizBuySell’s 2025 manufacturing median close was 223 days. An owner who needs cash in eleven weeks may be forced toward an asset conversation even if a twelve-month marketed income process would have cleared a higher cell. That is a timeline fact, not a reason to fake distress.
What a useful intro call produces when the method sequence is the point
A cell, a lead method, a floor test, and the two or three facts that move you inside the cell before anyone argues a tenth of a turn. Bring two years of tax returns, a serial list, a customer file, a related-party map, the last certificate, and the lease or deed. Do not bring a 5x slide. If government or ITAR mix exists, say so in the first twenty minutes. Those clocks thin the buyer set. They do not create a fifth official method. An owner who needs cash in eleven weeks may be forced toward an asset conversation even if a twelve-month marketed income process would have cleared a higher cell. That is a timeline fact, not a reason to fake distress. Jason Taken will not write an appraisal on that call.
