How does rollover equity create a second bite on a plant sale?

Rollover equity means you leave a slice of value in the buyer’s vehicle instead of taking it as cash. Sponsors sell it as alignment and a "second bite" when they sell again in a few years. Sometimes that happens. Sometimes the hold disappoints, the drag-along sells you earlier than you wanted, or the catch-up means you own less of the upside than the dinner conversation implied. HedgeStone will put rollover next to cash, not in place of a priced process. Ask for the model in writing. Do not close on a handshake story or a slide in the CIM.

What you are actually holding

A minority piece of a private company controlled by a sponsor. Vesting if they still want you in the building. Dilution on add-on equity raises. A water-fall that may put a preferred return in front of you. Information rights that may be thinner than you had as owner. None of that is automatically abusive. All of it is paper you should read with securities counsel.

This site will not invent a "typical rollover percentage." Practice varies by file and by sponsor. Ask for the model. Then ask what happens in a flat exit.

Tax and securities, named as questions

Rollover is often pitched as tax-efficient. Whether your facts support deferral is a CPA and counsel question. It is also a securities question: you are buying a private security. Jason Taken is a business broker. He will not give investment advice or prepare your K-1.

Related-party and installment-sale issues appear when the structure gets creative. Do not mix this conversation with SBA standby notes. They are different instruments.

When rollover makes sense

You believe the sponsor will professionalize the plant. You want a second ticket. You do not need the cash to retire or to diversify. You have read drag, tag, catch-up, and vesting. You can stand being a minority.

When it is a costume: you need 100% cash; you do not trust the hold thesis; the sponsor will not show a waterfall; or the rollover is being used to stretch a multiple that the cash buyers would not pay. Price the cash deal. Treat rollover as a separate investment decision.

Process

PE add-ons and independent sponsors are the usual counterparties. Strategics sometimes issue stock if they are public; that is a different security with a different liquidity story. Searchers who later sell to PE may offer you nothing on that second sale unless you rolled into them.

IBBA Q1 2026's competition statistic (Source: IBBA) still matters. Rollover terms get better when another buyer is in the file. They get worse when you are exclusive and tired.

Climate is not a reason to roll

ISM Prices at 71.1 in August 2026 (Source: ISM) and Fed utilization at 76.0% in July 2026 (Source: Fed G.17) describe operations. They do not make a waterfall safer.

Questions to put on the term sheet

Vesting. Good leaver / bad leaver. Drag and tag. Preferred return and catch-up. Dilution on add-on equity. Information rights. Board seat or observer. What happens if you die or become disabled. What happens if the sponsor sells in year two versus year seven. None of those answers belong in a handshake.

Tax is not a slogan

Deferral, installment, and character of gain are fact-specific. Rollover into a partnership versus a corporation changes the paper. This site will not recap Code sections as if they were your facts. A CPA who has done sponsor rollovers is the next call after counsel.

Process leverage

Rollover terms move when a strategic or a second sponsor is in the file. They freeze when you are exclusive and tired. IBBA's three-offer statistic (Source: IBBA, 2026) is the reason we keep alternatives live. A second bite that costs you a first-bite discount you did not measure is not sophistication. It is a bad trade.

Sellers who need cash to retire, to equalize heirs, or to leave the town should treat rollover as optional and probably as a no. Sellers who will stay as president and believe the hold thesis can treat it as a separate investment. Those are different people. The CIM should not pretend they are the same. This is not investment advice. Counsel and a CPA take the securities and the tax. HedgeStone will put rollover next to a cash number from a process, not in place of one.

Rollover is a second ticket, not a second paycheck

Rollover concentrates you in one plant and one sponsor. Vesting, drag, catch-up, and information rights are counsel's paper. This site does not give investment advice. A second bite that only appears in a dinner-conversation model is not a model. Read the waterfall in a flat exit and a down exit.

Size band still sits underneath. Main Street SDE files rarely live in the same rollover conversation as institutional EBITDA. Compare PE add-ons and what PE looks for before you treat paper as cash.

What to read in the waterfall before anyone says “second bite”

Ask for the flat-exit case and the down-exit case. Vesting, drag, catch-up, and information rights are counsel's paper. This site does not give investment advice. A dinner-conversation upside is not a model. Main Street SDE files rarely live in the same rollover conversation as institutional EBITDA.

Compare add-on underwriting and the PE-habits page before you treat paper as cash at close.

What rollover concentrates you in

One plant. One sponsor. One hold period. If the only model is the dinner-conversation upside, you do not have a model. Ask what you own in a flat exit. Ask what you own if the add-on next door misses. This is not investment advice. Counsel reads the grant and the waterfall. The broker's job is to keep you from treating paper as cash at the LOI toast.

How rollover collides with SBA math if someone tries to mix products later

A note designed only for SOP equity is a poor tax instrument. A note designed only for installment-sale folklore can fail SOP 50 10 8. Put counsel in the same week as the lender. This page will not invent a typical percentage. Practice varies. Read the term sheet and the waterfall model.

If the model only shows the dinner-conversation upside, you do not have a model. Ask for the down case. Then book the call. Educational information only.

What a manufacturing rollover actually is after the wire

Rollover equity is a minority ticket in the buyer’s newco, not a second paycheck. You exchange part of sale proceeds for paper that sits behind senior debt, often behind preferred, and always behind the buyer’s control rights. The “second bite” is a later sale or recap of that newco. It is not a contractual bonus for staying on as a consultant.

Securities and tax are counsel’s lane. Accredited-investor tests, election timing, and whether you are rolling into a partnership or a C-corporation change the after-tax story. A CIM that says “owners typically roll 20–40%” without a waterfall is marketing. Ask for the preference, the catch-up, the management-fee load, and what happens to your ticket if the plant misses the first-year peg.

SBA math and rollover math do not mix cleanly. A 7(a) change-of-ownership file still wants a 10% injection and treats seller paper as equity only on full standby (Source: SBA). A sponsor who wants current-pay seller paper plus a rollover plus a 7(a) is writing three stories. Pick a stack.

IBBA Q1 2026’s three-or-more-offers figure on larger deals is why you price the rollover against a cash alternative (Source: IBBA). A second bite that requires you to exclusive in week one is not a second bite. It is a discount.

How a peg miss changes the ticket you thought you rolled

A working-capital true-up that was never defined can cut the cash side of the deal and leave you rolling a larger percentage than you agreed. Class raw, WIP, and finished goods in the letter. Read working-capital peg before you treat rollover as settled.
