What do PE add-ons actually look for in a niche manufacturer?
Private-equity add-ons that buy niche manufacturers are looking for a process they can report, a certificate they can keep, and a team that is not one owner with a cell phone. "Niche" on this page means a specification, a quality-system gate, or a part family that does not rebid like commodity brake work. It does not mean a cute product and a thin bench. This page names no firms.
The checklist they actually use
Reportable adjusted EBITDA. A controller who can close the month. A number two who can run a shift and a customer call. Certificates current, with the last CB audit and open NCRs in the room. Concentration they can model — T12 and T36, customer and part. A machine list with liens and a capex plan that is not a surprise. Phase I when the process is wet. IT that is not a single desktop named after the owner.
They will not treat "we are the only shop in the county" as a moat. Customers buy process and price. County lines are not certificates.
Size and buyer split
Practice, not statute: many add-on theses start around $1–3 million of adjusted EBITDA; new platforms often want $3–5 million and up. SDE-under-$1 million shops belong with SBA buyers or, rarely, a hungry searcher. See how each buyer type prices.
GF Data manufacturing averages near 7.2x EBITDA (Source: Iconic GF Data recap) describe a larger-EV series. They are not a right just because the product is "niche."
What "niche" looks like in diligence
Medical or aero access (ISO 13485, AS9100, NADCAP). A specified industrial textile or FR spec. A pouch line a CPG will not re-qualify casually. A mold book the customer cannot move this quarter. A machinery OEM aftermarket mix. The diligence is the access gate, not the adjective.
Commodity fab, commodity print, and import-exposed cut-and-sew can still sell. They usually sell on SDE and asset floors, not on add-on decks.
People and labor
Deloitte/MI: up to 3.8 million workers needed 2024–2033, 1.9 million potentially unfilled (Source: Deloitte/MI, 2024). Add-ons pay for a bench that exists. They discount a thesis that assumes they will hire a 5-axis programmer in a month.
Process
Blind teaser. No fund names in your email to the shop. QoE when the earnings base is institutional. Customer calls late. Rollover if you want a second ticket. Parallel strategics. IBBA Q1 2026: 83% of >$5 million deals had three or more offers (Source: IBBA).
Educational information only. No firm names. No promised multiples. Jason Taken is a business broker.
Reportable is a system
Month-end close. Job-cost versus quote. Concentration that is not from memory. Certificates with the last audit. An ERP that is not a desktop named after the owner. Epicor, JobBOSS, Global Shop, Plex, NetSuite, ProShop, IQMS — the brand matters less than whether a buyer can extract won-job margin, on-time, scrap, and inventory accuracy (see research/operations-equipment.md).
Niche is an access gate
AS9100, ISO 13485, IATF, SQF, NADCAP, a specified FR textile, a pouch line a CPG will not re-qualify, a mold book that cannot move this quarter, an OEM aftermarket mix. Adjectives are not gates. A job shop that does a little of everything is a job shop.
What we will not do on this page
Name firms. Publish a thesis list. Promise that "niche" adds a turn. Invent an AI premium. Treat a county monopoly as a moat. Jason Taken is a business broker. The intro call is where a file gets a range.
Add-ons still live inside size band. A pretty niche adjective on a $400k-SDE shop does not summon a committed fund. A $4 million-EBITDA ISO 13485 plant without a number two is a training period, not a platform. GF Data averages near 7.2x EBITDA are a larger-EV series (Source: Iconic GF Data recap). BizBuySell’s manufacturing median 2.75x SDE is Main Street gravity (Source: BizBuySell / Iconic recap). State both. Blend neither. Name no firms.
Niche is a certificate and a second chair, not an adjective
Add-on underwriting looks for reportable EBITDA, a real number two, and a customer map that does not implode if one buyer sneezes. This page names no firms. Owner-estimator shops are usually individual or SBA files even when the owner likes the phrase private equity. GF Data manufacturing averages describe a larger-EV series than Main Street SDE (Source: Iconic GF Data recap).
Prepare a recast a QoE can defend. Prepare certificates that are current. Prepare a concentration schedule that does not wait for week four. Then book the call.
What “niche” has to mean on a plant file
A certificate, a second chair, and a customer map that does not implode if one buyer sneezes. An adjective in the teaser is not a niche. Owner-estimator shops are usually individual or SBA files even when the owner likes the phrase private equity. This page names no firms.

How to prepare the folder if you want this class in the mix
A recast a QoE can defend. Serials and liens. Current certificates. A number two who can speak without the owner in the room. Concentration on T12 and T36. Environmental reports if you plated, painted, or stored solvents. This page will not name a fund. A sourced press release is the only way a firm name appears on this site.
When PE is the wrong exclusive even if the adjective is niche
If orderly liquidation value plus clean NWC exceeds earnings, you are in an asset-floor conversation. If one customer is 40% and unsigned, a strategic or a structured SBA deal may clear cleaner. If the owner is the only management representative, price a hire before you fall in love with a sponsor deck. Exclusive LOI is a prize.
Run strategics and SBA operators in the same process when the file can support them. A niche adjective in the teaser is not a platform thesis. Book the call when the folder is ready. Educational information only. No fund names appear here.
What “niche” has to mean before a sponsor will spend a QoE
Niche is not an adjective in the teaser. It is a barrier a competitor cannot hire in a quarter: a live special-process scope, a specified product, a qualified cell, or a customer program that takes years to re-source. A job shop that quotes “anyone with a print” is not niche. It is available capacity. Available capacity clears on SDE and iron, not on a platform deck.
Sponsors still want a second chair, reportable earnings, and concentration they can live with. They will interview the quality lead and the controller. If those interviews require the owner in the room, the niche is the owner. Price a hire. Deloitte and The Manufacturing Institute’s 3.8 million / 1.9 million labor figures are the backdrop (Source: Deloitte/MI). BLS OEWS May 2025 machinist and welder medians are wage context (Source: BLS). Your bench is the fact.
| “Niche” claim | Evidence that survives diligence | Evidence that dies |
|---|---|---|
| Certified access | Current CB audit, transferable scope | A lapsed logo on the website |
| Specified product | Architect or OEM program list | Seasonal commodity fill |
| Process moat | NADCAP or a scarce special process | A common 3-axis cell |
| Recurring aftermarket | Parts and service on an installed base | One-time fab jobs |
This site will not name funds. It will not quote a PE manufacturing multiple. Stanford’s search median and BizBuySell’s 2.75x SDE print describe other rooms (Source: Stanford GSB; BizBuySell / Iconic). Read the add-on page for structure. This page is the gate: certificate, second chair, and a process a competitor cannot copy on a weekend.
How a niche thesis dies on a one-customer book
A scarce process still dies if one unsigned customer is 40% of sales. The sponsor can like the cell and still walk when the release history is a handshake. Structure — earn-out on that account, a put if the program sunsets, or a walk — belongs in the letter, not in a slide titled “diversified niche.”
Census CBP 2023’s 68.4% under-20-employee fact is why most plants never see this buyer class (Source: Census CBP). That is not an insult. It is a size band. If orderly liquidation plus clean net working capital exceeds earnings, you are in an asset-floor conversation even if the teaser said niche. Read asset value versus earnings value before you exclusive with a deck.
