The buyer-type essay lives at rollover equity and the second bite. This page is the deal instrument: how rollover sits next to cash, earn-outs, notes, and escrow. Surviving quality of earnings as a seller still matters because the EBITDA the sponsor is rolling you on has to survive the ledger.

What are you actually holding after the wire?

A minority piece of a private company someone else controls. Vesting if they still want you in the building. Dilution when they raise equity for the next add-on. A waterfall that may put a preferred return and a catch-up in front of you. Information rights that may be thinner than the weekly packet you used to print as owner. None of that is automatically abusive. All of it is paper securities counsel should read.

This site will not invent a "typical 20%." Practice varies by file and by buyer. Ask for the model. Then ask what you own in a flat exit and in a down exit. If the model only shows the dinner-conversation upside, you do not have a model.

PE add-on buyers and some independent sponsors are the usual counterparties. Searchers who inhabit Stanford's 2024–25 median neighborhood — about $16 million purchase, ~6.2x EBITDA, ~25% margin (Source: Stanford GSB) — may offer rollover into their hold company. That median is a search-fund neighborhood, never a job-shop multiple, and never a reason to skip the waterfall.

Do not mix this table with SOP 50 10 8 standby-note math. SBA 7(a) still caps at $5 million with a 10% injection, and a seller note counts toward that injection only on full standby for the life of the 7(a) and only up to half (Source: SBA). Rollover is a different regime.

How should rollover sit next to cash, notes, and earn-outs?

Score four piles: cash at close, note (amortizing or standby), earn-out, rollover. They are not synonyms. Cash retires you. A note is credit. An earn-out is a metric. Rollover is equity risk in one name.

Sellers who need a house, an equalization among heirs, or a clean break should not pretend units are a wire. Sellers who will stay as president and believe the hold thesis can treat rollover as a separate investment decision sitting beside a priced cash number. Those are different people. The CIM should not pretend they are the same.

Seller notes and earn-outs is the credit-and-metric companion. If both an earn-out and rollover appear, counsel must stop one instrument from starving the other — for example a GP tail that the control buyer can move off-plant while your units sit in the starved entity.

IBBA Pulse Q1 2026's 83% three-offer statistic on deals over $5 million (Source: IBBA) is a process fact. Rollover terms get better when another cash buyer is live. They freeze when you are exclusive and tired.

Which size bands actually see rollover, and which should refuse the costume?

sde-under-1m Main Street manufacturing — BizBuySell 2021–2025 median 2.75x SDE on about $268k earnings (Source: BizBuySell / Iconic) — rarely has a sponsor stack that needs your units. An individual 7(a) buyer is buying a job. Rollover talk on that band is often a costume for a shorted cash check.

ebitda-1-3m search and small-sponsor files see it sometimes. ebitda-3-10m add-on files see it often. ebitda-10m-plus platform files see it as a standard ask, and R&W insurance is more common as enterprise value rises. GF Data Q1 2026 manufacturing recap printed 7.2x average, 5.9x under $25 million EV, and 8.8x at $100–250 million EV (Source: GF Data via Iconic) — a larger-EV series, not a job-shop multiple. Rollover on those larger files is still not cash.

BizBuySell's 223-day 2025 manufacturing median close (Source: BizBuySell) is a planning number. Use part of it to read the operating agreement, not to "deal with paper later."

What tax and securities questions belong to licensed people?

Whether rollover defers tax is a fact-specific CPA question. Partnership versus corporation changes the paper. Installment and character issues appear when the structure gets creative. This page will not recap Code sections as if they were your facts. It is not tax advice and not investment advice.

You are buying a private security. Jason Taken will not prepare your K-1 and will not tell you the hold will work. Securities counsel reads vesting, drag, and the waterfall. Employment counsel reads the stay package if you remain on the floor.

Quality of earnings still binds the earnings the sponsor is capitalizing. Rolling into a recast that QoE later kills is how you own a smaller number than the dinner implied.

What questions belong on the term sheet before anyone grants exclusivity?

Vesting. Good leaver and bad leaver. Drag and tag. Preferred return and catch-up. Dilution on add-on equity. Information rights. Board seat or observer. What happens if you die or become disabled. What happens if they sell in year two versus year seven. Whether your units sit in the plant entity or in a holdco that can be layered. None of those answers belong in a handshake.

Illustrative only: seller rolls a slice into a holdco, stays as president, vesting over four years, sponsor has drag. Year three they sell on a calendar the seller dislikes. That is the product working as designed — not a betrayal, and not a guarantee of a second bite either. Price the first bite as if the second never arrives. Anything above that is upside you did not spend.

Educational information only. Not investment, tax, or legal advice. No second bite is promised. Jason Taken is a business broker with HedgeStone Business Advisors.

How should a seller stay involved without turning units into unpaid labor?

If you remain president, write a real employment or consulting agreement with a number, a scope, and an end date. See transition period and owner training. Rollover does not pay you to quote every job forever. Vesting that requires you to stay can be reasonable. Vesting that requires you to carry the book without a deputy is how owner-dependence survives the close.

Buyers sometimes want you to roll so you "have skin in the game." Skin is capital. Labor is wages. Separate them. Deloitte and The Manufacturing Institute's 3.8 million workers needed and 1.9 million potentially unfilled (Source: Deloitte/MI, 2024) is why a stay package has value. It is not a reason to donate hours.

If you are done quoting, say so before anyone prints units. A clean cash exit plus a short paid training window is a different product than a four-year vest. How owner dependence affects value still applies after you roll. The sponsor is buying a plant that has to run when you take a Friday off.

What process mistakes turn rollover into a regret?

Granting a long exclusive before you have seen the waterfall. Treating units as if they were the cash you need for a house. Mixing rollover with a standby note and calling both "seller support." Skipping quality of earnings because you will "be on the same side after close." You will not be on the same side of the waterfall.

Letting the CIM advertise that you will roll. That invitation tells every buyer they can short the check. "Seller may consider a minority rollover on the right file" is enough. Credit and securities are diligence facts.

Comparing a rollover headline to a cash LOI without subtracting the risk. A $12 million cash offer and an $13 million offer with $2 million in units are not $1 million apart. They are different products. IBBA's majority-cash pattern across bands (Source: IBBA) is a reminder that paper is optional.

Illustrative only: ebitda-3-10m certified supplier, synthesized 6.5x–9.0x aerospace band, two cash LOIs and one sponsor LOI with units. Seller is 68 and wants a house in a different state. Take the cash process. Leave the units for someone who will still be in the building. A second file: seller is 52, will stay as president, has read drag and the model, does not need the cash to live. Units can sit beside a priced first bite. Those are different people.

Census CBP 2023's 284,452 establishments and 68.4% under 20 employees (Source: Census CBP) means most owners who search this topic are small-file owners. Small-file owners should default to cash. Rollover is a lower-middle-market instrument that sometimes visits a smaller shop. It is not a courtesy you owe.

HedgeStone will put rollover next to a cash number from a process, not in place of one. Jason Taken remains a business broker. The conversion path is the intro call, not a securities subscription.

BLS OEWS May 2025 medians — machinist $58,750, welder $53,750 (Source: BLS) — belong in the stay-package math if you remain on the floor. Units do not replace a wage. A last reminder: GF Data's larger-EV prints (7.2x average, 5.9x under $25 million EV) are a different series than Main Street 2.75x SDE (Source: Iconic / BizBuySell). Do not borrow a large-file rollover custom onto a 12-person cell.
