What the 504 dollar box actually buys

SBA’s 504 page and the lenders matrix still print CDC authority of $5,000,000 per small business plus affiliates. Small-manufacturer and energy public-policy projects can use $5,500,000 per project. Typical stack language in CDC guides is about 50% bank first lien, 40% CDC, and 10% equity, with more equity if the project is special-use. Those percentages are structure, not a rate quote.

Heavy equipment can sit in a 504 project when it qualifies. A 5-axis cell is not automatically “504 iron” because it is expensive. Useful life, essential-use, and lien position still matter. Buying the plant with the business is the real-estate sibling. 7(a) remains the change-of-ownership product for goodwill.

If you are buying a manufacturing business that includes the building, treat 504 as a dirt decision stapled to an operating decision. Landlord-owned buildings that will not be purchased are not 504 real estate. Tenant improvements do not convert a lease into a debenture.

Who must occupy the building

Existing building: occupy at least 51%. New construction: occupy at least 60%, with staged lease-up rules in the SOP. A buyer who plans to lease 70% of the plant to third parties is not a 504 occupant because the teaser said “campus.” A sale-leaseback in which the operating company will not meet occupancy is a different product conversation.

From 2025-10-01, job-creation tests use one job opportunity per $95,000 guaranteed, or $150,000 for a small-manufacturer or energy public-policy project. Confirm current figures with the CDC. This FAQ will not invent a local job count.

How 504 and 7(a) share a calendar without becoming one loan

Policy Notice 5000-879058, effective 2026-07-04, clarified that outstanding 7(a) does not reduce 504 maximums (Source: NAGGL). Combined SBA-backed financing can reach $10 million in the Administrator’s 2026-05-18 announcement (Source: SBA). They still do not become one application.

A seller note that someone hoped would cover the entire injection is a 7(a) folklore problem, not a 504 feature. See can a seller note count as SBA equity. SOP 50 10 8 still wants a 10% change-of-ownership injection on the 7(a) side.

Why occupancy does not waive the dirt work

If the building is in the project, expect a current Phase I on an All Appropriate Inquiries path. Occupancy percentages do not replace Phase I. The FAQ index splits the environmental noun on purpose.

When does a 504 file fail even though the iron is expensive?

It fails when the buyer will not occupy. It fails when the building is leased and will stay leased. It fails when the machinery does not meet useful-life or essential-use tests the CDC will accept. It fails when the Phase I is stale and nobody budgeted a refresh. Expense is not eligibility. A 5-axis cell on a leased floor is still a leasing conversation, not a debenture conversation.

CDC guides also describe accumulated manufacturer eligibility up to $16,500,000 in stated manufacturer or energy cases. Confirm that special aggregate with the CDC rather than treating it as a blog entitlement. Refinance programs exist in some notices. Eligibility is notice-specific. Verify the live notice before anyone publishes that a refi is available on this file.

A sale-leaseback in which the operating company will not meet occupancy is a different product. Tenant improvements do not convert a lease into a 504 project. If the seller owns the dirt and the buyer wants it, put title, survey, and environmental on the same Gantt chart as the 7(a) goodwill loan. Two applications. Two eligibility tests. One close calendar if someone actually builds one.

ISM’s manufacturing PMI printed 54.6 in the climate this site uses for 2026 briefing (Source: ISM, rotated here as utilization context, not a loan term). A busy book does not waive occupancy. Federal Reserve G.17 at 76.0% utilization does not waive AAI. Do not let a full cell talk you out of the dirt work.

Do not use 504 as a second 7(a) for a thin-margin shop that fails cash-flow tests. Do not use 7(a) to buy a special-use building the buyer will not occupy. Product discipline is how a manufacturing file stays inside a published box instead of a year-long hope. The FAQ index owns the question. The owner URL owns the stack, the job-creation tests, and the 2026 notices.

A small-manufacturer project can use the $5.5 million cap only if primary NAICS sits in 31–33 with production facilities in the United States, subject to the definition the CDC will actually apply. Confirm it. Do not treat a blog sentence as eligibility. Job-creation tests from 2025-10-01 use one opportunity per $95,000 guaranteed, or $150,000 for a small-manufacturer or energy public-policy project. Those figures move. Ask the CDC for the live notice.
