What SOP 50 10 8 actually allows

SBA 7(a) terms still print a standard maximum of $5 million. On a change-of-ownership file the 10% injection is measured against total project cost — fees and the working-capital hole included — not against the teaser enterprise-value line.

SOP 50 10 8 will count seller paper toward that injection only if it is full-term complete standby and only up to half of the 10%. Most files pair five points of cash with five points of that standby paper. Confirm the live SOP with the lender. Loan numbers issued on or after 2026-10-01 follow SOP 50 10 8.1. Write the file to the SOP that will govern the number.

Seller notes and standby is the instrument companion. Selling to an individual SBA buyer is the buyer-class companion.

What does not count as the injection

An amortizing note can still exist. It does not count as equity. It also hits debt-service coverage. An interest-only period of two years is not full standby. A note that starts paying when the buyer “has cash” is not full standby. An earn-out is contingent price. Most lenders ignore earn-outs as a repayment source. Do not dress any of those instruments as the 10%.

A $3.0 million project is not a no-cash close

Project cost $3.0 million. Ten percent is $300,000. At most $150,000 of that can be a seller note on full standby. The buyer still needs $150,000 of cash equity. The remaining ~$2.7 million must fit inside 7(a) and a supported valuation. If fees were omitted from the $3.0 million, the injection was calculated on the wrong denominator.

BizBuySell’s 2025 manufacturing median time to close was 223 days (Source: BizBuySell). Spending that clock on a letter that promised a no-cash close is how exclusivity dies in week eleven. HedgeStone will not tell an owner that the buyer “does not need cash.”

504 does not replace the injection. It buys dirt and qualifying iron when occupancy fits. Combined 7(a)+504 context can reach $10 million after the 2026-07-04 clarification. Two eligibility tests remain.

How buyers should write the letter

If you are buying a manufacturing business with 7(a), freeze the injection source, the standby language, and the denominator before exclusivity. Name cash. Name the standby note. Name what is not equity. The FAQ index owns the question. The owner URL owns the guaranty, the SOP dates, and the goodwill cap.

Why did the no-cash close become folklore?

Older training decks let a seller note cover the entire injection. SOP 50 10 8 ended that practice. Sellers who grant exclusivity in September 2026 to a buyer whose number will print in October should ask which SOP governs. SOP 50 10 8.1 applies to loan numbers issued on or after 2026-10-01. The later text keeps the $5 million cap and tightens some change-of-ownership documentation. Write the file to the SOP that will govern the number, not the date someone emailed a term sheet.

An earn-out will not rescue the injection. Most lenders ignore earn-outs as DSCR. Mezzanine will not replace the 10% either. Combined 7(a)+504 context can reach $10 million after the 2026-07-04 clarification (Source: NAGGL). Occupancy and two eligibility tests still apply. None of that math turns a 0% cash letter into a financeable path.

Affiliation rules can treat related companies as one borrower. A sponsor wearing an individual hat can trip them. Eligibility is the lender’s lane. SBA’s terms page still prints the $5 million box and the 85/75 guaranty. This FAQ will not invent a prime-plus quote.

If the CIM omitted fees and the peg from project cost, rebuild uses of funds before anyone debates standby language. The denominator is how 10% becomes a surprise. HedgeStone will not tell an owner the buyer “does not need cash.” That sentence is how exclusivity dies in week eleven.

Choose the job of the paper before you draft it. Full standby can fill half the injection. An amortizing note can still exist as debt. It hits coverage. Do not dress either instrument as the other. The FAQ index owns the question. The owner URL owns the guaranty, the SOP dates, and the goodwill cap.

Partial changes of ownership are allowed under SOP 50 10 8 with specific eligibility. Do not treat a 70% purchase as a routine 100% file. Express and Export Express max at $500,000. They are not the acquisition product for a mid-seven-figure enterprise value. Goodwill can be financed on a change-of-ownership 7(a) when the supported valuation caps non-standby debt. An aggressive multiple with a thin appraisal is how the loan shrinks after you spent the clock.
